HomeMy WebLinkAboutCAG2024-468 - Amendment - #1 - Fidelity National for BECU - Municipal Building Purchase at 20610 68th Ave S Kent WA 98032 - 11/5/24 Docusign Envelope ID:99D48187-A374-4B86-9FF2-6512B7ED5B99 FIRST AMENDMENT TO PURCHASE AND SALE AGREEMENT This First Amendment ("First Amendment") is part of the Purchase and Sale Agreement dated October 6, 2024 (the "Agreement"), between the CITY OF KENT, a Washington municipal corporation ("Buyer"), and BOEING EMPLOYEES' CREDIT UNION ("Seller") regarding the sale of property commonly known as 20610 68th Avenue South, Kent, WA 98168 (the 'Property"). IT IS AGREED BETWEEN THE BUYER AND SELLER AS FOLLOWS: 1. Paragraph 11.5 of the Agreement is modified as follows: 11.5. Proration of Taxes and Utilities. Taxes for the current year, and water gas, sewer, electric and other utilities serving the Property, and amounts payable under any service contracts, annual permits and/or inspection fees shall be prorated as of the Closing Date on the basis of the actual days of the month in which the Closing Date occurs. All final special assessments, deferred taxes or penalties that are levied at or prior to Closing shall be paid in full by Seller. In accordance with RCW 84.36.010, as a Washington municipal corporation, real property owned by the Buyer is exempt from the assessment of real estate property taxes. Seller agrees that if King County refunds to Seller property taxes previously paid due to Buyer's purchase of the Property, the Seller agrees to remit this property tax refund to the Buyer outside of Closing_ 2. All other terms and conditions of the Agreement remain unchanged. IN WITNESS WHEREOF, the parties hereto have executed this Amendment on the date set forth below.
