HomeMy WebLinkAboutLAG2019-001 - Other - Mutual Notice of Termination - Half Lion Public House, LLC - 3/13/24 DocuSign Envelope ID:E9477C04-B50E-4AB2-9BC9-4CFEC3CCDBC5 RIVERBEND GOLF COMPLEX Mutual Lease Termination Agreement between the City of Kent and Half Lion Public House, LLC This Mutual Lease Termination Agreement relates to the retail lease entered into on about February 22,2019, and the subsequent First Addendum to the retail lease made September 14,2021,by and between the city of Kent, a Washington municipal corporation (hereinafter referred to as the "Landlord"), and Half Lion Brewing Company, L.L.C., d/b/a Half Lion Public House,a Washington limited liability corporation (hereinafter referred to as the "Tenant")for certain real property and improvements at the Riverbend Clubhouse, located at 2019 W. Meeker St., Kent,Washington,98032 ("the Retail Lease"). Landlord and Tenant mutually agree to terminate the Retail Lease, subject to the following provisions which shall govern and supersede any contradictory terms of the Retail Lease: A. Landlord and Tenant agree that termination of the Retail Lease shall be effective as of February 29, 2024. Tenant shall not be liable for any Monthly Rent payments or utility charges that would have been incurred following the effective date of termination of the Retail Lease on February 29,2024,and Landlord shall not seek to collect such payments, unless the City is required to bring an unlawful detainer/eviction action following the execution of this agreement due to Tenant not vacating the Premises in accordance with section B below. B. Tenant shall vacate the Premises and remove all personal property of Tenant and its vendors by 5 PM on March 29, 2024, and leave the Premises in a reasonably clean and orderly state, as provided in the Retail Lease. C. This Mutual Lease Termination Agreement shall, in no way, affect Tenant's liability for any debts, including, but not limited to, past due Monthly Rent, utility charges, or fees, incurred prior to the termination date set forth herein. Landlord and Tenant agree that the consideration and obligations recited and provided for under this Agreement collectively constitute substantial benefits to both parties and are, therefore, adequate consideration for this Agreement.
