DEFINITIONS The following definitions will apply to the following words and terms when used in the Contract, whether or not these words and terms are capitalized, unless specifically defined otherwise within any section or subsection. 1.1 City. - The City of Kent, a Washington municipal corporation, whose mailing address is 220 Fourth Avenue South, Kent, Washington 98032. As used in this Contract, it includes the official of the City holding the Office of Mayor or designated representative including, but not limited to, the Public Works Director or designee and the Street Manager. 1.2 Contract. - This Contract, exhibits thereto, any change orders, Contractor's response to the City's Request for Proposals (RFP), and any clarifications, amendments, or additions to the Contract. 1.3 Contractor. - The individual, firm, joint venture, co-partnership or corporation, and its heirs, executors, administrators, successors, and assigns, or the lawful agent of any such individual, firm, joint venture, partnership, or corporation, or its surety under the contract bond, constituting one of the principles to the Contract and undertaking to perform the work herein specified. Where any pronoun is used as referring to the word "Contractor" it shall mean the Contractor. 1.4 Contract Manager. - The City of Kent Maintenance and Operations duly authorized representative. 1.5 Emergency. - Any set of circumstances which, at the sole discretion of the City, gives rise to a need for immediate services from Contractor to protect the life, health and/or safety of citizens and/or to protect the City's infrastructure. 1.6 Hazardous Material. - Any substance that is defined as hazardous or toxic by federal or state law or regulation, including but not limited to 40 C.F.R. Part 261; 42 U.S.C. Section 6901, et seq.; 15 U.S.C. Section 2601 et. seq; Chapter 70A.300 RCW; and Chapter 173-303 WAC. 1.7 Contractor's Proposal. - Written proposal submitted by contractor in response to solicitation by City. Attached hereto as Exhibit A. 1.8 Landscape Maintenance. - The work and provisions described by the 1 Services Contract and all addenda thereto. 1.9 Native Trees. - Indigenous or natural to the site and which due to their size, species, or location do not require pruning. 1.10 Ornamental Trees. - Trees which are not indigenous of natural to the site; and which due to their size, species, or location require annual pruning. 1.11 Public Works Department, City, and/or City of Kent. - Authorized representatives shall be understood to mean one and the same. 1.12 Street Trees. - Ornamental trees, which due to their proximity to streets and arterials require specialized pruning to establish proper vehicular and pedestrian clearance. 2. TERM AND PAYMENT 2.1 Term of Contract and extensions. The contract for service shall commence immediately upon the effective date and end on December 31, 2025. Following the expiration of this term, the City may, at its sole option, extend the terms of this Contract for up to three (3) one-year service contract extensions based on the pricing provided in Contractor's Proposal. The City's option to extend this Contract shall be delivered by written notice to the Contractor not less than 30 days prior to the expiration of each contract term. 2.2 Termination. The City may terminate this Contract upon 90 days' notice to the Contractor. 2.3 Compensation and taxes. 2.3.1 City shall pay Contractor an amount not to exceed Eighty Nine Thousand, Nine Hundred Fifty Four Dollars ($89,954) for properly providing the required service to Service Areas 1, 2, 3, 4, 5, 6, 7, and 8 as described in Exhibits A and B. 2.3.2 Contractor shall be paid for properly providing the required service to areas 1 through 8, as described elsewhere in this Contract. Payment will be based on the actual work performed. Services performed in excess of those authorized by the City will not be compensated. 2.3.3 Contractor shall pay all applicable taxes. 2.4 Compensation for additional services. 2.4.1 In the event the City orders additional work to be performed during the months of November through December, the Contractor will be paid at the rate quoted in the Contractor's proposal. Invoices for payment for extra services must show the name of the City staff member requesting this service, date and 2 time of request, location of the work performed, and date and time the work was completed. 2.5 Penalty for missed service. In the event Contractor fails to service one or more areas as set forth in this Contract, the City may, at its sole option, elect to require the Contractor to service the missed areas, OR the City may elect to reduce the payment owed to the Contractor. If the City elects to reduce the payment owed to the Contractor, the reduction shall be calculated commensurate to the contract price for the service areas missed over the relevant time period. 2.6 No Compensation for Weather Impacts. Contractor shall not be entitled to extra time or compensation for weather-related conditions. 2.7 Schedule of payments by City. Contractor shall invoice the City by the second day of each month. Payment for services rendered during each month will be paid as soon as possible under the City's standard schedule for processing invoices, provided the Contractor has met the conditions of this Contract and that proper invoices and other required records have been timely received by the City. The estimated time for payment is 30 days from the date of proper receipt of Contractor's invoices. 3. SCOPE OF SERVICES Landscaping locations and specific scope of services shall be completed in accordance with the Scope of Work as described below. A detailed area map can be viewed in Exhibit C. 3.1 Responsibilities 3.1.1 The contractor shall furnish all labor, tools, specialized equipment, material, supplies, supervision, and transportation to perform landscape maintenance services as specifically outlined in this section. 3.1.2 The contractor shall ensure that the appropriate personnel be licensed for all functions, including pesticide, fertilizer, herbicide, and traffic flagging where required. 3.1.3 The contractor shall ensure that employees comply with all City of Kent and Washington State Industrial regulations and practices. 3.1.4 Any contractor having employees working on or near a street shall comply with City of Kent and Washington State regulations pertaining to safety equipment, warning signs and traffic control. All employees involved with traffic flagging or placing traffic control in the roadway shall possess a valid Washington Traffic Control Flagger Card. Employees working on or near a street shall wear high-visibility safety apparel that meets the Performance Class 2 or 3 requirements of the ANSI/ISEA 107-2004 publication entitled "American Standard for High 3 Visibility and Headwear" and be labeled ANSI 107-2004 performance class 2 or 3 risk exposure. Employees performing any overhead maintenance must wear an OSHA approved safety helmet. Failure to comply with proper safety procedure may result in termination of the contract. 3.1.5 The contractor's employees shall always conduct themselves on site in a professional manner. Employees shall be courteous, neat in appearance and wear visible contractor identification. 3.1.6 The contract manager or appointed representative shall inspect work performed by the contractor on a regular basis. In the event of work performance deficiencies, the Contract Manager shall notify the contractor in writing. 3.1.7 The City may require the contractor to rectify the deficiency within 24 hours of notice. Payment will only be made for work that meets all contract requirements. 3.1.8 The contractor shall establish a weekly work schedule. The maintenance shall be scheduled on day(s) and time(s) as mutually agreed upon by the City and the contractor. To the extent possible, work shall be performed on the same day each week. In no case shall work be performed more than forty-eight (48) hours after the regularly scheduled day without notification and consent of the Contract Manager. Equipment intensive work such as mowing, edging, and blowing done at work sites shall not commence before 7:00 am on weekdays and 9:00 am on weekends and be completed by 4 pm. No work shall commence on holidays recognized by the City of Kent. A complete list of recognized holidays will be provided upon request. This schedule may be adjusted by the city based on nearby construction projects. 3.1.9 The contractor shall provide a list of employees to the Contract Manager. Each employee must have visible identification listing employee's name and identifying the contractor. 3.1.10 The contractor shall provide proof of State of Washington Department of Agriculture, and Pesticide Certification for each employee that will apply pesticides (upon award of contract). 3.1.11 Smoking shall not be permitted in any City building or on City grounds. 3.1.12 The contractor shall report any damage or potential hazard involving City owned property immediately to the Contract Administrator during normal business hours, 7:OOam - 4:OOpm. An afterhours City contact list will be provided (upon award of contract). Emergencies that occur after hours shall be reported to Valley Communications, by calling 911. 4 3.1.13 Hazardous conditions shall be immediately remedied or secured to prevent further damage and/or to protect members of the public from injury. It is the contractor's responsibility to provide close supervision of landscape maintenance operations and management of the work sites. 3.1.14 Incidents, altercations, or accidents involving the contractor and their employees shall be reported to the Contract Manager in a timely manner. The Contract Manager, at their discretion, may require a written report from the contractor describing the incident or accident. 3.1.15 The contractor shall replace, at the contractor's own expense, any lawn, groundcover, trees, shrubs, or other plant material damaged through negligence resulting from the contractor's failure to provide maintenance in accordance with the provisions herein. Plant materials supplied by the contractor shall be approved of by the Contract Manager in writing, be of first quality condition and shall be guaranteed by the contractor for one year. 3.1.16 The contractor will send a monthly list of all the work performed the previous month with their request for payment. List will include all areas maintained with the description of work performed. 3.1.17 The Contractor shall comply with the following Area restrictions: Work performed in Areas 1, 2, 7, and 8 are restricted to the hours of 9:00 AM to 3:00 PM, due to commute traffic. Work in Areas 3 through 6. No activities shall take place between 8:00 p.m. and 7:00 a.m. weekdays. Weekend sweeping may be allowed between 10:00 a.m. and 4:00 p.m. with the prior written permission of the City. 3.2 Equipment and Supplies 3.2.1 The contractor shall furnish all tools, material, supplies and equipment to perform Landscape Maintenance Services as specifically outlined in this section. 3.2.2 The contractor shall supply all herbicides, fertilizers, chemicals, and the like for servicing all ROW landscaping areas as scheduled. 3.2.3 The contractor shall supply all necessary data and meet the requirements to comply with the State Chemical Hazard Right to Know Act. 3.3 Waste Material Disposal 3.3.1 Contractor shall deliver, at its cost, vegetation spoils to a disposal site operated by King County, or its successors, or such other site or 5 sites as shall be approved by and meets with the disposal requirements of the Washington State Department of Ecology and any other Federal, State or Local Agency or Department with Jurisdiction; provided that the Contractor shall not use any dump or solid waste disposal site that the City would be prohibited from using were the City to collect and dispose of vegetation spoils or waste on its own. The Contractor shall advise the City of the disposal site or disposal sites being used by the Contractor by attaching a copy of the disposal tickets, invoices and/or receipts for each site used to invoices submitted. CONTRACTOR SHALL NOT TEMPORARILY STORE ANY VEGETATION SPOILS OR WASTE AT ANY SITE OTHER THAN A DISPOSAL SITE THAT HAS BEEN APPROVED BY THE WASHINGTON STATE DEPARTMENT OF ECOLOGY FOR THAT SPECIFIC PURPOSE. 3.3.2 Extra care shall be taken in the loading and transportation of vegetation spoils and other waste so that none of the material to be collected is left either on private property or on the streets or alleys. Any matter left on private property or on streets or alleys by the Contractor shall immediately be removed upon notice from the City at no extra cost to the City. 3.3.3 Contractor assumes responsibility for all vegetation material collected and disposed under the terms of this Contract. 3.3.4 The contractor is solely responsible for all damages, fines, or penalties for improper disposal of waste material, and for any other actions in which they perform. 3.4 Maintenance Task I: Lawn Care General Lawn Care 3.4.1 Mowing shall be performed during the growing season, April through October. 3.4.2 The contractor shall maintain all landscaped portions of the ROW sites covered by this agreement in a healthy, neat, trim, and growing condition. 3.4.3 The contractor shall remove and dispose of all paper, rubbish, or debris from area prior to mowing. 3.4.4 Fine turf mowing shall be mowed to height range of two (2) inches to two-and-one-half (2 1/2 ") inches. 3.4.5 All rough mowing shall be mowed to a height of four (4) inches. 3.4.6 Collection of grass clippings is required only to prevent grass clumps from being left on the turf. A mulching mower may be used when an acceptable appearance is obtained (no clumps or excessive 6 grass left behind). Due to safety concerns, the use of side-discharge, non-collecting type mowers are prohibited in the areas of adjoining pedestrian or vehicle access. 3.4.7_Hard surfaces shall be left clean and free of grass and debris resulting from landscape maintenance tasks at the end of the day's activities. 3.4.8 The contractor shall provide the Contract Manager a monthly mow schedule by the first of each month. All mowing must be started and finished on the same day. 3.4.9 Any property damage resulting from the use of mowing equipment shall be the responsibility of the contractor. Line Trimming 3.4.10 Turf around posts, fences, trees, shrubs, and other obstacles shall be trimmed. Care shall be taken not to damage structures or trees with equipment. 3.4.11 Turf around vaults, valve boxes, and irrigation heads shall be trimmed as necessary to ensure proper access and operation. 3.4.12 Hard surfaces shall be cleaned free of grass and debris resulting from this task at the end of the day's activities. 3.4.13 Any property damage resulting from the use of trimming equipment shall be the responsibility of the contractor. Edging 3.4.14 Lawn edges shall be edged at sidewalks, curbs, walls, fences, foundations, pathways, shrub beds, tree trunks, poles, and formal edges. 3.4.15 Edging shall be done by powered edging equipment, unless otherwise approved by the Contract Manager. 3.4.16 Caution shall be used to prevent chipping of concrete structures by edging equipment. 3.4.17 Hard surfaces shall be cleaned free of grass and debris resulting from this task at the end of day's activities. 3.4.18 Any property damage resulting from the use of edging equipment shall be the responsibility of the contractor. 7 3.5 Maintenance Task II: Trees, Shrubs, and Ground Cover Pruning 3.5.1 The contractor shall maintain all trees, shrubs, and groundcover in the listed ROW areas in a healthy, growing condition. 3.5.2 Shrubs shall be trimmed to maintain desired shape and function as needed to provide a neat, trim appearance. Pruning to maintain the natural growth habit of the plant species is recommended. Shearing, as a method of pruning, shall be used only with the approval of the Contract Manager. Shrubs in the ROW are to be pruned to avoid sight distance issues, and at the edge of hard surfaces (sidewalks and curbs). 3.5.3 Groundcover shall be trimmed at the edge of hard surfaces (sidewalks and curbs) and landscape bed areas. Groundcover shall be trimmed to prevent encroachment into shrubs and trees. Groundcover and shrubs around vaults, valve boxes, and irrigation heads shall be trimmed as necessary to ensure proper access and operation. 3.5.4 Ornamental Trees shall be pruned in accordance with International Society of Arboriculture (ISA) Guidelines and are not to be pruned except to remove singular broken branches or perform minor clearance pruning, unless otherwise approved by the Contract Manager. 3.5.5 At the request of the Contract Manager, ROW street trees are to be pruned to avoid sight distance issues and will be handled by the use of a Discretionary Work Request Form. 3.5.6 Tree suckers, volunteer seedlings, and other undesirable growths shall be removed from trees and shrubs as necessary. 3.5.7 The contractor shall be responsible for notifying the Contract Manager of any significant tree hazards including, but not limited to dead native and ornamental trees, broken limbs, diseased and insect infested trees. Weeds, Disease, and Pest Control 3.5.8 Landscaped/Planted areas shall be free of weeds, leaves, litter, debris, spent blooms, insect infested and dead plants. 3.5.9 Landscaped bed areas shall be kept in weed-free condition. Hand weeding is encouraged. Otherwise, beds will receive an approval post- emergent herbicide. Notification of herbicide use shall be included on the Notification of Chemical Application form (Exhibit "E") and submitted to the Contract Manager following application. Landscape bed refers to any bed that is mulched (bark, compost, PGM, wood chips, etc.). 8 3.5.10 The City encourages the use of industry recognized Integrated Pest Management (IPM) practices. All pesticides need to be approved by the Contract Manager prior to application. All applications shall be done in compliance with federal, state, and local laws and regulations. The City reserves the right to limit the use of specific pesticides. In no case shall any pre or post emergent herbicides with residual characteristics (i.e., Casoron) be used in these areas. 3.5.11 The contractor, at their expense, will remedy, in a timely manner, any damage to desirable plant material due to negligence or misuse of pesticides. 3.6 Maintenance Task III: Hard Surface Maintenance 3.6.1 Sidewalks, curbs, and other hard surfaces shall be kept free of leaves, litter, and debris. The use of power blowers is acceptable, however, accumulations of debris must be removed from the site and not blown onto adjacent property, street surfaces, fence lines, or planting areas (rough or bedded). 3.6.2 Undesired vegetation in sidewalks, curbs, and other hard surfaces shall receive an approved herbicide application and be removed. In no case shall any pre or post emergent herbicides with residual characteristics (i.e. Casoron) be used in these areas. Notification of herbicide use shall be included on the Pesticide Application Record form (Exhibit "E") and submitted to the Contract Manager following application. 3.6.3 Drains, if present at the site, shall be cleaned and checked during each visit and any garbage or debris shall be removed to allow proper drainage. 3.7 Maintenance Task IV: Other Services 3.7.1 Leaves shall be removed from all contractor-maintained areas. The use of power blowers is acceptable; however, debris accumulations must not be blown onto adjacent street surfaces or private property. Leaves may be blown into adjacent natural areas where applicable, otherwise accumulations shall be removed from the site and disposed of by the contractor. 3.7.2 The contractor shall provide brush control of all native areas where the edges meet lawn and trail areas. All brambles, low hanging branches, or other hazards shall be trimmed back using appropriate handheld machinery. 3.7.3 Windfall branches and debris shall be removed from all contractor- maintained areas for disposal by the contractor. 9 3.8 Maintenance Task V: Weed Spraying 3.8.1 Beds and guardrails within the contracted areas may be sprayed for grass, broadleaf weeds with pesticides approved by the Contract Manager and shall be done in compliance with federal, state, and local laws and regulations. The City reserves the right to limit the use of specific pesticides. In no case, shall any pre or post emergent herbicides with the residual characteristics (i.e., Casoron) be used in these areas. Notification of herbicide use shall be included on the Pesticide Application Record form (Exhibit "E") and submitted to the Contract Manager following application. 4. REQUIRED RECORDKEEPING 4.1 Contractor shall keep at all times accurate and complete records and accounts in writing and otherwise in accord with accepted accounting practices. Records shall include but not be limited to, schedules indicating which areas were serviced, and records pertaining to herbicide/pesticide application. The Contractor providing services must submit a Maintenance and Chemical Application Log for each site, with monthly invoices. The Contractor must use the form provided by the City, attached hereto as Exhibit E. Upon approval, the City may accept alternate formats, such as a USDA log, to report chemical applications. 4.2 Contractor shall allow the City, or it's duly authorized representative or agent, reasonable and adequate access to all records, data, copies, or duplicates without charge. 4.3 Each Monday, Contractor shall deliver to the City a written or electronic report of work performed during the previous week. The City will not process a purchase order for payment if Contractor does not timely and accurately provide these reports. In the event no such written report is received by the City, the City's record shall control in any dispute between Contractor and the City, and the Contractor waives and releases its right to prove or allege any facts or other data differing from the City's record. 4.4 Within seven days of the effective date of this Contract, the Contractor shall submit for the City's approval, a daily service schedule, together with a planned service to areas outlined on maps attached as Exhibit C or as may hereinafter be amended by the City. Contractor shall designate which holidays it will observe and indicate all schedule modifications if the holiday falls on a regular service day. Should the Contractor need to modify the schedule as submitted, the Contractor shall give not less than seven days' written notice to the City. 4.5 Contractor shall maintain accurate records of the sites utilized for disposal of the vegetation spoils. At a minimum, these records shall show dates and times of transportation and disposal, number of spoils disposed, and the name and location of the disposal site used. This information shall be provided in the 10 Contractor's weekly reports. Disposal tickets, receipts and/or invoices shall be attached to Contractor's monthly invoices. 4.6 Contractor shall maintain all records for a minimum of seven years after the termination date of this Contract or such longer time as is the duration of any litigation arising out of Contractor's performance of the Contract. S. CHANGES 5.1 The City may issue a written change order for any change in the goods, materials or services to be provided during the performance of this Agreement. If the Contractor determines, for any reason, that a change order is necessary, the Contractor must submit a written change order request to the person listed in the notice provision section of this Contract, within fourteen (14) calendar days of the date the Contractor knew or should have known of the facts and events giving rise to the requested change. If the City determines that the change increases or decreases the Contractor's costs or time for performance, the City will make an equitable adjustment. The City will attempt, in good faith, to reach agreement with the Contractor on all equitable adjustments. However, if the parties are unable to agree, the City will determine the equitable adjustment as it deems appropriate. The Contractor shall proceed with the change order work upon receiving either a written change order from the City or an oral order from the City before actually receiving the written change order. if the Contractor fails to require a change order within the time allowed, the Contractor waives its right to make any claim or submit subsequent change order requests for that portion of the contract work. If the Contractor disagrees with the equitable adjustment, the Contractor must complete the change order work; however, the Contractor may elect to protest the adjustment as provided in this Contract. 5.2 The Contractor accepts all requirements of a change order by: (1) endorsing it, (2) writing a separate acceptance, or (3) not protesting in the way this section provides. A change order that is accepted by the Contractor as provided in this section shall constitute full payment and final settlement of all claims for contract time and for direct, indirect and consequential costs, including costs of delays related to any work, either covered or affected by the change. 6. LIABILITY, INDEMNIFICATION, AND INSURANCE 6.1 Damage to Property. Contractor shall protect all public and private utilities and property from damages by Contractor's operation. If utilities or property are damaged by reason of the Contractor's operations, Contractor shall, at its own expense, promptly repair or replace same to the original and/or better conditions. In the event Contractor fails to promptly make the repairs, the City shall make the repair or replacement, and the cost of doing so shall be billed to Contractor or alternately at the City's option, the City may deduct that cost from any payments due the Contractor. The Contractor shall be responsible for all consequences and shall defend, indemnify and hold the City harmless for any losses caused by the damaging or interruption of utility services or damages to property. 11 6.2 Hold harmless. The Contractor shall defend, indemnify and hold the City, its officers, officials, employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal costs and attorney fees, arising out of or in connection with the performance of this Contract, except to the extent that such injuries and damages are caused by the sole or contributory negligence of the City. 6.3 Acceptance by City not a waiver. The City's inspection or acceptance of any of the Contractor's work when completed shall not be grounds to avoid any of these covenants of indemnification. 6.4 Potential limits to liability. Should a court of competent jurisdiction determine that this Contract is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Contractor and the City, its officers, officials, employees, agents and volunteers, the Contractor's liability hereunder shall be only to the extent of the Contractor's negligence. 6.5 Waiver of immunity under industrial insurance. Solely for purposes of enforcing the indemnification obligations of a party under the terms of this Contract, Contractor expressly waives its immunity under Title 51 RCW and acknowledges that such waiver has been specifically negotiated. 6.6 Refusal of Tender. In the event the Contractor refuses tender of defense in any suit or any claim, if that tender was made pursuant to this indemnification clause, and if that refusal is subsequently determined by a court having jurisdiction (or other agreed tribunal) to have been a wrongful refusal on the Contractor's part, then the Contractor shall pay all the City's costs for defense, including all reasonable expert witness fees and reasonable attorneys' fees, plus the City's legal costs and fees incurred because there was a wrongful refusal on the Contractor's part. 6.7 Limitation of Actions. CONTRACTOR MUST, IN ANY EVENT, FILE ANY LAWSUIT ARISING FROM OR CONNECTED WITH THIS AGREEMENT WITHIN 120 CALENDAR DAYS FROM THE DATE THE CONTRACT WORK IS COMPLETE OR CONTRACTOR'S ABILITY TO FILE THAT SUIT SHALL BE FOREVER BARRED. THIS SECTION FURTHER LIMITS ANY APPLICABLE STATUTORY LIMITATIONS PERIOD FOR CLAIM'S FILING BY CONTRACTOR. 6.8 Terms Survive Expiration of Contract. The provisions of this Contract that address insurance and indemnification shall survive the expiration or termination of this Contract unless a specific section of this Contract states otherwise. 12 7. FORCE MAJEURE Neither party shall be liable to the other for breach due to delay or failure in performance resulting from acts of God, acts of war or of the public enemy, riots, pandemic, fire, flood, or other natural disaster or acts of government ("force majeure event"). Performance that is prevented or delayed due to a force majeure event shall not result in liability to the delayed party or payment to the Contractor by the City. Both parties represent to the other that at the time of signing this Agreement, they are able to perform as required and their performance will not be prevented, hindered, or delayed by any existing state or national declarations of emergency, or any current social distancing restrictions or personal protective equipment requirements that may be required under federal, state, or local law in response to public health needs. If any future performance is prevented or delayed by a force majeure event, the party whose performance is prevented or delayed shall promptly notify the other party of the existence and nature of the force majeure event causing the prevention or delay in performance. Any excuse from liability shall be effective only to the extent and duration of the force majeure event causing the prevention or delay in performance and, provided, that the party prevented or delayed has not caused such event to occur and continues to use diligent, good faith efforts to avoid the effects of such event and to perform the obligation. Changes from force majeure events shall still be subject to the change order process in Section 5 of this Contract. Except as expressly contemplated by this section, all other costs will be borne by the Contractor. S. CLAIMS If the Contractor disagrees with anything required by a change order, another written order, or an oral order from the City, including any direction, instruction, interpretation, or determination by the City, the Contractor may file a claim as provided in this section. The Contractor shall give written notice to the City of all claims within 14 days of the occurrence of the events giving rise to the claims, or within 14 days of the date the Contractor knew or should have known of the facts or events giving rise to any claim, whichever occurs first. Any claim for damages, additional payment for any reason, or extension of time, whether under this Agreement or otherwise, shall be conclusively deemed to have been waived by the Contractor unless a timely written claim is made in strict accordance with the applicable provisions of this Agreement. At a minimum, a Contractor's written claim shall include the information set forth in subsections A, items 1 through 4 below. FAILURE TO PROVIDE A COMPLETE, WRITTEN NOTIFICATION OF CLAIM WITHIN THE TIME ALLOWED SHALL BE AN ABSOLUTE WAIVER OF ANY CLAIMS ARISING IN ANY WAY FROM THE FACTS OR EVENTS SURROUNDING THAT CLAIM OR CAUSED BY THAT DELAY. A. Notice of Claim. Provide a signed written notice of claim that provides the following information: 1. The date of the Contractor's claim. 2. The nature and circumstances that caused the claim. 13 3. The provisions in this Agreement that support the claim; and 4. The estimated dollar cost, if any, of the claimed work and how that estimate was determined. B. Records. The Contractor shall keep complete records of extra costs and time incurred as a result of the asserted events giving rise to the claim. The City shall have access to any of the Contractor's records needed for evaluating the protest. The City will evaluate all claims, provided the procedures in this section are followed. If the City determines that a claim is valid, the City will adjust payment for work or time by an equitable adjustment. No adjustment will be made for an invalid protest. C. Contractor's Duty to Complete Protested Work. Despite any claim, the Contractor shall proceed promptly to provide the goods, materials and services required by the City under this Agreement. D. Failure to Protest Constitutes Waiver. By not protesting as this section provides, the Contractor also waives any additional entitlement and accepts from the City any written or oral order (including directions, instructions, interpretations, and determination). E. Failure to Follow Procedures Constitutes Waiver. By failing to follow the procedures of this section, the Contractor completely waives any claims for protested work and accepts from the City any written or oral order (including directions, instructions, interpretations, and determination). 9. MISCELLANEOUS PROVISIONS 9.1 Insurance. The Vendor shall procure and maintain for the duration of the Agreement, insurance of the types and in the amounts described in Exhibit D, attached and incorporated by this reference. 9.2 Discrimination. In the hiring of employees for the performance of work under this Agreement or any sub-contract, the Vendor, its sub-contractors, or any person acting on behalf of the Vendor or sub-contractor shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory, mental, or physical disability, discriminate against any person who is qualified and available to perform the work to which the employment relates. The Vendor shall execute the attached City of Kent Non-Discrimination Policy Declaration and comply with City Administrative Policy 1.2. 9.3 Affirmation Of Knowing Decision By Contractor. The Contractor acknowledges that it has made its own examination, investigation, and research regarding the proper method of doing the work, all conditions affecting the work to be done, the labor, equipment and materials needed and the quantity of the work to be performed. The Contractor is satisfied with its own investigation and research regarding all of these conditions and the Contractor's decision to enter 14 into this Contract is based upon such investigation and research. The Contractor further assumes full responsibility for any estimates, statements or interpretations made by any officer or agent of the City whether or not all or part of any of those estimates, statements or interpretations may prove to be in any respect erroneous. 9.4 Permits and licenses. The Contractor shall be responsible to obtain and pay for any permits or licenses required by the City or any other local, state or federal governmental authority that are necessary to perform the Contract, including all required licenses for Contractor's officers, agents, employees and subcontractors. 9.5 Independent contractor status. The parties agree that Contractor is and shall be at all times acting as an independent contractor and not an employee of the City for the purposes of this Contract. 9.6 Laws to be observed. The Contractor shall always comply with all Federal, State, regional, and local laws, ordinances and regulations that affect Work under this Contract. The Contractor shall defend, indemnify, and save harmless the City (including elected officials, agents, officers, and employees) against any claims that may arise because the Contractor (or any employee of the Contractor or any subcontractor) violates a legal requirement. This subsection 4.3 is supplemental and in addition to any section or subsection in this Contract that makes reference to specific laws, ordinances or regulations. 9.7 Taxes and insurance fees. The Contractor shall secure at its expense and shall be responsible for all payments of sales and income taxes, social security withholding, state disability insurance compensation, unemployment compensation, and all other payroll deductions for the Contractor, officers, agents, employees and subcontractors. 9.8 Employee and Subcontractor requirements; Prevailing Wage. Contractor and any subcontractors shall comply with the following employee requirements: 9.8.1 All workers shall be competent and experienced in the performance of the Work to which they are assigned. Failure or delay in the performance of this Contract due to the Contractor's failure to provide workers adequate in number and skill to perform the Contract shall constitute a material breach of this Contract. 9.8.2 Contractor shall file a "Statement of Intent to Pay Prevailing Wages," with the State of Washington Department of Labor & Industries prior to commencing the contract work. The Contract shall pay prevailing wages in effect on the date the bid is accepted or executed by the Contractor and comply with Chapter 39.12 of the Revised Code of Washington, as well as any other applicable prevailing wage rate provisions. Contractor shall require that all operators of its Landscaping Vehicles maintain current, valid, appropriate Washington State Driver's Licenses and any other pertinent requirements thereof, including commercial driver's licenses and insurance, if not insured by Contractor. 9.9 Contacts. Contractor's responsible management or supervisory persons shall be accessible at or through Contractor's office during regular business hours (8:00 A.M. to 5:00 P.M.) on weekdays to assure the required contractual performance. Contractor shall maintain a telephone message system to receive messages when the office is closed. In addition, the parties agree that they will establish acceptable procedures for communication of necessary information. Each party agrees to designate a key employee who will be the responsible contact person for that party with respect to implementation of the Contract and communication of information necessary for performance. Each party agrees to follow the procedures established between the parties for regular, effective communication of information between the parties, including Emergency events that may occur outside of regular business hours. 9.10 Terms of This Contract Controlling. The written provisions and terms of this Contract, its exhibits and attachments, amendments and change orders shall supersede all statements of any officer or other representative of the City, whether oral or written, and such statements shall not be effective or be construed as entering into or forming a part of, or altering in any manner whatsoever, this Contract. 9.11 Waiver Must be in Writing. No waiver of any of the provisions of this Contract shall be binding unless in writing and signed by a duly authorized representative of the City. 9.12 Severability and Re-ward of Contract. If any section, sentence, clause or phrase of this Contract should be held to be invalid or unconstitutional by a court of competent jurisdiction, such invalidity or unconstitutionality shall not affect the validity or constitutionality of any other section, sentence, clause or phrase of this Contract. In the event that any of the provisions of this Contract are held to be invalid by a court of competent jurisdiction, the City reserves the right to reconsider the award of this contract and may amend, repeal, add, replace or modify any other provision of this Contract, or may terminate this Contract. 9.13 Disputes. This Contract shall be governed by and construed in accordance with the laws of the State of Washington. If the parties are unable to settle any dispute, difference, or claim arising from the performance of the Contract, the exclusive means of resolution shall be by filing suit under the venue, rules and jurisdiction of the Superior Court for King County Washington. In any claim or lawsuit for damages arising from the performance of this Contract, each party shall pay its own legal costs and attorneys' fees. Provided, however, nothing in 16 this paragraph shall be construed to limit the City's right to indemnification. 9.14 Notices. All notices other than operation contacts specified otherwise in this Contract shall be sent to the parties at the addresses below. Any written notice shall become effective three (3) days after the date of mailing by registered or certified mail and shall be deemed sufficiently given if sent to the addressee at the address stated in this Contract or such other address as may hereafter be specified in writing. 9.15 Entirety. The Contract, Contractor's Response to the RFP and all forms and attachments are incorporated into this Contract by this reference and represent the entire agreement of the City and the Contractor with respect to the services to be provided under this Contract. To the extent any conflicting terms or conditions exist among this Contract, the Response to the RFP and the attachments, this Contract shall control. No prior written or oral statement or proposal shall alter any term or provision of this Contract. A. Minimum Scope of Insurance Contractor shall obtain insurance of the types described below: Commercial General Liability insurance shall be written on Insurance Services Office (ISO) occurrence form CG 00 01 and shall cover liability arising from premises, operations, independent contractors, products-completed operations, personal injury and advertising injury, and liability assumed under an insured contract. The Commercial General Liability insurance shall be endorsed to provide the Aggregate Per Project Endorsement ISO form CG 25 03 11 85. The City shall be named as an insured under the Contractor's Commercial General Liability insurance policy with respect to the work performed for the City using ISO additional insured endorsement CG 20 10 11 85 or a substitute endorsement providing equivalent coverage. If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. The Contractor may use Umbrella or Excess Policies to provide the liability limits as required in this Agreement. This form of insurance will be acceptable if all the Primary and Umbrella or Excess Policies shall provide all the insurance coverages herein required. The Umbrella or Excess policies shall be provided on a true "following form" or broader coverage basis, with coverage at least as broad as provided on the underlying Commercial General Liability insurance. Automobile Liability insurance providing bodily injury and property damage liability coverage for all automobiles/vehicles used in the performance of this Agreement. This coverage must be on a primary and non-contributory basis only. Coverage shall be written on ISO form CA 00 01, or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. Workers' Compensation coverage for the employees of Contractor and subcontractors as required by the Industrial Insurance laws of the State of Washington. B. Minimum Amounts of Insurance Contractor shall maintain the following insurance limits: 45 Commercial General Liability insurance shall be written with limits no less than $2,000,000 per occurrence, $2,000,000 general aggregate, and $2,000,000 products-completed operations aggregate limit. Primary Non-Contributory Additional Insured coverage for the City of Kent, et. al. Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per occurrence. If the Contractor maintains broader coverage and/or higher limits than the minimums shown above, the City requires and shall be entitled to the broader coverage and/or the higher limits maintained by the Contractor. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City. The above policy limits may be obtained with excess liability (umbrella) insurance. C. Other Insurance Provisions The insurance policies are to contain, or be endorsed to contain, the following provisions: 1. The Contractor's insurance coverage shall be primary insurance with respect to the City. Any insurance, self-insurance, or insurance pool coverage maintained by the City shall be in excess of the Contractor's insurance policies and shall not contribute to the Contractor's insurance policies. 2. Contractor's insurer must deliver, or mail written notice of cancellation to the named insured at least forty-five (45) days before the effective date of the cancellation. The Contractor's insurance policy shall include an endorsement that provides the City with written notice of cancellation forty-five (45) days before the effective date of the cancellation. If Contractor's insurer fails to provide the City with a copy of the notice of cancellation endorsement, the Contractor must notify the City of any cancellation, nonrenewal or termination within two (2) business days of their receipt of such notice. 3. The City of Kent shall be named as an additional insured on all policies (except Professional Liability) with respect to work performed by or on behalf of the Contractor and a copy of the endorsement naming the City as an additional insured shall be attached to the Certificate of Insurance. The City reserves the right to receive a certified copy of all required insurance policies. The Contractor's Commercial General Liability insurance shall also contain a clause stating that coverage shall apply separately to each insured against whom claims are made or suit is brought, except with respect to the limits of the insurer's liability. 46 D. Acceptability of Insurers Insurance is to be placed with insurers with a current A.M. Best rating of not less than A:VII. E. Verification of Coverage Contractor shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Contractor before commencement of the work. The City waives no rights, and the Contractor is not excused from performance if Contractor fails to provide the City with a copy of the endorsement naming the City as a Primary Non-Contributory Additional Insured. F. Subcontractors Contractor shall include all subcontractors as insureds under its policies or shall furnish separate certificates and endorsements for each subcontractor. Certified Crane Operator Premium: Crane operators requiring certifications shall be paid$0.50 per hour above their classification rate. Boom Pay Premium: All cranes including tower shall be paid as follows based on boom length: (A)—130'to 199'—$0.50 per hour over their classification rate. All flaggers and spotters shall possess a current flagging card issued by the State of Washington,Oregon,Montana,or Idaho.These classifications are only effective on or after August 31,2012. D. Industrial Painter wages are required for painting within industrial facilities such as treatment plants,pipelines, towers,dams,bridges,power generation facilities and manufacturing facilities such as chemical plants,etc.,or anywhere abrasive blasting is necessary to prepare surfaces,or hazardous materials encapsulation is required.
