All other provisions of the original Agreement or prior Amendments not inconsistent with this Amendment shall remain in full force and effect. SUBTOTAL $3,150.00 TAX RATE X TOTAL TAX $0.00 Signature Print Name&Title Date Estimate Total $ 3,150.00 AGS Terms&Conditions 1)Time and Material Basis:All AGS estimates are based on the best publicly available information at time of bid and may be subject to fluctuations based on various factors(i.e.,OT/DT hours,additional crew added,additional equipment,etc.).With the exception of identified lump sum items(Mob,Admin,etc.),AGS bills on actual time and material basis. 2)Union Shop:AGS is a union shop and its Field Crew members belong to the Laborers Union in Washington.As such,AGS field crew employees are subject to Labor Union work and pay rules(portions of agreement will be made available upon Prime Contractor request as Prime is responsible for familiarizing themselves with union work and pay rules in advance of project).All hours will be charged in increments of 2 hours(i.e.,2,4,6,8,10)depending on shift schedule of 5/8s or 4/10s. 3)Missed Lunches:Per Union work rules regarding lunch breaks,the Contractor is responsible for allowing AGS TCS and field crew(or in case of no AGS TCS present on jobs)to take a 30-minute unpaid lunch if the work shift lasts more than a five(5)hours shift.If the crew member is unable to take a lunch(not due to their own decision),the Contractor will be invoiced one-half(1/2)hour at the applicable over time billing rate.When field crew members are required to work more than ten(10)hours,they shall be allowed a second one-half(1/2)hour meal period after the eleventh hour.If not given one-half(1/2)hour meal period,one-half(1/2)hour at the applicable overtime rate shall be added to hours worked.Field crew members required to work more than fifteen(15)hours shall be allowed an additional one-half(1/2)hour meal period(a third lunch period for 8-hour shift field crew members and a second lunch period for 10-hour shift employees)after the seventh hour worked which shall be considered as time worked.If not given the one-half(1/2)hour meal period,one half(1/2)hour at the applicable overtime billing rate shall be added to hours worked. 4)Laydown Yard:Estimate assumes that Prime Contractor will provide AGS with a secure lay-down yard for all equipment.If a laydown yard is unavailable,mobilization will be subject to revision. 5)Cancellation Policy:A minimum 4-hour charge per laborer along with truck/equipment and MOB for the day for all jobs and any jobs cancelled within 2 hours of start time. 6)MOB or Traffic Control Other Lump Sum:Paid 1/2 at project launch and 1/2 at project mid-point. 7)Shift Assumptions: Base estimate assumes Day Shift operations with one crew. Additional crew/shifts or additional equipment beyond the base estimate,or as contained in an AGS subcontract,may incur incremental MOB for the equipment and requires a minimum of 10 calendar days advanced notice if additional headcount beyond the base final estimate is needed.
