WHEREAS,the Parties have entered into a certain Food Service Agreement(the "Agreement"), effective February 18, 2023; WHEREAS,the Parties have agreed to extend the Agreement with a pricing adjustment; and WHEREAS,the Parties now desire to amend said Agreement upon the terms and conditions stated herein. NOW,THEREFORE,the Parties, intending to be legally bound hereby, mutually agree as follows: 1. Term.This Agreement shall be extended for an additional year beginning February 18, 2024. 2. Payment Arrangement. Per Section 7.5 of the Agreement,Section 7.1 shall be amended to reflect the following: a. Pricing Structure. Company shall charge and Client shall pay eight dollars and eighty-five cents($8.85) per meal. Total payments shall not exceed three hundred and fifty-six thousand dollars ($356,000.00) under this Agreement. 3. Payments Due Dates and Late Payment Penalty.Section 7.2 of the Agreement shall be modified to include the following language: Any change of banking information or change in the method of monies being transmitted or received shall be documented in hard copy(printed on paper)and delivered by hand,via certified or registered mail return receipt requested, or by overnight delivery service with a receipt of delivery, provided that such delivery is to the parties per Notice. In the alternative,the Company, at its discretion, may request verification by phone of any change of banking information or change in the method of monies being transmitted or received. 4. Change in Conditions. Section 7.4 of the Agreement shall be modified to include the following language: In the event of change in the Conditions, inaccuracy of the Representations, or if Client requests any significant change in the Food Services as provided under this Agreement,the financial terms and other obligations assumed by Company shall be renegotiated to reflect a proportionate increase in Company's charges to the Client.Company will provide a thirty(30)day notice of such increased charges. -REMAINDER OF PAGE LEFT INTENTIONALLY BLANK— DocuSign Envelope ID: F2BEOF77-0950-4482-9B54-A922DAD2C83D This Amendment is effective as of February 18, 2024. The lunch caterer will serve more than 12,500 members of the senior community for one year. For many individuals, this lunch is their primary, if not only meal of the day. BUDGET IMPACT: This program and expense is budgeted within the General Fund, Kent Parks, Senior Activity Center operating budget.
