The Licensee fees for each Renewal Term will be based on the vendors defined on the system as of the Term renewal date plus any deleted vendors
who had made at least one connection at any point during the preceding Term("Total Vendors"),with a minimum of 27 vendors.The cost per vendor
over 27 will increase the license fee by USD 1,000.00/year for the ensuing Renewal Term.

Your use of any on prem Imprivata Software, Hardware and/or Services set forth on this Quote is governed by the applicable terms set forth at
imprivata.com/legal(https:Himprivata.com/legal).Your use of any cloud hosted Imprivata Software and/or Services set forth on this Quote is governed by
the applicable terms set forth at imprivata.com/Imprivata-master-cloud-services-agreement(https://www.imprivata.com/imprivata-master-cloud-services-
agreement). In each case,the terms are accepted by you by either(i)your execution of the Quote,(ii)your issuance of a purchase order and/or(iii)your
installation of or access to the Imprivata Software or Hardware.Provided,however, if the parties have mutually executed a written agreement for the
purchase of such Software,Hardware and/or Services, in which case,the written agreement shall govern.This quote excludes applicable sales taxes
and should not be considered the final total price and it will be added upon invoicing if applicable. Prices do not include,and you shall be responsible for,
all applicable taxes of any kind due in respect of the transactions contemplated by this Agreement,except taxes on Imprivata's net income.
Payment is due Net 30 days from the date of said invoice.All prices exclude shipping charges which are added upon invoicing, if applicable.Software
and hardware will be invoiced upon shipment.Services will be invoiced upon receipt of customer purchase order.
The Term,as defined in the Agreement,will automatically renew for subsequent one-year periods(each a"Renewal Term")unless either Party gives the
other Party written notice of termination at least sixty days prior to the end of the then-current Term.
