RELOCATION AND REIMBURSEMENT AGREEMENT
This Relocation and Reimbursement Agreement("Agreement") is entered into this 8th day
of November, 2023 (the "Effective Date"), by and between the City of Kent, with its principal
offices at 220 Fourth Ave South, Kent, WA, 98032 ("City") and Qwest Corporation, d/b/a
CenturyLink QC, a Colorado corporation with its principal offices at 931 14th St, Denver, CO
80202 ("CenturyLink"). City and CenturyLink may be collectively referred to as the "Parties" or
individually as a"Party".
RECITALS
A. CenturyLink is a public utility that provides telecommunications and related
services in the state of Washington;
B. CenturyLink operates telecommunications lines, conduit, handholes, manholes,
equipment, boxes, terminals, and other related and appurtenant facilities (the
"Facilities") under, over, across, and through private and public property pursuant
to rights granted to it pursuant to state law, including RCW 80.36.040;
C. City has requested CenturyLink relocate certain Facilities located within existing
easements ("Current Easements"), copies of which are attached hereafter in
Exhibit A; to clear conflicts with the Mill Creek Reestablishment in Kent,
Washington ("Project"), as further shown in Exhibit B (the "Affected Facilities"
as hereinafter defined), collectively the"Relocation Work";
D. Relocation of CenturyLink facilities is governed by its tariffs, including section 4.6
of its Exchange and Network Services tariff(available as of the Effective Date at
https://www.centuryIink.com/tariffs/wa_gc_ens_c_no_2.pdo (all applicable
CenturyLink tariffs are referred to herein as "Tariff') setting forth its Special
Construction process.
AGREEMENT
NOW THEREFORE in consideration of the foregoing and for other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, CenturyLink and
City agree as follows:
1. Incorporation of Recitals. The above-stated Recitals and the exhibits referenced
therein are incorporated into this Agreement and made a part hereof by this reference to the same
extent as if set forth in full at this point.
2. Purpose. This Agreement applies to the relocation design of CenturyLink Facilities
and associated approval thereafter. The purpose of this Agreement is to ensure that CenturyLink
will design the relocation of its facilities for future construction, to accommodate the City's
project. CenturyLink will be compensated, in full, its direct and indirect costs to perform the work
herein described. This Agreement does not apply to any affiliates or the facilities of any affiliates
of CenturyLink, including, but not limited to, CenturyLink Communications, LLC, Level 3
Communications, LLC, or Level 3 Telecom of Washington, LLC.
The Scope of Work in this agreement does not include preparation of contract documents
to advertise work or construction activities.
3. Preliminary Relocation Design Engineering Cost. CenturyLink will prepare
invoices and summaries of activities to submit to the City. Upon review and approval by the City,
the City will pay CenturyLink the invoiced amount, within 45 days of the issued date. Failure to
pay for the estimated preliminary relocation design engineering costs within 90 days will cause
this Agreement to terminate but will not relieve City of its requirement to pay all costs incurred by
CenturyLink through the date of such termination.

4. Preliminary Relocation Plan Design
a. Preliminary Relocation Design and Plans. Preliminary relocation design and plans
prepared by Terra Technologies (Consultant), the relocation engineering consultant selected by
CenturyLink, will include proposed relocation route, depths, and proposed impact area based on
the Mill Creek Reestablishment plans as noted in Exhibit B. CenturyLink will provide the
preliminary relocation design and plans to the City. Both parties will have 6 weeks to review and
provide comments for the preliminary relocation design and plans. The City and CenturyLink will
mutually share comments with the other party at the end of this time.
b. Preliminary Relocation Plan Approval. The City must provide written approval of
preliminary relocation plans to CenturyLink to progress to the design process. Upon receipt of the
City's approval and written concurrence from CenturyLink, CenturyLink will give the Consultant
approval to progress the relocation design and plans.
C. Preliminary Construction Cost Estimate. CenturyLink will prepare a preliminary
construction cost estimate prepared for the preliminary relocation plans including contingency
costs and anticipated inflation. The updated preliminary construction cost estimate will be
delivered to the City at the same time as the updated preliminary relocation plans. Both parties
will have 2 weeks to review and provide comments for the preliminary construction cost estimate.
The City and CenturyLink will share their comments with the other party at the end of this 2-week
period.
d. Preliminary Cost Estimate Approval. The City must provide written approval of
preliminary construction cost estimate to CenturyLink to progress the design process. Upon receipt
of the City's approval and written concurrence from CenturyLink, CenturyLink will give the
Consultant approval to progress the relocation design and plans.

e. Design Deliverables and Schedule. The following will be used as the basis for
design progression:
i. 60% Design — This will include and address the following: location of
proposed relocated facility, constructability, approximate quantities,
anticipated access, footprint, and construction needs, identification of
construction risks,construction milestones and overall duration. Comments
received from the permitting process will be included in this iteration.
This will be prepared by the Consultant and routed for review by both
parties 4 weeks following approval of the Preliminary design and
preliminary cost estimate.
Both parties will have 2 weeks thereafter to review and provide comments.
The City and CenturyLink will mutually share comments with the other
party at the end of this time. CenturyLink will compile all comments and
share with the Consultant.Compiled comments will be shared with the City.
ii. 90% Design—This will include the following: completion of incorporated
comments from outside agencies, permitting agencies and other
stakeholders. Expect no significant project changes. Preparation of project
bid plans, engineer's estimate and specifications will be included in this
stage.
This will be prepared by the Consultant and routed for review by both
parties 4 weeks following approval of the 60%design.
Both parties will have 2 weeks thereafter to review and provide comments.
The City and CenturyLink will mutually share comments with the other
party at the end of this time. CenturyLink will compile all comments and
share with the Consultant.Compiled comments will be shared with the City.
iii. Final Design — This will include the following: finalization of last-minute
comments.
This will be prepared by the Consultant and routed for review by both
parties 2 weeks following approval of the 90%design.
Both parties will have 2 weeks thereafter to review and provide comments.
The City and CenturyLink will mutually share comments with the other
party at the end of this time. CenturyLink will compile all comments and
share with the Consultant.Compiled comments will be shared with the City.

f. Excavation. CenturyLink authorizes excavation by the City, including its
contractors, as necessary to locate existing infrastructure in and adjacent to the Affected Facility.
Excavations shall be backBlled with "in-kind" material to match existing conditions.
5. Miscellaneous.
a. Insurance. Without limiting the liabilities or indemnification obligations of each
Party, each Party shall at its own cost and expense, carry and maintain the insurance coverage
listed below with insurers having a minimum "Best's" rating of A-VII and licensed/authorized to
do business in the State of Washington. The Parties may obtain all insurance limits through any
combination of primary and excess or umbrella liability insurance. Each Party will require its
subcontractors and agents to maintain the proper insurance applicable to the type and scope of
work to be performed under this Agreement.
(a) Commercial General Liability insurance covering claims for bodily injury, death,
personal injury or property damage (including loss of use), including coverage for
products/completed operations and contractual liability coverage. The limits of insurance
shall not be less than:

General Aggregate $2,000,000
(b) Workers' Compensation insurance with statutory limits as applicable in each state
where the services are to be performed including Employer's Liability or "Stop Gap"
insurance with limits of not less than $1,000,000 each accident.
(c) Commercial Automobile Liability insurance covering the ownership,operation and
maintenance of all owned, non-owned and hired motor vehicles used in connection with
the performance of this Agreement,with limits not less than$1,000,000 per occurrence for
bodily injury and property damage.

(d) Excess/Umbrella Liability Insurance: $5,000,000 each occurrence
Each Party shall make available to the other Party evidence of such insurance upon execution of
this Agreement and upon any renewal of such insurance.The certificate(s)or evidence of insurance
shall provide that (i)the other Party be included as additional insured as their interest may appear
with respect to insurance provisions (a), (c), and (d) of this Agreement; (ii) coverage is primary
and not excess of, or contributory with, any other valid and collectible insurance purchased or
maintained by the other Party subject to the indemnification provisions of this Agreement.
Evidence of CenturyLink's insurance is available at all times at www.lumen.com/moi.
b. Indemnification. Each party agrees to indemnify the other, its officers and
employees, from third party claims for property damage or bodily injury, including death, and to
defend against such claims by third parties,to the extent proximately caused by: (a)the negligence
or willful misconduct of the indemnifying party, its employees or contractors, or (b) the
indemnifying party's breach of this Agreement.
C. Complete Agreement. This Agreement contains the entire agreement of the Parties
with respect to this subject matter and supersedes all prior or contemporaneous writings or
discussions relating to the Agreement.
d. Amendment. This Agreement may not be amended except by a written document
executed by the authorized representatives of Grantor and Grantee; provided, however that entry
into the New Easement(s), and/or Special Construction Proposal(s) shall not be considered an
amendment of this Agreement.
e. Counterparts. This Agreement may be executed in counterparts, each of which
shall be treated as an original for all purposes and all executed counterparts shall constitute one
agreement.

f. Attorneys' Fees. If City or CenturyLink brings an action at law or in equity to
enforce or interpret one or more provisions of this Agreement, each party shall be responsible for its
own costs, including attorneys' fees.
g. Successors and Assigns. This Agreement shall be binding on and benefit each
parties' respective affiliates, successors and assigns.
h. Remedies. In the event of breach of this Agreement by either Party, the non-
defaulting Party shall have all remedies available at law and equity, including the right to seek
specific performance of the defaulting parties' obligations.
i. Law; Venue. This Agreement shall be construed under the laws of the State of
Washington. Venue and jurisdiction of any lawsuit involving the Agreement shall exist exclusively in
the state and federal courts located in King County Washington.
j. Notices. Any notice sent by first class mail, postage paid, to the address and
addressee, shall be deemed to have been given when in the ordinary course it would be delivered.
The representatives of the parties who are primarily responsible for the administration of this
Agreement, and to whom notices, demands and communications shall be given are as follows:
