This Amendment No. 1 ("Amendment') to that certain Statement of Work No. 4 for Consulting Services
dated October 21, 2019 (the "SOW") is entered into by and between Rimini Street, Inc. ("Rimini Street")
and City of Kent, Washington ("Client'). This Amendment is effective as of the date of the last signature
of the parties below("Amendment Effective Date").
This Amendment shall become part of and subject to the terms and conditions of the SOW, which except
as modified herein, remains unchanged and in full force and effect. However, to the extent that the terms
and conditions expressly set forth in this Amendment conflict with the terms and conditions of the SOW,
the terms and conditions expressly set forth in this Amendment will prevail. Unless otherwise defined in
this Amendment, capitalized terms used herein shall have the meanings assigned to such terms in the
SOW.
WHEREAS, Rimini Street and Client are parties to the SOW, which expired pursuant to its terms as of
December 31, 2019; and
WHEREAS, Rimini Street and Client now wish to renew and extend the term of the SOW;
NOW, THEREFORE, in consideration of the mutual promises herein, the Parties hereby agree as follows:
1. The Parties hereby renew the SOW in its entirety retroactive to January 1, 2020 and the SOW
shall be deemed to have been in full force and effect since such date.
2. Section 3(a) ("Term") is hereby amended to extend the term of the SOW until March 31, 2020.
By signing below, the undersigned certify that they have read and understand, and agree to be legally
bound by, this Amendment.
