Background A. The Owners own real property located at 25227 Reith Road, Kent, WA 98032 (the "Property"). B. To accommodate the City's Reith Road Roundabout Project ('Project"), the City must acquire from the Owners the following property and/or property rights: 332.47 square feet of right-of-way in fee, as legally described in Exhibit A and depicted in Exhibit B to Attachment A to this Agreement (the "Warranty Deed"), and a temporary easement over a 3,382.07 square foot portion of the property, as legally described in Exhibit A and depicted in Exhibit B to Attachment B to this Agreement (the "Temporary Easement"). C. Construction of the Project requires regrading of Owners' yard and driveway, relocation of Owner's mailbox and garbage pick-up location, and removal of trees located on the Property as depicted in Attachment C to this Settlement Agreement. D. The Owners would like the City to replace the pear tree that will be removed from the southwest corner of the Property as part of the Project. They would also like assurances that they will have access to their home during construction, that their driveway will be rebuilt, that the lawn will be restored as part of the Project, and that their mailbox will be relocated after it is removed from its current location. The Owners would also like assurance that there will be nearby street parking available to them in the event they are not able to use their driveway when their driveway is under construction. Kogita/Lee Settlement Agreement - Page 1 of 4 E. The City would like to accommodate the Owners' requests as part of the settlement for acquisition of the above-referenced property rights. The parties therefore agree as follows: Agreement 1. Settlement of Claims. The parties agree on the following as full and final settlement of all claims for just compensation and any other causes of action related in any way to the City's acquisition of property rights and its use of the Property for its Project. 2. Preparation and Execution of the Deed and Easement. 2.1 The Owners will execute the Warranty Deed, attached as Attachment A, within 5 business days after the Effective Date of this Settlement Agreement. 2.2 The Owners will execute the Temporary Easement, attached as Attachment B, within 5 business days after the Effective Date of this Settlement Agreement. 3. City Payment. 3.1 The City will pay the Owners the amount of $6,650.00 (six thousand, six hundred fifty dollars) as total just compensation for the right-of-way conveyed by the Warranty Deed. 3.2 The City will pay the Owners the amount of $5,411.00 (five thousand, four hundred and eleven dollars) as total just compensation for the Temporary Easement. 3.2 The City will pay the Owners the amount of $2,350.00 (two thousand, three hundred fifty dollars) as total just compensation for the value of improvements that will be displaced during construction of the Project. 3.4 The City will make all payments set forth in this Section 3 no later than 20 business days after the Effective Date of this Agreement, except that the City is not obligated to make these payments if the Owners have not fulfilled the obligations within Section 2 and this Section 3.4. To facilitate the City's payments, the Owners will deliver to the City, no later than 5 business days after the Effective Date of this Settlement Kogita/Lee Settlement Agreement - Page 2 of 4 Agreement, a completed Vendor Set-up Form and in the form attached as Attachment D, and the Acknowledgment attached as Attachment E. 4. Trees. As part of the Project, the City will remove two trees within the Temporary Easement Area, as depicted in Attachment C. The City will purchase and plant one fruit tree as a replacement ("Replacement Fruit Tree"). The Owner may choose the Replacement Fruit Tree however, the City only agrees to purchase and plant a Replacement Fruit Tree of approximately 1.25 to 2 inches in diameter that is available to purchase locally, reasonably priced, and is reasonably easy to acquire and plant in a location on the Property chosen by Owners. The Owners will be solely responsible for the care and maintenance of this tree after planting. In the unlikely event that the existing fruit tree is able to be preserved, a replacement tree will not be provided. 5. Driveway Lawn Mailbox, and Garbage Pick-Up. The City will rebuild the Owners' driveway and will restore the lawn. The City will coordinate with the Post Office to move the Owners' mailbox to a new location and will coordinate with Republic Services to establish a new location for garbage and recycling pick-up. 6. Access and Parking. The City will maintain pedestrian ingress and egress to the home for the Owners at all times during construction. The City will ensure that on-street parking is available for the Owners on S 253rd Street to the west of the Owners' driveway during times when driveway use is not available during construction. On-street parking will also be available on 42nd Place S. and 43rd Place S. 7. Successors and Assigns. This Settlement Agreement shall bind and inure to the benefit of the parties and their respective successors and assigns. 8. Amendments. This Settlement Agreement may only be amended in writing, signed by all parties. 9. Severability. If any term, covenant, condition, or provision contained in this Settlement Agreement is determined to be invalid, voided or otherwise unenforceable, by any court of competent jurisdiction, such determination shall in no way affect the validity or enforceability of any other term, covenant, condition, or provision contained in this Settlement Agreement. This Settlement Agreement may be executed in counterparts and/or transmitted electronically, and copies so executed or transmitted will be deemed originals. 11.Entire Agreement. This Settlement Agreement, together with all exhibits constitutes the entire agreement between the parties with respect to the subject matter of this Settlement Agreement. This Settlement Agreement is specifically intended by the parties to supersede all prior agreements whether written or oral. 12.Effective Date. The effective date of this Agreement is the last date signed below.
