FIRST AMENDMENT TO AGREEMENT
FOR AUTOMATIC LICENSE PLATE DETECTION BETWEEN
THE CITY OF KENT AND FLOCK GROUP, INC.
This First Amendment ("First Amendment"), to the Flock Group, Inc. contract
for automatic license plate detection, dated September 6, 2022 ("Agreement"), is
between Flock Group, Inc., a Washington corporation ("Flock"), and the City of Kent,
a Washington municipal corporation ("City").
RECITALS
A. The City and Flock entered into an Agreement on September 6, 2022
for hardware and software related to automatic license plate detection. Per the terms
of the Agreement, the Year 1 Total amount due to Flock was $67,000.00.
B. The City received the invoice from Flock for the Year 1 Total which came
to an amount of $73,767.00. It was discovered that the Agreement did not
contemplate applicable tax.
C. This First Amendment to the Agreement is necessary to amend the total
amount due to include applicable tax and to accurately reflect the Year 1 Total amount
payable to Flock.
AMENDMENT
The parties therefore agree as follows:
1. Compen_sation. The Year 1 Total as delineated in the Flock Group, Inc.
Services Agreement Order Form ("Order Form") signed by the Parties and
incorporated as part of the Agreement is hereby amended from $67,000.00 to
$73,767.00. This amount shall additionally be modified in any other location
throughout the Agreement where the Year 1 Total is referenced.
2. Replacement of Order Form to the Agreement. The Order Form to the
Agreement is replaced by the new Order Form attached to this First Amendment as
Exhibit A.
3. Ratifrcatian. All acts consistent with the authority of this First
Amendment and prior to its effective date are ratified and affirmed and the terms of
the Agreement and this Amendment shall be deemed to have applied.
4. Remaining Provisions. Except as specifically amended by this First
Amendment, all remaining provisions of the Agreement shall remain in full force and
effect.
