AMENDMENT NO. 1
This Amendment No. 1 ("Amendment") to that certain Statement of Work No. 1 for J.D. Edwards Support
Services dated August 3, 2018(the"JDE SOW") is entered into by and between Rimini Street, Inc. ("Rimini
Street") and City of Kent, Washington ("Client"). This Amendment is effective as of the date of the last
signature of the parties below ("Amendment Effective Date").
This Amendment shall become part of and subject to the terms and conditions of the JDE SOW, which
except as modified herein, remains unchanged and in full force and effect. However, to the extent that the
terms and conditions expressly set forth in this Amendment conflict with the terms and conditions of the
JDE SOW, the terms and conditions expressly set forth in this Amendment will prevail. Unless otherwise
defined in this Amendment, capitalized terms used herein shall have the meanings assigned to such terms
in the JDE SOW.
WHEREAS, Rimini Street and Client are parties to the JDE SOW and Rimini Street and Client now wish to
agree upon certain related terms and conditions;
NOW, THEREFORE, in consideration of the mutual promises herein, the OBD SOW is hereby amended
as follows:
1. Section 2 (Support Period) is amended to reflect that the Support Period will end at one
minute before midnight(11:59 p.m.) United States Pacific Time on August 31, 2026.
2. Section 3 (Termination by Client) is amended to reflect that Client may not terminate the JDE
SOW at any time during Years 6 through 8 of the Support Period except in accordance with
Section 3 of to the Agreement.
3. Section 5.A. (Annual Support Fees) is amended to reflect that (a) for the period from
September 1, 2023 through August 31, 2024 (Year 6 of the Support Period), the Annual
Support Fee shall be $64,999.00 USD, (b)for the period from September 1, 2024 through
August 31, 2025 (Year 7 of the Support Period), the Annual Support Fee shall be
$61,099.00 USD, (c)for the period from September 1, 2025 through August 31,2026(Year
8 of the Support Period), the Annual Support Fee shall be $60,124.00 USD, and (d) if the
Support Period is extended by mutual agreement of the Parties, the Annual Support Fee
for the period from September 1, 2026 through August 31, 2027 (Year 9 of the Support
Period) shall be $64,999.00 USD.
