AGREEMENT FOR PAYMENT OF ADDITIONAL DISPOSAL COSTS
This Agreement for Payment of Additional Disposal Costs ("Agreement") is between
Clean Harbors Environmental Services, Inc. ("Clean Harbors"), organized under the
laws of the State of Massachusetts, and the City of Kent ("City") a Washington
municipal corporation.
RECITALS
A. The City and Clean Harbors entered into a Goods and Services Agreement
dated March 11, 2021 ("2021 Agreement") for the cleanup of a homeless
encampment in the Maplewood Wetland Area for an amount not to exceed
$16,022.14.
B. The 2021 Agreement terminated on April 8, 2021, and the City paid Clean
Harbors the contracted amount of $16,022.14.
C. Within the course of completing its work under the 2021 Agreement, Clean
Harbors incurred unforeseen additional charges ("Additional Charges") for the
disposal of hazardous waste in the amount of $13,879.10.
D. This Agreement allows for the full payment and final settlement of these
Additional Charges.
THE PARTIES THEREFORE AGREE AS FOLLOWS:
AGREEMENT
1. The City shall pay Clean Harbors $13,879.10 for the Additional Charges incurred
by Clean Harbors for the disposal of hazardous waste related to its work under
the 2021 Agreement.
2. By its signature on this Agreement, Clean Harbors waives any protest or claim it
may have regarding the 2021 Agreement, including the Additional Charges and
acknowledges and accepts that this Agreement constitutes full payment and
final settlement of all claims of any kind or nature arising from or connected with
any work either covered or affected by the 2021 Agreement.
3. The written provisions and terms of this Agreement are the entire agreement
regarding the Additional Charges and shall supersede all prior statements by any
officer or other representative of the City, whether oral or written.
4. This Agreement may be executed in any number of counterparts, each of which
will constitute an original, and all of which will together constitute this one
Agreement.

5. The parties whose names appear below swear under penalty of perjury that they
are authorized to enter into this Agreement, which is binding on the parties of
this contract.
IN WITNESS, the parties below have executed this Amendment, which will
become effective on the last date written below.
