Yes No Dir Asst: Sup/Mgr: Dir/Dep: rev. 20210513 FOR CITY OF KENT OFFICIAL USE ONLY Agreement Routing Form For Approvals, Signatures and Records Management (Optional) Basis for Selection of Contractor: * Memo to Mayor must be attached Termination Date: Authorized to Sign: KEN T FIRST AMENDMENT TO JAIL MEDICAL SERVICES AGREEMENT BETWEEN THE CITY OF KENT AND HEALTHCARE DELIVERY SYSTEMS This First Amendment ("First Amendment"), to the Jail Medical Services Agreement, dated December 23, 2020 ("Agreement") is made and entered into by and between Healthcare Delivery, Inc. (d.b.a Healthcare Delivery Systems), a Washington corporation (`HDS" or "Vendor"), and the City of Kent, a Washington municipal corporation ('City"). RECITALS A. The City of Kent's inmate medical provider is having difficulty finding and hiring nurses who are willing to work for the wage that HDS pays under the current Agreement. This is in part due to the high demand for nurses and the increased wage and incentive packages paid by other employers as a result of the COVID-19 pandemic. If a nursing position is left unfilled, then a nurse practitioner must be hired at a higher cost of $125 per hour. B. The City currently pay HDS $78 per hour for a registered nurse ("RN") and $55 per hour for a license practical nurse ("LPN") and does not pay for new nurse orientation or training. C. In an effort to be more competitive in the current market and fill the open positions, the parties have mutually agreed upon a 10 percent increase in the hourly rate paid for RNs and LPNs, and for payment of up to 40 hours of training for onboarding a new nurse. D. Recently, the City updated its administrative policy regarding inclusive contracting and the exhibits to its contracts regarding its non-discrimination policy. Accordingly, this First Amendment includes a new Exhibit D, which replaces the original exhibit. AMENDMENT NOW THEREFORE, in consideration of the mutual intent, desire and promises of the Parties and other good and valuable consideration, the City and HDS each agree as follows: 1. Compensation. Subsections 3.1 and 3.2 of the Agreement, within Section 3 entitled "Compensation," are modified as follows: The City shall pay HDS a total amount not to exceed $628,919.00 annually, including any applicable Washington State sales tax, for the Services described in this Contract. This is the maximum amount to be paid under FIRST AMENDMENT TO JAIL MEDICAL SERVICES AGREEMENT Page 1 (between City of Kent and Healthcare Delivery Systems) this Contract for the Services described in Section 1 above, and shall not be exceeded without the prior written authorization of the City. For Services provided under this Contract, City shall pay HDS in accordance with this Section 3. 3.1 Health Care Services - Rates The hourly rates charged for the health care services performed by HDS for this Contract are delineated in Table A below. As agreed to in the submitted proposal, the rates shall be the same for the first three years of the Contract, after which the rates for years four and five shall be increased (but never decreased) by the local Consumer Price Index on an annual basis. Any such increase will be expressed in a written amendment to this Contract executed by both parties. HDS will provide staff to perform the Contract in accordance with the annual Staffing Plan set forth in Table B below. HDS shall not bill hours in excess of the annual maximum staffing described by Table B without the written authorization of the City. The maximum staffing levels provided for by Table B may be altered at the request of either Party upon the requesting party providing thirty (30) days advance written notice to the other, and upon mutual agreement of the parties expressed in a written amendment to this Contract that is signed by both parties; provided, thirty (30) days advance written notice shall not be required for minor changes to staffing levels that are mutually agreed upon by the City and HDS. The Parties mutually recognize that due to the temporarily smaller inmate population caused by the ongoing pandemic that the initial level of staffing will be less than the maximum authorized by this Contract, and HDS will invoice accordingly. At all times, HDS is subject to the personnel requirements listed in Exhibit B, Scope of Service.
