Yes No Dir Asst: Sup/Mgr: Dir/Dep: rev. 20210513 FOR CITY OF KENT OFFICIAL USE ONLY Agreement Routing Form For Approvals, Signatures and Records Management (Optional) Basis for Selection of Contractor: * Memo to Mayor must be attached Termination Date: Authorized to Sign: AMENDMENT No. 2 Community Organization between the City of Kent and World Relief Seattle - 1 OF 2 AMENDMENT NO. 2 NAME OF CONSULTANT OR VENDOR: World Relief Corporation of National Association of Evangelicals dba World Relief Seattle CONTRACT NAME & PROJECT NUMBER:Community Immersion Law Enforcement Project (CILEP); Original Contract No. CAG2022-035 ORIGINAL AGREEMENT DATE: January 27, 2022 This Amendment is made between the City and the above-referenced Community Organization and amends the original Agreement. All other provisions of the original Agreement not inconsistent with this Amendment shall remain in full force and effect. 1.Removal of Maximum Amount Due to the ongoing needs of the City to utilize the Vendor’s services, the total cost of the services is unknown because a definite term or number of recruits to be sent through the program cannot be reasonably determined. For valuable consideration and by mutual consent of the parties, Section I(B)(3) of the original Agreement titled “Obligations of the Parties” is hereby modified to remove the maximum amount to be paid, as follows: 3.A one-time payment of $10,000, and subsequent payments of $5,000 for each recruit who successfully finishes the program. Total payment for the services described in this Agreement shall not exceed a maximum of $90,000. This is the maximum amount to be paid under this Agreement for the work described, and shall not be exceeded without prior written authorization of the City in the form of a negotiated and executed amendment to this agreement. 2.Unlawful Discrimination In recognition that Vendor is a faith-based employer, Section X(A) is hereby modified as follows: A. Discrimination. In the performance of work under this Agreement or any sub- contract, the Community Organization shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory, mental, or physical disability, unlawfully discriminate against any person. The Community Organization shall execute the attached City of Kent Equal Employment Opportunity Policy Declaration, Comply with City Administrative Policy 1.2, and upon completion of the contract work, file the attached Compliance Statement. 3.Acceptance and Ratification Vendor accepts all requirements of this Amendment by signing below, by its signature waives any protest or claim it may have regarding this Amendment, and acknowledges and accepts that this Amendment constitutes full payment and final settlement of all claims of any kind or AMENDMENT No. 2 Community Organization between the City of Kent and World Relief Seattle - 2 OF 2 nature arising from or connected with any work either covered or affected by the original Agreement or this Amendment, including, without limitation, claims related to contract time, contract acceleration, onsite or home office overhead, or lost profits. This Amendment, unless otherwise provided, does not relieve the Vendor from strict compliance with the guarantee and warranty provisions of the original Agreement. All acts consistent with the authority of the Agreement and this Amendment, prior to the effective date of this Amendment, are hereby ratified and affirmed, and the terms of the Agreement and this Amendment shall be deemed to have applied. The City shall pay the Vendor all past due amounts for recruits who have successfully finished the program as soon as reasonably practicable. The parties whose names appear below represent that they are authorized to enter into this Amendment, which is binding on the parties of this contract.
