Amendment
to Goods & Services Agreement for Ordinary Maintenance
This Amendment amends the Goods & Services for Ordinary Maintenance Agreement
originally entered into between the City of Kent and Clean Streets, Inc. dba Goodbye Graffiti
Seattle and is effective on the date this document is signed by Graffiti Removal Company,
LLC, a Washington limited liability company, and the City of Kent, a Washington municipal
corporation ("the “City”).
I. RECITALS
1.1 The City and Clean Streets, Inc. dba Goodbye Graffiti Seattle, a Washington
limited liability company, entered into a Goods & Services Agreement for Ordinary
Maintenance, dated July 29, 2021 (the "Agreement").
1.2 On August 1, 2022, Clean Streets, Inc. dba Goodbye Graffiti Seattle was
acquired by Graffiti Removal Company, LLC, a Washington limited liability company. Based
on this acquisition, Graffiti Removal Company, LLC desires to accept and assume all of the
rights, duties, benefits, and obligations of Clean Streets, Inc. dba Goodbye Graffiti Seattle
under the Agreement.
1.3 The City desires to consent to such assumption under the terms of this
Amendment.
NOW, THEREFORE, the parties amend the Agreement as follows:
II. AMENDMENT
2.1 Graffiti Removal Company, LLC accepts and assumes all rights, duties,
benefits, and obligations of the Agreement and all prior Amendments, including all existing
and future obligations to perform under the Agreement and all legal and financial
responsibility for the prior performance of Clean Streets, Inc. dba Goodbye Graffiti Seattle.
2.2 All references to Clean Streets, Inc. dba Goodbye Graffiti Seattle in the
Agreement, shall hereinafter be referred to as Graffiti Removal Company, LLC.
2.3 The notice address information in the Agreement for Clean Streets, Inc. dba
Goodbye Graffiti Seattle, is replaced with the following notice address information for Graffiti
Removal Company, LLC:

2.4 The City consents to the foregoing assignment to and assumption by Graffiti
Removal Company, LLC.
2.5 Graffiti Removal Company, LLC agrees to obtain and maintain insurance of the
types and in the amounts required by Exhibit A to the Agreement. Attached and incorporated
as Attachment 1 to this Amendment No. 1 is a current Certificate of Insurance and
endorsement evidencing coverage as required by the Agreement.
2.6 Except as amended by this Amendment, all other terms and conditions of the
Agreement and prior Amendments shall remain in full force and effect.
2.7 In the event of any inconsistency between the provisions of this Amendment
and the documents comprising the Agreement and prior Amendments, the provisions of this
Amendment shall prevail.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed by
their duly authorized representatives. By signing this document, the undersigned certifies
they have authority to enter the agreement. The undersigned also understands the services
and term.
