AMENDMENT TO
AGENCY AGREEMENT
BETWEEN THE CITY OF KENT AND LEADSONLINE, LLC
This Amendment ("Amendment") to the Agency Agreement, dated November
1 2022, ("Agreement"), is between LeadsOnline, LLC, a Delaware limited liability
company ("Provider"), and the City of Kent, a Washington municipal corporation
("City").
I. RECITALS
1.1 The City and LeadsOnline, LLC, a Delaware limited liability company,
entered into the Agreement, dated November 1, 2005.
1.2 Since the original Agreement was executed, the Parties entered into
annual renewal agreements pursuant to Section 6.3 of the Agreement.
1.3 The Parties now desire to formally renew the terms of the Agreement
through this Amendment.
NOW, THEREFORE, the parties amend the Agreement as follows:
II. AMENDMENT
2.1. Term. The Agreement between the Parties dated November 1, 2005 is
hereby renewed for an additional year, from November 1, 2022 - October 31, 2023
per the terms of the Agreement.
2.2 Ratification. All acts of the parties performed pursuant to the
Agreement, previous Amendments (if any), and this Amendment, prior to the
effective date of this Amendment but after October 31, 2022, are hereby ratified and
affirmed, and the terms of the Agreement, previous Amendments (if any), and this
Amendment shall be deemed to have applied.
The parties accept all requirements of this Amendment by signing below. This
Amendment, unless otherwise provided, does not relieve the Provider from strict
compliance with the guarantee and warranty provisions of the original Agreement.
2.3 Remaining Provisions. Except as specifically amended by this
Amendment, all remaining provisions of the Agreement shall remain in full force and
effect.
