FIRST AMENDMENT TO
CONTRACTOR SERVICES AGREEMENT
BETWEEN THE CITY OF KENT (GIVE ME CULTURE GRANT PROGRAM) AND
JULIE SEITZ
This First Amendment (hereinafter “First Amendment”), to the Contractor
Services Agreement, dated July 26, 2022, (hereinafter “Agreement”) is made and
entered into by and between Julie Seitz, (hereinafter “Contractor”), and the City of
Kent, a Washington municipal corporation (hereinafter “City”), collectively the
(“Parties”).
RECITALS
Due to shifting artist schedules, the Parties have agreed to modify performance
of the Agreement as provided below and to ratify all acts consistent with the authority
of this Amendment prior to its effective date.
AMENDMENT
NOW THEREFORE, in consideration of the mutual intent, desire and promises
of the Parties and other good and valuable consideration, the City and Contractor
each agree as follows:
1. Section I of the Agreement, entitled “Description of Work,” is hereby
modified as follows:
Description: Work with a professional artist and community members to create
three portable murals for the historic Pet Cemetery. Coordinate a public
unveiling event for the murals.
Day, Date, Year: 8/1/2022 – 11/1/2022 1/1/2023 – 11/1/2023
Event Location: Kent Historic Pet Cemetery, 23646 Military Rd. S., Kent,
WA 98032
2. Waiver of Claims Prior to Amendment. The Contractor accepts all
requirements of this Amendment by signing below, by its signature waives any
protest or claim it may have regarding this Amendment, and acknowledges and
accepts that this Amendment constitutes full payment and final settlement of all
claims of any kind or nature arising from or connected with any work either cov ered
or affected by this Amendment, including, without limitation, claims related to
contract time, contract acceleration, onsite or home office overhead, or lost profits.
This Amendment, unless otherwise provided, does not relieve the Contractor from

strict compliance with the guarantee and warranty provisions of the original
Agreement.
3. Ratification. All acts consistent with the authority of this Amendment
and prior to its effective date are ratified and affirmed and the terms of the
Agreement and this Amendment shall be deemed to have applied.
4. Remaining Provisions. Except as specifically amended by this
Amendment, all remaining provisions of the Agreement shall remain in full force and
effect.
The parties whose names appear below swear and affirm that they are
authorized to enter into this Amendment, which is binding on the parties of th e
Agreement.
IN WITNESS, the parties below have executed this Amendment, which
will become effective on the last date written below.
