1. Call to Order
The meeting was called to order at 4 p.m., with Greg Haffner presiding.
2. Roll Call

3. Welcome Zenovia Harris – Position No. 5
Chair Haffner welcomed Zenovia Harris and Harris expressed her appreciation for the
opportunity to serve on the board.
4. Changes to the Agenda
Randall Smith moved to approve the agenda as presented, seconded by Carmen
Goers. The motion passed unanimously with a vote of 5-0.
5. Approval of Minutes dated February 20, 2020
Goers moved to approve the minutes dated February 20, 2020, seconded by Smith.
The Motion passed unanimously with a vote of 5-0.
6. Nomination and Election of Officers
Goers moved to nominate the following officers for 2021: Greg Haffner, Chair, Jeff
Piecewicz, Vice-Chair, Randall Smith, Secretary and Smith seconded the motion. The
motion passed unanimously with a vote of 5-0.
7. Resolution Revising the Meeting
Deputy City Attorney, Tammy White provided the board with details on the proposed
resolution No. 2021-1 changing the regular meeting schedule of the board of directors
to 4 p.m. on the last Thursday of April and October of each year.

Smith moved to Adopt Resolution No. 2021-1, establishing a new meeting schedule
for the Board of the Public Facilities District whereby the Board will hold regular
meetings two times per year during the months of April and October. Piecewicz
seconded the motion. The motion passed unanimously with a vote of 5-0.
8. Financial Reports
A. City of Kent. Finance Director, Paula Painter presented the Kent Special
Events Center Public Facilities District Fund through March 31, 2021. Painter detailed
the revenues and expenditures and compared 2020 actual numbers to 2021 year-to-
date. Painter also reviewed the Sales Tax Collections as of March 31, 2021 and
reflected on the 6% overall increase in the first quarter of 2021.
Painter reviewed the ShoWare Center Operating Fund through March 31, 2021 and
provided additional details on the revenues and expenditures.
B. accesso ShoWare Center. General Manager, Tim Higgins provided
details of the accesso ShoWare Center 2019 Income Statement for the First Quarter
of 2021, including direct event income, ancillary income, other event income, other
operating income, indirect expenses, net income from operations, admission tax and
net income. Tim Higgins also reviewed the accesso ShoWare Center Income
Statement for 2020 and detailed the variances between the budgeted and actual
numbers.
8. Operations Update
a. General Manager Update. Higgins provided a broad overview of the
issues that have stemmed from the required shutdown of the accesso ShoWare
Center in response to 2020-2021 COVID-19 pandemic and provided details on the
vaccination clinic and food distribution events that have taken place over the past
year.
Higgins reviewed some building improvements and upcoming capital projects.
Higgins advised of the potential Disney on Ice shows in November and pending 2022
events.
b. Marketing Update. None.
c. City of Kent Update. City of Kent Economic and Community
Development Director, Kurt Hanson reviewed the increase in streamline sales tax
revenue due to increased online shopping during the COVID pandemic. Hanson is
looking forward to the next 12 months and will be interested in how life normalizes
with the increase in remote workers and online shopping.

9. Seattle Thunderbirds Update
Thunderbirds President, Colin Campbell provided an update on the recently concluded
season that took place without fans in the building. The games were held side-by-
side with the King County vaccination site.
Campbell indicated the hockey school will start in August and then training camp will
take place labor day weekend. The regular season begins on October 1, 2021. Over
75% of the season ticket holders have confirmed their membership.
Campbell is excited at the prospect of developing young players and building a deep
roster.

AUTHORITYANDLIMITONLIABILITY
Section3.1.Authority.TheDistrictisapublicfacilitiesdistrictorganizedpursuanttoChapter
35.57RCWandtheFormationOrdinance.
Section3.2.LimitonLiability.Exceptasmaybeotherwiseprovidedinoneormoreinterlocal
agreementswiththeCity,allliabilitiesincurredbytheDistrictshallbesatisfiedexclusivelyfromtheassets,
credit,andpropertiesoftheDistrict,andnocreditororotherpersonshallhaveanyrightofactionagainst
orrecoursetotheCityofKent(the"City"),totheStateofWashington,toanyothermunicipalcorporation
otherthantheDistrict,ortoanyoftheirrespectiveassets,credit,orservices,onaccountofanydebts,
obligations,liabilitiesoractoromissionsoftheDistrict.
Section3.3.Powers.Duties,andLimitations.TheDistrictshallhaveandmayexerciseall
lawfulpowersconferredbyStatelawandtheFormationOrdinance,includingtheusualpowersofa
corporationforpublicpurposes.
ARTICLEIV
DURATION
ThedurationoftheDistrictshallbeperpetualuntildissolvedinaccordancewiththeStatelawand
anyinterlocalagreementwiththeCity.
ARTICLEV
PURPOSE
ThepurposeoftheDistrictistoprovidealegalentityunderChapter35.57RCWandtheFormation
Ordinanceforthesolepurposeofpursuingthedesign,construction,ownership,operation,and/or
financingofaregionalcenter,specifically,aspecialeventscenterforhockeyandotherpublicuses

approvedbytheCity,togetherwithrelatedparkingfacilities,tobelocatedonJamesStreetinKent
between5thAve.SouthandtheUnionPacificRailroadrightofway,andanyotherlawfulpurposes
approvedbytheCity.
TotheextentappropriateandconsistentwiththeDistrict'sspecificpurpose,theDistrictmay
acquireandmanagerealproperty,including,butnotlimitedto,ownershipofalloraportionofaspecial
eventscenter,includingparkingfacilities;securefinancing;undertakeorotherwiseprovideforthe
construction,development,managementand/oroperationofthespecialeventscenter;andotherwise
undertakeandaccomplishallactivitiesandprojectsnecessaryforthespecialeventscenterandenterinto
interlocalagreementsandcontractsforaccomplishingthesame.
ARTICLEVI
BOARDOFDIRECTORS
Section6.1.Board.Allcorporatepowersshallbeexercisedbyorundertheauthorityof,and
thebusinessandaffairsoftheDistrictshallbemanagedunderthedirectionoftheBoardofDirectors(the
"Board").
Section6.2.CompositionoftheBoard.Asprovidedbylaw,theDistrictshallbegovernedbya
BoardofDirectorsandtheBoardshallbemadeupoffivedirectors("Directors"or"members").The
appointmentofDirectorsshallbeasprovidedbyChapter35.57RCWandtheFormationOrdinance.For
thepurposeofdeterminingthelengthoftermsoftheinitialmembersoftheBoard,theCityCouncilhas
designatedwhichinitialmemberhasbeenappointedforaoneyearterm,whichhasbeenappointedfor
atwoyearterm,whichhasbeenappointedforathreeyearterm,andwhichhavebeenappointedfor
fouryearterms.
Section6.3.Vacancies.VacanciesontheBoardshallbefilledbyappointmentbytheCity
Council.AvacancyorvacanciesontheBoardshallbedeemedtoexistinthecaseofthedeath,disability,
resignationorremovalfromofficeofanyBoardmemberasprovidedherein.Uponsuchanoccurrence,
theBoardshallnotifytheCityClerk.
Section6.4.CompensationandExpenses.TheBoardmay,byresolution,providefortheir
paymentoftheirexpenses,ifany,ofattendanceateachmeetingoftheBoardaswellasfor
reimbursementofactualandnecessaryexpensesforperformingtheirdutiesasprovidedbylaw.Any
compensationreceivedbyDirectorsshallonlybepursuanttotheauthorityprovidedby,andconsistent
with,Chapter35.57RCW.
Section6.5.TravelReimbursement.TheBoardshall,byresolution,establishthebasic
requirementsgoverningmethodsandamountsofreimbursementpayabletoDistrictofficialsand
employeesfortravelandotherbusinessexpenseincurredonbehalfofthePFD.
ARTICLEVII
OFFICERS
Section7.1.OfficersDesignated.TheofficersoftheDistrictshallbeaChair,Vice
Chair,andSecretary,eachofwhoshallbeelectedbytheBoard.Inaddition,theTreasureroftheDistrict
shallbetheCityofKentFinanceDirector,servingasTreasureroftheDistrict.Nopersonmay
simultaneouslyholdmorethanoneoffice.Inadditiontothepowersanddutiesspecifiedbelow,the

officersshallhavesuchpowersandperformsuchdutiesastheBoardmayprescribe.
Section7.2.NominationsandElectionofOfficers.TheBoardshallelecteachoftheofficers
(otherthantheTreasurer)fromamongitsmembers.Boardmemberselectedtoanofficerpositionshall
serveintheofficerpositionforatermofoneyearstartingJanuary1andendingDecember31.Officers
shallbeelectedannuallybytheBoardatthelastregularmeetingduringtheyearprecedingtheterm.If
theelectionofofficersdoesnotoccurduetoacancellationofameetingorlackofquorum,theofficers
electedforthepriortermshallcontinuetoserveuntilthenextmeetingoftheBoardatwhichanelection
shalloccur.TheofficersshallbeelectedannuallybytheBoardatthefirstregularmeeting.Nominations
shallbemadebyBoardmembersfromthefloor.Theelectionshallfollowimmediatelythereafter.A
nomineereceivingamajorityvoteofthosepresentshallbedeclaredelected.TheBoardatits
organizationalmeetingshallelectthefirstofficersoftheBoard.Vacanciesinelectiveofficersshallbe
filledimmediatelyatthemeetingfollowingthevacancybyregularelectionprocedure,andtheelected
officershallservefortheunexpiredportionoftheterm.
Section7.3.TermofOffice.Theelectedofficersshallimmediatelyassumetheirpositionsat
theconclusionoftheelectionsandshallserveoneyear,oruntilasuccessoriselectedonJanuary1
followingtheelection,orimmediatelyintheeventtheelectiondidnotoccurpriortoJanuary1.
Section7.4.PowersandDuties.
a)Chair.TheChairshallbethechiefexecutiveofficeroftheDistrict,and,subjecttothe
directionandcontroloftheBoard,shallhavethegeneralsupervisionandchargeoveritsproperty,
business,andaffairs.TheChairshall:
(1)PresideoverallmeetingsoftheBoardandexerciseallthepowersincidenttothe
office,retaininghowever,thefullrightasaDirectoroftheBoardtohaveavote
recordedonalldeliberationsoftheBoard,toproposemotionsandtosecond
motions;
(2)Setagendas;
(3)CallspecialmeetingsoftheBoardinaccordancewiththeBylaws;
(4)Executedocumentsandnoticesrelatingtoproceduralaffairs;
(5)Signandexecute,inthenameoftheDistrict,deeds,leases,bonds,contractsand
otherinstrumentsdulyauthorizedbytheBoard,andseetoitthatallactionsof
theBoardareproperlytaken;and
(6)GenerallyshallperformalldutiesincidenttotheofficeoftheChairandsuchother
dutiesasmayfromtimetotimebeassignedtosuchofficebytheBoard.
b)ViceChair.AttherequestoftheChairorincaseofhisorherabsenceordisability,the
ViceChairshallperformalldutiesoftheChairand,whensoacting,shallhaveallthepowersof,andbe
subjecttoallrestrictionsupon,theChair.Inaddition,theViceChairshallperformsuchotherdutiesas
mayfromtimetotimebeassignedtothatofficebytheBoardortheChair.TheViceChairshallretainthe
fullrightasaDirectoroftheBoardtohaveavoterecordedinalldeliberationsoftheBoard,andtopropose
andtosecondmotions.
c)Secretary.TheSecretaryshall:
(1)Certifyandkeep(orcausetobekept)attheofficeoftheDistrict,oratsuchother

placeastheBoardmayorder,theoriginaloracopyoftheBylaws,astheymay
havebeenamended;
(2)KeeporcausetobekeptattheofficeoftheDistrict,oratsuchotherplaceasthe
Boardmayorder,abookofminutesofallmeetingsoftheBoard,recording
thereinthetimeandplaceofholding,whetherregularorspecial,and,ifspecial,
howauthorized,thenoticethereofgiven,andtheproceedingsthereat;
(3)Seethatallnoticesaredulygiveninaccordancewiththeprovisionsofthese
Bylawsorasrequiredbylaw;
(4)ExhibitatallreasonabletimestoanyDirector,uponrequest,theBylawsand
minutesoftheproceedingsofthedirectorsofthePFD;and
(5)Performsuchotherdutiesasareincidenttohisorherofficeorasareassignedto
himorherbytheBoardorbytheChair.
d)Treasurer.SubjecttothedirectionoftheBoardandsubjecttoapplicableStatelaw,the
CityofKentFinanceDirectorshallbethetreasureroftheDistrict(the"Treasurer")andshall:
(1)ReceiveandhavecustodyofallthefundsandsecuritiesoftheDistrict;
(2)KeepadequaterecordsandcorrectamountsoftheDistrict'spropertiesand
businesstransactions;
(3)RenderreportsontheconditionofthefinancesoftheDistrictatsuchtimesas
mayberequired,andshallmakeafullannualfinancialreporttobepresentedto
theBoardasdirectedbytheBoard;and
(4)PerformalldutiesoftheofficeofTreasurer,includingalldutiesincidenttothe
officeofchieffinancialofficer,andsuchotherdutiesasmayfromtimetotimebe
assignedtosuchofficebytheBoard.
e)OtherOfficers.Inadditiontotheforegoingofficers,theBoardmay,fromtimetotime,
electsuchotherofficersasitmayseefit,withsuchdutiesastheBoardmaydeemproper.
Section7.5.Removal.UponreasonablepriornoticetoallDirectorsoftheallegedreasonsfor
dismissal,theBoardbyanaffirmativevoteofthemajorityofalltheDirectorsmayremoveanyofficer
(otherthantheTreasurer)fromhisorheroffice(butnotfromhisorhermembershipontheBoard)
wheneverinitsjudgmentthebestinterestsoftheDistrictwillbeservedthereby.
Section7.6.Vacancies.TheBoardshallfillanyofficethatbecomesvacantwithasuccessor
whoshallholdofficefortheunexpiredtermanduntilhisorhersuccessorhasbeendulyelectedand
qualified.ADirector'sfailuretoattendthreeconsecutivemeetingswithoutbeingexcusedbytheChair
shallbeconsideredabandonmentofofficeandthepositionshallbeconsideredvacant.

EXECUTIONOFINSTRUMENTS
Section8.1.ExecutionofInstruments.TheBoardmay,initsdiscretion,determinethemethod
anddesignatethesignatoryofficerorofficers,orotherpersonorpersons,toexecuteanycorporate
instrumentordocuments,ortosignthecorporatenamewithoutlimitation,exceptwhereotherwise
providedbylaw,andsuchexecutionorsignatureshallwillbebindingupontheDistrict.

Section9.2.CopiesofRecords.AnypersondealingwiththeDistrictmayrelyuponacopy
ofanyoftherecordsoftheproceedings,resolutions,orvotesoftheBoard,whencertifiedbytheChair
orSecretary.
Section9.3.BooksofAccount.WiththeassistanceandunderthedirectionoftheTreasurer,
theDistrictshallkeepappropriateandcompletebooksofaccount.
Section9.4.Money.AllmoneyreceivedbytheDistrictforanypurposewhatsoevershallbe

depositedinanaccountoraccountsinanycommercialbankorotherfinancialinstitutionpermittedby
statelaw,andallwithdrawalsfromsuchaccountshallbebycheckorwarrantandtobesignedbyan
officerorofficersoftheDistrictasmaybefromtimetotimedesignatedbytheBoard.Fundsmaybe
combinedorcommingledwithfundsheldbytheCityofKentforpurposesofmanagementand

shallbeopentoinspectionoftheDirectorsandmembersofthepublicfromtimetotimeuponreasonable
notice.
ARTICLEX
MEETINGS
Section10.1.RegularBoardMeetings.RegularmeetingsoftheBoardshallbeheld
atsuchtimesandatsuchplacesasmaybeprescribedbyresolutionoftheBoard.TheChairshallhavethe
authoritytochangethelocationofameetinguponnoticetotheDirectors.Ifaregularmeetingfallsona
legalholiday,thatmeetingshallautomaticallybeheldonthenextdaywhichisnotaholidayunlessthe
Board,byformalactionsetsaspecialmeetingday.AquorumoftheBoardmay,atanyregularmeeting,
substituteanotherdayforthenextregularmeetingofthefollowingmonthandshallcausenoticetobe
giventhereofinthemannerprovidedfornoticeofaspecialmeeting.Notwithstandingtheforegoingor
anyoftheprovisionsofSection10.2through10.5,theDistrictshallholdmeetingsandshallgivenoticeof
meetingsinaccordancewithStatelaw,asitmaychangefromtimetotime.
Section10.2.NoticeofRegularBoardMeetings.Noticeandconductoftheregularmeeting
shallbeconsistentwithChapter42.30RCW.
Section10.3.SpecialBoardMeetings.SpecialmeetingsoftheBoardmaybeheldatplacesat

timeswhencalledbytheChairoramajorityofthemembersoftheBoard,allconsistentwiththe
provisionsofChapter42.30RCW.
Section10.4.NoticetotheCity.NoticeofallmeetingsandminutesofallmeetingsoftheBoard
shallbegiventotheCityClerk.
Section10.5.MinutesandRecords.Arecordofproceedingsofallofficialmeetingsshallbe
recordedandmadeapartofapermanentpublicrecord.Theagenda,witharecordofactiontakenand
attendance,shallconstitutetherecordofproceedings.Acopyoftherecordofproceedingstakenatany
meetingshallbeprovidedtoanyoneonrequest.TheminutesofallBoardmeetingsshallinclude,except
incasesofunanimity,arecordofindividualvotesonallmattersrequiringBoardconcurrence.
Section10.6.Quorum.ThepresenceofthreeDirectorsatameetingshallconstituteaquorum
andshallbenecessaryforthetransactionofanybusiness,exceptthatalessernumbermayadjournany
meetingfromtimetotimeuntilaquorumisobtained,
andnofurthernoticethereofneedbegiven.TheDirectorspresentatadulyorganizedmeetingmay
continuetotransactbusinessatsuchmeetingandatanyadjournmentofsuch
meeting,notwithstandingthewithdrawalofenoughDirectorsfromeithermeetingtoleavelessthana
quorum.
Section10.7.MeetingsOpen.AllregularandspecialmeetingsoftheBoardshallbeopenand
thepublicshallbepermittedtoattend,exceptthattheBoardmaymeet,deliberate,andtakeactioninan
ExecutiveSessionasauthorizedbyStatestatelaw.
Section10.8.ParticipationinRemoteMeetingsbyTelephone.DirectorsoftheBoard,or
Directorsofacommitteemayparticipateintheirrespectivemeetingsbymeansofaconferencetelephone
orsimilarcommunicationsorothercommunicationsequipmentbymeansofwhichallpersons
participatinginthemeeting,includingmembersofthegeneralpublic,canheareachotheratthesame
time.Participationinameetingbyconferencetelephoneshallconstitutepresenceinpersonatsuch
meeting.Intheeventofanemergencyinwhichthehealth,safetyorwelfareoftheBoardorthepublic
willbecompromisedbyholdinganinpersonmeeting,orduetoanemergencyalocationforthemeeting
cannotreasonablybeestablishedoraccessedbytheBoardandthepublic,theBoardmayholdthe
meetingremotely;provided,Boardmembersshallbeabletocommunicateandshallhaveaccesstoall
materialsutilizedorpresentedatthemeeting,andthepublicshallbeabletoviewalivebroadcastofthe
meetingandparticipateifpublicparticipationisrequired.
Section10.9.Robert'sRules.MeetingsoftheBoardshallbeconductedasdeterminedbythe
Chair.However,upontherequestofanyDirector,anymeetingoftheBoardoranyDistrictcommittee
shallbeconductedinaccordancewithRobert'sRulesofOrder.Meetingsshallalsobeheldinaccordance
withapplicableStatestatelaw.
ARTICLEXI
COMMITTEES
Section11.1.EstablishmentofCommittees.TheChairmay,fromtimetotime,establisha
committeeoftheBoardtocarryoutcertainspecificdutiesorfunctionsastheBoardortheChairdeems
advisable.TheChairmayappointorrecommenditsDirectorstooutsidecommittees.Thedesignationof
anysuchcommitteeandthedelegationtheretoofauthorityshallnotoperatetorelieveanyDirectorof

anyresponsibilityimposedbylaw.TheChairmayalsoestablish ğķŷƚĭ committeesortaskforces,
includingwhichmayincludemembersofthepublic,toassisttheBoardonspecificmatters.
Section11.2.AppointmentandTermsofCommitteeDirectors.TheChairoftheBoardshall
appointtheDirectorsofeachcommitteeandshallnamethechairofeachcommittee.
Section11.3.DurationoftheCommittee.Thecommitteeshallcompleteitsassignedtasks
expeditiouslyandreportitsfindingstotheentireBoard.
Section11.4.LimitedPowers.Nostandingorspecialcommitteeshallhavethepowerto
committheDistricttoanyactionwithoutapprovalbytheBoard.
ARTICLEXII
DISTRICTBOARDDIRECTORCONDUCT
Section12.1.PublicStatements.WhileanyDirectorhasarighttoexpresspersonalviewsand
opinionspursuanttoconstitutionalguaranteesoffreedomofspeech,statementspurportingtorepresent
thevieworpronouncementsoftheBoardortheDistrictorcommitteesthereofshallnotbemadein
advanceoftheBoard'sfinaldeterminationofthematter,exceptasdirectedorauthorizedbyamajority
oftheentireBoardatanyspecialorregularmeetingorpublichearing.TheBoardmayappointoneofits
DirectorstoissuesuchstatementsastheBoarddeemsnecessary.Intheabsenceofanysuch
appointment,theChairshallserveasthespokespersonfortheBoard.Thisshallnotprejudicetheright
ofanydissentingDirectorstoexpresstheirminorityposition.Directorsshallrefrainfromdisclosing
confidentialinformationoftheDistrict.
Section12.2.SharingofInformation.Itisinthepublicinterestthat,tothegreatestextent
possible,allDirectorsoftheBoardshouldbeawareofandactupontheinformationthatisavailableto
otherDirectors.Therefore,allDirectorsareencouragedtoplaceupontherecordoftheDistrict,the
substanceofinformationconcerningallmattersthatcomebeforetheBoardforaction.
Section12.3.ConflictofInterest.IfitshallappeartoanyDirectoratanytimethataconflictof
interestproblemwithrespecttoamatterpendingbeforetheBoardexists,itshallbetheDirector'sduty
toopenlystatethenatureofsuchconflict,andrefrainfromparticipatinginanysubsequentdeliberation
oftheBoardandthedecisionmakingprocesswithrespecttothematter.Intheeventaquestionarises
concerningwhetheraconflictofinterestissueexists,thesameshallbedeterminedbyamajorityvoteof
thetotalBoard,withtheDirectorinquestionbeingallowedtovote.Notwithstandingtheforegoing,
actionoftheBoardandtheDirectorsshallatalltimesbeconsistentwithapplicableStatelawgoverning
conflictsofinterest,includingwithoutlimitationChapter42.23RCW.
Section12.4.Attendance.Regularattendanceofatscheduledregularorspecialmeetingsis
importantandcriticaltotheoperationoftheDistrict.EachDirectorisresponsiblefornotifyingtheChair
whenaschedulingconflictarisesthatpreventsthemfromattendingascheduledmeeting.Intheevent
thataDirectorcannotactivelyparticipateinscheduledregularorspecialmeetings,theDirectorshould
consultwiththeChairtodetermineiftheirabsencecanbeaccommodated.

ARTICLEXIII
INDEMNIFICATIONOFDIRECTORS,EMPLOYEES,ANDOFFICERS
Section13.1.IndemnificationofDirectorsEmployeesandOfficers.Totheextentpermittedby
law,theDistrictshallprotect,defend,holdharmlessandindemnifyanypersonwhobecomesaDirector
oftheBoard,oremployeeoftheDistrict,andisaparty,oristhreatenedtobemadeaparty,toa
proceeding,byreasonrelatedtothatperson'sconductasaDirector,anofficer,oremployeeofthe
District,againstjudgments,fines,penalties,settlementsandreasonableexpenses(includingattorneys'
fees),incurredbyhimorherinconnectionwithsuchproceeding,ifsuchpersonactedingoodfaithand
reasonablybelievedhisorherconducttobeintheDistrict'sbestinterests;andif,inthecaseofany
criminalproceedings,heorshehadnoreasonablecausetobelievehisorherconductwasunlawful.The
indemnificationprotectionprovidedhereinshallnotbedeemedexclusiveofanyotherrightstowhicha
personmaybeentitledasamatteroflaworbycontractorbyvoteoftheBoard.TheBoardmaypurchase
andmaintainappropriateinsuranceforanypersontotheextentprovidedbyapplicablelaw.TheDistrict
maygrantarequestbysuchpersonthattheattorneyoftheDistrict'schoosingbeauthorizedtodefend
saidclaim,suitorproceeding;andthecostsofdefense,attorneys'fees,andanyobligationsforpayment
arisingfromsuchactionmaybepaidfromtheDistrict'sfunds.
ARTICLEXIV
AMENDMENTOFBYLAWS
Section14.1.ProposalstoAmendBylaws.ProposalstoamendtheBylawsshallbepresented
inaformatthatstrikesovermaterialtobedeletedandunderlinesnewmaterial.AnyBoardmembermay
introduceaproposedamendmenttotheBylaws(whichmayconsistofnewBylaws)atanyregularmeeting
oratanyspecialmeetingofwhich15days'advancenoticehasbeengiven.
Section14.2BoardConsiderationofProposedAmendments.Ifnoticeofaproposed
amendmenttoBylaws,andinformationincludingthetextoftheproposedamendmentandastatement
ofitspurposeandeffect,isprovidedtomembersoftheBoard10dayspriortoanyregularBoardmeeting
oranyspecialmeetingofwhichadvancenoticehasbeengiven,thentheBoardmayvoteontheproposed
amendmentatthesamemeetingastheoneatwhichtheamendmentisintroduced.Ifsuchnoticeand
informationisnotsoprovided,theBoardmaynotvoteontheproposedamendmentuntilthenextregular
Boardmeetingorspecialmeetingofwhich20days'advancenoticehasbeengivenandatleast10days
priortowhichmeetingsuchnoticeandinformationisprovidedtoBoardmembers.Germane
amendmentstotheproposedamendmentwithinthescopeoftheoriginalamendmentwillbepermitted
atthemeetingatwhichthevoteistaken.
Section14.3.VoteRequiredforAmendmentstoBylaws.ResolutionsoftheBoardapproving
proposedamendmentstotheBylawsrequireanaffirmativevoteofamajorityoftheBoardmembersthen
inoffice.Additionally,proposedamendmentstoArticleVPurposeshallrequiretheapprovaloftheKent
CityCouncil.
Section14.4.AmendmentstoIndemnificationandAmendmentsAffectingContracts.No
amendmenttotheseBylawsshallretroactivelyreduceoreliminatetheindemnificationprovisionsof
ArticleXIII.Inaddition,noamendmentshallimpairanyexistingcontractorobligationoftheDistrict.

ARTICLEXV
DISSOLUTION
IftheBoardmakesanaffirmativefindingthatdissolutionisnecessaryorappropriatebecausethe
purposesofDistrictmaynotbefulfilledforanyreason,orforanyothercausetheBoardmayadopta
resolutionrequestingcommencementofthedissolutionoftheDistrictpursuanttochapter53.48RCWor
otherapplicablelaw.However,theDistrictshallnotcommencedissolutionproceedingswithout
concurrencebytheCityCouncilbyresolution.
ARTICLEXVI
FISCALYEAR
Section16.1.FiscalYear.TheFiscalYearoftheDistrictshallbeginJanuary1andendDecember
31ofeachyear,exceptthefirstfiscalyear,whichshallrunfromAugust7,2007,toDecember31,2007.
