AGREEMENT TO ASSIST WITH SMALL BUSINESS FLEX FUND PROGRAM
The city of Kent will utilize some of its American Rescue Plan Act funds to supplement
availability of low-cost loan funds via irre Flex Fund for small businesses negatively impacted by
the Covid-19 Pandemic.
The city of Kent has contracted with the National Development council (NDC) to manage the
Flex Fund loan application intake, while evaluation and loan dispersal is managed by the NDc's
rending partners. io-.nrur" Kenfs smail business community, and those disproportionately
impacted such as immigrant, minority. and women-owned businesses, are aware of the funding
opportunlty, the clty will utilize outreaclr and technical support from community Based

TheCityofKentandCONTMCTORagreeasfollows:
1. CONTMCTOR agrees to provide the city of Kent the following seruices:
. If needed, translate Flex Fund materials including brochure, FAQ, pre-application' and
other materials agreed ,pon *igt city of Kent Economic Development staff.
. Participate in Flex Fund training call - 1'5 hours
. outreach and marketing support via the coNTMcroR's available channels/methods to
help ensure business owners are aware of the funding opportunity.

- For invoicing purposes, please document the dates and names of the Kent
businesses you communicated with about the Flex Fund.
2. The City of Kent agrees to compensate CONTMCTOR at the following hourly rate for
outreach and business owner assistance with loan applications: $125. This hourly rate includes all costs and applicable taxes, for which CONTRACTOR shall be
responsible.. Translation of materials as requested will not exceed $2,000.
Total compensation under this agreement shall not exceed $4,500.
3. Payment will occur within fifteen (15) days of receipt of CONTMCTOR'S invoice for
completion of said services by CONTRACTOR.
4. CONTRAfiOR agrees lt is not an employee of the Clty of Kent for any purpose.
5. CONTRACTOR agrees it shall complete the work services required under this Agreement
before September 30, 2O22.
6. All intellectual property created under thls agreement remains the sole property of the City
of Kent.
7. This agreement encompasses the entire agreement of the parties and there are no other
agreements, oral or written.
