(SR 516) IMPROVEMENTS BETWEEN JENKINS CREEK AND 185T" PLACE SE This Third Amendment ("Third Amendment"), to the Interlocal Agreement, dated August 26, 2016, is between the City of Kent ("Kent") and the City of Covington ("Covington") and amends the original Agreement and all prior Amendments. All other provisions of the original Agreement or prior Amendments not inconsistent with this Amendment shall remain in full force and effect. Covington has entered into a construction management consultant contract with WSP USA, Inc. and Kent will pay a portion of these construction management costs. Consequently, the parties wish to memorialize the specific method for allocating these costs. The Agreement also needs to be extended due to delays in the project, and the designated representatives need to be updated to reflect staffing changes within the City of Kent. For valuable consideration and by mutual consent of the parties, the Agreement is modified as follows: 1. A new subsection will be added to the Agreement as subsection 4.5.4, entitled "Allocation of Costs for Consultant Contracts," and is as follows: Kent's share of Covington's construction management consultant contract number 058-2021 dated August 16, 2021, is equal to the City of Kent Water (Schedule B) portion of the overall base construction contract cost: 9.5373%, or $266,435.82. Calculation of this cost is attached as Exhibit C. 2. Section 7.2 of the Agreement, entitled "Joint Administration" is hereby modified as follows: The Parties shall each appoint a representative to administer the terms of this Agreement, and the appointed administrators shall comprise the Joint Administrative Board. Section 8 of the Agreement, entitled "Term of Agreement" is hereby modified as follows: This Agreement shall become effective as of the date this Agreement is approved by both legislative bodies of the Parties and subsequently executed by those Parties pursuant to the terms of this Agreement, this Agreement shall remain in full force and effect until Deee�31, 2929 December 31, 2025, or final acceptance and exchange of record drawings, whichever comes first. This Agreement may be extended by written agreement of the Parties subject to the approval of such extension by each Party's legislative body. SUMMARY: An Interlocal Agreement was executed in 2016 by the City of Kent and the City of Covington related to Covington's SE 272nd Street (SR516) Improvements Project between Jenkins Creek and 1851" Place SE ("'Project"). The Kent Water Utility owns three transmission mains located in SE 272nd Street within the City of Covington. These transmission mains convey water from sources to customers within Kent's service area and need to be relocated to reconstruct the Jenkins Creek bridge. Covington has executed a consultant contract with WSP USA, Inc. to manage construction of the project. The proposed amendment would authorize reimbursement to Covington for construction management costs associated with the relocation of the Kent-owned water transmission main. These costs were anticipated and can be finalized now that Covington has executed the contract with its consultant. The amendment also extends the timeline of the agreement due to delays in the Project and updates designated representatives to reflect staffing changes within the City of Kent. BUDGET IMPACT: None, project was planned for using Water Utility Capital Fund.
