AGREEMENT TO ASSIST WITH SMALL BUSINESS FLEX FUND PROGRAM
The City of Kent will utilize some of its American Rescue Plan Act funds to supplement
availability of low-cost loan funds via the Flex Fund for small businesses negatively
impacted by the Covid-19 pandemic.
The City of Kent has contracted with the National Development Council (NDC) to
manage the Flex Fund loan application intake, while evaluation and loan dispersal is
managed by the NDC's lending partners. To ensure Kent's small business community,
and those disproportionately impacted such as immigrant, minority, and women-
owned businesses, are aware of the funding opportunity, the City will utilize outreach
and technical support from Community Based Organizations (CBOs) as another way to
keep available resources working in the Kent community'
The City of Kent will utilize support from CBOs to provide translation of the Flex Fund
marketing materials where needed and assist business owners to complete their loan
applications online in English as required by the NDC.
This agreement is made and entered into on (date)-6/30/22- between the City of
Kent and _Indian American Community Services IACS (hereinafter
*coNTRACTOR").
The City of Kent and CONTRACTOR agree as follows:
1. CONTRACTOR agrees to provide the City of Kent the following services:
a If needed, translate Flex Fund materials including brochure, FAQ, pre-
application, and other materials agreed upon with City of Kent Economic
Development staff,
Participate in Flex Fund training call - 1.5 hours
Outreach and marketing support via the CONTRACTOR's available
channels/methods to help ensure business owners are aware of the funding
opportunity.
- For invoicing purposes, document the following: i.e., Posted Flex Fund
information on website, included in newsletters, social media posts
(Please provide screen shots and circulation numbers of audience
reached on invoice.)
Assist business owners, utilizing translated materials as needed, as a resource to
complete Flex Fund applications online in English at SmallBusinessFlexFund.org.
For invoicing purposes, please document the dates and names of the Kent
businesses you helped complete their applications online.

For invoicing purposes, please document the dates and names of the
Kent businesses you communicated with about the Flex Fund.
2. The City of Kent agrees to compensate CONTRACTOR at the following hourly rate for
outreach and business owner assistance with loan applications: $125o This hourly rate includes all costs and applicable taxes, for which CONTRACTOR
shall be responsible.. Translation of materials as requested will not exceed $2,000.
Total compensation under this agreement shall not exceed $4,500.
3. Payment will occur within fifteen (15) days of receipt of CONTRACTOR'S invoice for
completion of said services by CONTRACTOR.
4. CONTRACTOR agrees it is not an employee of the City of Kent for any purpose.
5. CONTRACTOR agrees it shall complete the work services required under this
Agreement before September 30, 2022.
6. All intellectual property created under this agreement remains the sole property of
the City of Kent.
7. This agreement encompasses the entire agreement of the parties and there are no
other agreements, oral or written.
