1. Amendment
Effective as of April 1
st, 2022, this Amendment modifies the Agreement entered into by The City of Kent and SecureLink,
Inc., effective as of March 18
th, 2019. Both parties desire to modify the pricing for the SecureLink Solution, as defined in
to the following:
1.Term. This Agreement shall begin on April1st, 2022 and continue until March 31
st, 2023. (the ). This
Agreement will then automatically renew for two subsequent one-Renewal Term
either party gives the other party written notice of termination at least sixty days prior to the end of the then-
current Term. The Initial T Term
License Fee Calculation.Beginning April 1
st, 2022, the annual license fees listed below shall include unlimited
connections, technical support, and upgrades for up to 25 vendors. The number of vendors on the system will be based
on the vendors defined on the system as of the Term renewal date plus any deleted vendors who had made at least one
of 25 vendors. Any additional vendors
beyond 25 in a given period shall increase the license fees by $1,000 per additional vendor in the next subsequent period.
During the period from April 1st, 2022 to March 31st, 2023, the annual price for 25 vendors shall be $21,234
During the period from April 1st, 2023 to March 31st, 2024, the annual price for 25 vendors shall be $22,720
During the period from April 1st, 2024 to March 31st, 2025, the annual price for 25 vendors shall be $24,310
Beginning April 1st

2. No Other Effect
Except as set forth in this Amendment, the Agreement is unaffected and shall continue in full force and effect in
accordance with its terms.
If there is a conflict between this
Amendment and the Agreement or any earlier Amendment, the terms of this Amendment will prevail.
