Statement of Work
Overview
Ivanti Professional Services will deliver this pre-paid implementation package which is designed to help
customers maximize the long-term value of their software. Ivanti will leverage its proprietary delivery
methodology and best practices to configure a version of Ivanti Software within the defined deliverables
documented herein.
Scope
This package is intended for Customer who are using ISM in a basic state with no expanded third-party
integrations or reliance on connections to premise-based solutions requiring redesign or reconfiguration after
the migration is complete.
Assumptions
Delivery of this SOW is predicated on the following assumptions:
1) That Customer has completed and reviewed Ivanti’s ISM migration questionnaire prior to execution of this
SOW – See Appendix A of this SOW
2) Customer’s ISM version must be upgraded to the version of ISM running in Ivanti’s SaaS
environment
3) That ISM is using standard product provided connectors within ISM, and that those connectors for can be uses
in SaaS
4) The ISM database is running on a version of Microsoft SQL that is compatible with the SQL version
running in the Ivanti SaaS Environment - Currently SQL 2017
5) Customer’s SQL admins have performed any necessary DB archiving and truncation on their
database to best utilize SFTP or Portal upload of their ISM database to Ivanti for deployment into
the SaaS environment.
6) This SOW is for migration services only. No additional solution configuration or workflow design is included.

Component Activities and Deliverables
Migration Planning and
Design Session/Document
Generation
Conduct an initial planning and strategy meeting to agree to and create a planning
document that outlines the following:
• Review Customer-specific migration considerations and pre-migration
questionnaire and agree to a migration procedure that includes but is not
limited to the following considerations:
o Database Size and Upload to Ivanti SaaS o
VPN planning and setup if applicable o
Review Security concerns o
Migration procedures o Validation
procedures o Schedule of Migration and Cut
Over o Determine and agree to backout plans o
Determine Communication plan for end
users
• Consultant will generate a migration procedure document outlining mutually
agreed upon migration procedures and scheduling of migration activities. This
Document will govern consulting work provided in support of the
implementation
Meetings with Stakeholders Consultant will provide up to three (3) hours of time to participate in meetings with
Customer stakeholders throughout the implementation to allow for knowledge transfer
and promote organizational awareness of migration activities

Environments
Migration and validation of non-production tenants • Service Manager Migration Activities – Non-production Environments o
Consultant to coordinate with Ivanti’s SaaS Operations team to preform
migration of Customer’s Premise ISM UAT and Test servers to SaaS
using process, procedures, and standards agreed to between Customer
and Consultant and per the Planning Document
o A high-level migration process for this phase will include but not be
limited to the following activities:
Technical readiness validation of Customer’s databases
Coordinate and manage requests to Ivanti SaaS Operations to
Provision/validate access to Customer tenants
Ensure Configuration and operational readiness of VPN if one is
needed.
Non-production Validation
Period
Consultant will provide up to three (3) hours of time to assist Customer resources in the
validation of their Non-Production environments in preparation for the migration of the
Production Database.

Service Manager Migration
Activities -Production
Migration and validation of Production tenant
• Service Manager Migration Activities – Test, UAT Environments
o Consultant to Preform migration of Customer’s Premise ISM production
database to SaaS using process, procedures, and standards agreed to
between Customer and Consultant and per the Planning Document
o A high-level migration process for this phase will include but not
be limited to the following activities:
Customer to upload current DB to OPS
Ivanti OPS restore the DB to Staging
Ivanti OPS does a Go Live from Staging to PROD
Production Validation Period Consultant will provide up to four (4) hours of time to assist Customer resources in the
validation of their production environments in preparation for operational cutover
Operational Cutover and Go-
Live Support
Consultant will provide up to six (6) hours of support for operational cutover and Go Live
of the Customer’s SaaS instance.
• Consultant will offer support related to Cutover activities using process,
procedures, and standards agreed to between Customer and Consultant and
per the Planning Document o Assist Customer resources with questions
and coordinate with Ivanti
SaaS operations as needed o Assist in
communication with Customers where needed o

Ivanti Project Management have many years of experience delivering both simple and complex IT projects. Over
the years, we have developed a complete project management methodology, fully scalable and designed to
deliver projects successfully, on budget and on time. With Ivanti implementation packages, we guarantee a
successful outcome for a fixed price, unless otherwise stated in the Statement of Work (SoW) or commercial
offer. For implementations, Ivanti applies a tried and tested methodology which yields tangible value to your
organization. The methodology has five well-defined phases as described below:

Assumptions
A successful implementation assumes a collaborative work effort by both parties. Ivanti will provide
configuration, best-practice guidance, knowledge transfer and implementation oversight leading to the
completion of the deliverables. Recipient will provide and ensure reasonable availability of a core
implementation team including an executive sponsor, project manager, subject matter experts, and system
administrators. Recipient will also:
● provide relevant application and process documentation, and assist with information, as deemed
necessary, as it relates to the Ivanti product(s). Ivanti will define required documentation as appropriate;
● provide agreed physical and logical infrastructure as well as appropriate access, including site access, to
the Ivanti consultant as necessary to enable the completion of required tasks;
● purchase and provide licenses for all products that are included in the scope of this Statement of Work.
● provide sufficient notice for rescheduling. Rescheduling requires a minimum of 10 business days’
notice. Failure to notify Ivanti of need to reschedule can result in additional charges as stated in Services
Terms and Conditions. Recipient may also incur a 4-6-week delay in project duration.
● Unless otherwise stated in the Deliverables section above integrations between Ivanti or third-party
products is not within the scope of this Statement of Work.
Travel
This SOW will be delivered as a remote engagement. If onsite consulting services are required\requested.
Customer can purchase onsite consulting time separately from this SOW.
Warranty
Completion of the deliverables by Ivanti occurs when the items above have been configured, suitably tested,
and handed off to the Recipient. Recipient has thirty (30) days from date of delivery to test the deliverables
and report any problems. After the thirty (30) day period, this project will be regarded as complete. In the
event any deliverable is utilized for production purposes the deliverables shall be deemed accepted.
Term
This Agreement shall commence on the date of last signature or the date of acceptance of the online terms
and/or SOW, whichever is later, and shall remain in force until Ivanti completes relevant deliverables defined
above; or 12 months have elapsed since the date that the Recipient placed the order unless terminated in
accordance with this agreement.
Ivanti Project Resources
Ivanti may choose to utilize the services of our qualified partners to complete the services. These partners are
experienced with Ivanti product implementation. While on contract to Ivanti, our partners are fully recognized
and supported as an extension of Ivanti's Professional Services Group.
Authorization

In addition to any terms contained in this SOW (“Services”) all Services shall be subject to the Agreement
between Customer and Carahsoft Technology Corporation, dated December 15, 2017, which incorporates
Schedule 70 Contract GS-35F-0119Y. By signing this SOW, the parties each indicate their acceptance of the
above. Each party hereto warrants and represents that this SOW has been signed by a duly authorized
representative of such party and that they are entering into a binding agreement
