This Data Sharing Agreement is entered into between Valley Communications Center, a governmental
administrative agency formed pursuant to RCW 39.34.030(3) (Valley Com), and City of Kent (City), a
municipal corporation, for use solely by the City's Police Department within the SPIDR software
application to provide City call data to assist in the provision of supplemental call services.
1. Purpose.The purpose of this agreement is to provide the SPIDR application with non-CJIS(Criminal
Justice Information System) Computer Aided Dispatch (CAD) police call data to assist the City's provision
of police call support services.
2. Limited Provision of Valley Com Data. In order to assist the SPIDR application with its CAD Data
Request, Valley Com will provide access to the requested data through a username, password-protected
database ran with scripts provided by SPIDR. Valley Com data fields will include all CARSCALL table data
including CAD/event number, dispatched/on-view, call date, call time, response arrival time, initial call
type description, final call type description, location address, and GIS point for each call incident.
3. Impact to Valley Com Systems. In the event,for any reason,SPIDR's access or queries to the Valley
Com call data impedes, impairs, or otherwise negatively impacts Valley Com's systems or operations in
any way, Valley Com may temporarily suspend access until the problem is resolved to Valley Com's sole
satisfaction.
4. Indemnification.To the extent permitted by law,the City will defend,indemnify,and hold harmless
Valley Com, its officers, agents, employees, and assigns from and against any and all claims, actions, suits,
liability, loss,costs, expenses,or damages of any nature whatsoever that are caused by or result from any
act or omission of City,its officers, agents, employees,or assigns, in performing any act or service pursuant
to this agreement except for injuries and damages caused by Valley Com's negligence. This provision will
survive the expiration or termination of this agreement.
5. Term and Termination. This agreement will remain in effect until January 1, 2025 and shall
automatically extend for up to five additional one-year periods after that date, however, either party may
terminate this agreement at an earlier date upon giving the non-terminating party at least seven calendar
days prior written notice, holidays and weekends to be included in this calculation.
6. Effective Date.This agreement will take effect on the last date signed below.
