AMENDMENT NUMBER TWO TO CONSULTANT SERVICES AGREEMENT
Between the City of Kent and
Gordon Thomas Honeywell Government Affairs, LLC
This Amendment (hereinafter "Amendment Two") between the City of Kent and
Gordon Thomas Honeywell Government Affairs, LLC, is made and entered into
between the City of Kent, a Washington municipal corporation ("City") and Gordon
Thomas Honeywell Government Affairs, LLC, organized under the laws of the state of
Washington, located and doing business at 1201 Pacific Ave. #2100, Tacoma, WA
98402, (hereinafter the"Consultant"). This Amendment Two amends, for the second
time, the parties' original Consultant Services Agreement Between the City of Kent
and Gordon Thomas Honeywell Government Affairs, LLC (hereinafter "Agreement").
executed on June 13, 2018.
I. RECITALS
1.1 The City and Consultant entered the Agreement executed on June 13,
2018. The Agreement ran through December 31, 2019, and required the Consultant
to provide various lobbying services as set forth in Section I of the Agreement.
1.2 The City and Consultant amended the Agreement to extend its term for
two additional years and to adjust the payments made by the City during that new
term. That amendment expires on December 31, 2021.
1.3 The City and Consultant wish to amend the Agreement again to extend
its term for two additional years and adjust the payments made by the City during
this new term. This amendment will cover the period starting January 1, 2022 and
ending December 31, 2023.
II. AMENDMENTS
2.1 Section II. Section II of the Agreement is hereby amended to read as
follows:
II. TIME FOR COMPLETION. The parties agree that work will begin
on January 1, 2022 and will be completed on December 31, 2023.
2.2 Section III( . Section III(A) of the Agreement is hereby amended to
read as follows:
III. COMPENSATION.
A. The City shall pay Consultant an amount not to exceed $160,000
for the period set forth in Section II. Payments shall be billed at
a rate of $6,435 per month. In addition, the City shall reimburse
Consultant for expenses incurred while performing the services

specified in Section I, which shall be limited to communication
expenses (i.e. cell phone), mileage at the state of Washington's
standard reimbursement rate, and other travel and
conference/meeting expenses where such attendance is required
by the City; provided, where such expenses are incurred in
connection with work on legislative or regulatory issues affecting
Consultant's other clients, these expenses shall be shared with
the other clients and pro-rated to the maximum extent
practicable.
2.3 Exhibit A. Exhibit A to the Agreement is deleted in its entirety.
III. GENERAL PROVISIONS
3.1 Remaining Provisions Unchanged. All other provisions of the Agreement
that are not inconsistent with this Amendment Two shall remain in full force and
effect.
3.3 Authority to Sign. The parties whose names appear below swear and
affirm that they are authorized to enter into this Amendment Two, which is binding
on the parties.
IN WITNESS, the parties below have executed this Amendment Two, which
shall become effective starting January 1, 2022.
