CAG2021-303 Grant: Non-Real Property 1 PROFESSIONAL SERVICES CONTRACT - 1 (between KSD and KPRCS) Professional Services Contract Between THE KENT SCHOOL DISTRICT And THE CITY OF KENT, through its Parks, Recreation and Community Services Department 2020-21 This contract entered into between the Kent School District (hereinafter referred to as KSD or the District) and the City of Kent, through its Parks, Recreation and Community Services Department (hereinafter referred to as KPRCS) is for the performance of services set forth below: 1.0 PURPOSE OF AGREEMENT In response to the high degree of academic and social emotional needs caused by the recent global health crisis KSD understands the benefit of partnering with local agencies to provide summer academic and/or social emotional opportunities. KSD and KPRCS will collaborate to provide social emotional supports to KSD students. During this contract period, objectives, which must be measurable, are: 1)Attendance rate for participants tracked by KPRCS, with a goal of an average of 80% or greater attendance per day. 2)Social emotional growth as measured by a district created pre- and post-program participation surveys of students and families During in-person instruction, KSD will provide KPRCS access to school sites and students as provided by this Agreement to perform services for students and families under the terms and conditions set forth in this agreement. KPRCS agrees to follow federal, state, local and district protocols on health and safety regarding COVID-19 and each party is required to notify the other within 24 hours of a confirmed case of COVID-19 in a student and/or staff member. 2.0 DURATION OF CONTRACT The services provided under this Agreement shall occur between the dates of June 28, 2021 – August 13, 2021. This contract may be terminated without cause by either party providing the other party is given thirty (30) days advance written notice of the termination to the undersigned representative of the other party. 2 PROFESSIONAL SERVICES CONTRACT - 2 (between KSD and KPRCS) 3.0 DESCRIPTION OF WORK Through collaboration with the administration of East Hill Elementary, KPRCS will offer a summer enrichment and recreation camp for 60 students, in an in-person format. The camp will allow for 30 students to attend from 9 a.m. – 12:00 p.m., and another 30 students to attend from 1 p.m. – 4 p.m., Monday - Friday. This 7- week program runs between June 28th - August l3th and will continue to build on knowledge that occurred during the school year. A variety of creative stations throughout the 3-hour learning period will help with math, reading, socialization, physical activity, and nutrition. These stations will rotate each day to allow the correct amount of time for each lesson plan, helping to ensure participants grow in all areas. Participants will apply academics through fun and will not likely realize they are continuing to build on school year learning. Several special guests will also visit throughout the summer as a safer option to field trips. These guests will provide an extra socialization aspect to the program, as well as an expertise to a section of the planned curriculum. KPRCS agrees to provide one camp director, seven counselors and one Kent Parks Coordinator to support this program. Change in location of services may occur after consultation between KPRCS and KSD. KPRCS agrees to notify KSD in a timely manner if an employee who is filling one of the positions is vacating that position and the vacating of the position will impact services performed. KPRCS agrees to adjust payments if they are not able to staff at the level listed above. 4.0 BACKGROUND AND STATEMENT OF WORK KPRCS has been providing the diverse Kent community with school break camps and summer camps for over 60 years. KPRC camps give parents a fun, safe, and purposeful alternative to the typical childcare program. With a variety of daily rotations, from physical activity, STEAM activities, and group educational components, children are developing social skills such as interacting with others, and expressing and controlling emotion. This type of camp environment is also important to each child's social and emotional growth. Learning to work in a group environment, smoothly transitioning through each rotation, and actively engaging with adults and other kids, is the foundation for a child's healthy start. Camp ensures that when the school year ends, learning and personal growth continue. 5.0 REFERRAL PROCESS KPRCS will work closely with the administration of East Hill Elementary to receive referrals and maintain a waitlist for students who could fill vacated slots during the summer. 3 PROFESSIONAL SERVICES CONTRACT - 3 (between KSD and KPRCS) 6.0 PAYMENT KSD agrees to pay KPRCS $55,089 for the services listed in this contract. This contract covers all services in which KPRCS will receive payment from KSD listed above in section 3.0. Other services KPRCS may provide KSD in which they do not receive a direct payment from KSD will be covered in a separate Memorandum of Understanding (MOU). KPRCS agrees to bill KSD monthly for services (July and August). 7.0 LIABILITY INSURANCE AND INDEMNIFICATION The party with whom the District enters this contract shall not commence performance of work or services under this contract until all required insurance has been obtained and a current certificate has been submitted and approved by KSD. A certification of insurance reflecting the amounts below, identifying the Kent School District as additional insured and indicating that the insurance is primary and noncontributing, shall be provided prior to execution of this contract. All certificates must provide forty-five (45) days’ prior notice to KSD of cancellation, nonrenewal, or material alteration of the insurance. All insurance is to be provided by insurance companies with an A.M. Best’s rating of not less than A VIII. The insurance requirement shall not reduce the obligations of the indemnification agreement set out below. Lapse of coverage or failure to furnish satisfactory evidence of insurance is cause for termination of this contract and access to students during school hours and/or on school grounds. As a prerequisite condition of this contract, The KSD will be provided proof of public liability insurance for: •Bodily Injury (including sickness or death) and Property Damage in the minimum amount of three million dollars ($3,000,000) combined single limit per occurrence. •Auto Bodily Injury and Property Damage Liability in a minimum amount of one million dollars ($1,000,000) per occurrence for owned, non-owned, and hired automobiles that includes coverage for transporting students; •Professional Liability insurance in a minimum amount of one million dollars ($1,000,000) per claim that includes a sexual misconduct rider for any act or allegation of sexual misconduct. Any variation to these insurance requirements must be approved by the District’s Chief Business Officer for good and sufficient reason. In addition, each party to this contract shall be responsible for claims and damages to persons or property and other associated costs, including attorney fees, resulting from 4 PROFESSIONAL SERVICES CONTRACT - 4 (between KSD and KPRCS) acts or omissions on the part of itself, its employees, its agents (including authorized volunteers), or its officers. Each party will indemnify and hold harmless all other participants against any and all such actions, claims, and demands that may result from any acts or omissions of itself, its employees, its agents, or its officers. Neither party assumes any responsibility to the other party for the consequences of any acts or omission of any person, firm, or corporation not a party to this contract. 8.0 RELATIONSHIP OF THE PARTIES Neither party to this contract will be considered an agent or employee of the other party for any purpose, and no employees/volunteers assigned to provide services or work pursuant to this contract at the District are entitled to any of the benefits that the District provides District employees. Any party with whom the District enters this contract is responsible for assuring that all programs or services are performed in conformance with the highest professional standards and that all individuals performing such work avoid any appearance of impropriety. The party with whom the District enters this contract has sole control of its employees, agents, or volunteers and control of the manner, method, and means of performing the work or services listed above. 9.0 BACKGROUND CHECK Every individual who, pursuant to this contract, will potentially have contact with the District’s students—including any agent, employee, third-party contractor, or volunteer of the party with whom the District enters this contract —is required to submit to a criminal background check, through both the Washington State Patrol (WATCH) system and the national database maintained by the Federal Bureau of Investigation (FBI). The District may accept a state and national background check done by a party to this contract during the past twenty-four (24) months if the physical printout results have been provided to the District. If the District believes that it should do so, the District has the right to conduct its own background check of any individual covered by this contract at District expense, either through the WATCH system, through the FBI, or both. For any individual working with district students who has not had a background check and who seeks to do that through the District, the individual will provide to the District a full name, date of birth, and fingerprints to complete this process. The party with whom the District enters this contract will reimburse KSD for the cost of such background checks. Access to students and District facilities will be contingent upon the final results of such a background check. All parties acknowledge that the District is not responsible for the accuracy of the information provided through a WATCH report or FBI check, and each party understands and agrees that any information forwarded by the District has been 5 PROFESSIONAL SERVICES CONTRACT - 5 (between KSD and KPRCS) obtained through this process. The District does not certify the veracity of the records provided. 10.0 REPORTING OBLIGATIONS OF WYWB UNDER 26.44 RCW While working with district students to provide a program or services, employees or volunteers of the party with whom the District enters this contract have a lawful duty and obligation to report suspected abuse or neglect of any child under the age of 18 pursuant to the provisions of Chapter 26.44 RCW. The parties acknowledge that each supervising adult working in the program or providing services under this contract is aware of the lawful reporting duties and obligations under chapter 26.44 RCW. 11.0 CONFIDENTIAL INFORMATION AND FERPA The terms “confidential information” or “confidential student information” as used in this contract means any and all student education records protected by the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. Sec. 1232g and all other similar federal and state laws. Such confidential student information shall not be disclosed to third parties absent express written permission of the student’s parent/guardian or the student, if the student is over the age of 18. Before any confidential information is disclosed by the school to any other party under this contract, the family of the participating student—or the participating student, if the student is over the age of 18—will provide a written, signed, and dated release authorizing the district to share confidential information. All parties understand that notes, records, and other documents regarding a student created or maintained by a party to this contract that are shared with the District may become “education records” within the meaning of the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. Sec. 1232g. Such notes, records, and other documents may then become subject to the request provisions and confidentiality provisions of FERPA and may be subject to a review or disclosure demand from the student’s parent or guardian. In addition, a party with whom the District enters this contract may have records or information subject to HIPAA, Washington Administrative Code (WAC) 388-877, King County Behavioral Health regulations, or other confidentiality/privilege protections that prevent disclosure. The party with whom the District enters this contract assures that it will comply with all established law and regulations regarding confidentiality. KPRCS and KSD will need to enter into a Data Sharing Agreement if individual student level data is to be shared. 6 PROFESSIONAL SERVICES CONTRACT - 6 (between KSD and KPRCS) 12.0 PUBLIC RECORDS Because the KSD and KPRCS are public agencies in Washington, this contract and all documents, correspondence, and records generated by the parties pursuant to this contract are public records subject to Washington’s Public Records Act (PRA), chapter 42.56 RCW. All records and documents related to the program must be available for public inspection and copying upon request unless any record or document falls within a specific exception to the PRA (including confidential or privileged information discussed above). Should either party receive a public records request related to the work performed by this contract, the receiving party will advise the other party of the scope of the request. While the parties may discuss the request with each other, the responsibility to respond to the request will rest with the agency who received the request. If the other party disagrees with the disclosures the receiving party intends to make, the other party may exercise its rights under RCW 42.56.540 and seek court action to prevent disclosure of any public record. 13.0 SCHOOL FACILITY CHARGES A school hosting an approved educational program or consultant service provided by KPRCS will provide assistance and space as needed for the educational program or consultant services to operate successfully. As long as the approved educational program or consultant service is provided during hours that the respective school’s custodial staff are at work and the use of the school is within normal usage requirements, there will be no charge to KPRCS for use of the school facility. Should the use of the school facility be beyond the hours of the respective school’s custodial staff or the usage of the facility be above normal school usage, KSD will charge KPRCS the normal KSD facility usage charges. KPRCS will not be permitted to charge students, parents, guardians or any other entity for their services while engaging in this program or service using a school facility. 14.0 NONDISCRIMINATION All parties to this contract assure that no individual shall be excluded from participation in, denied the benefits of, subjected to discrimination under, or denied employment in the administration of or in connection with any aspect of this contract because of sex, race, creed, religion, color, national origin, age, honorably discharged veteran or military status, sexual orientation including gender expression or identity, the presence of any sensory, mental or physical disability, or the use of trained dog guide or service animal by a person with a disability. The parties agree to abide by the standards of responsibility toward the disabled as specified by the Americans with Disabilities Act and Washington Law Against Discrimination. In the event that one of the parties hereto 7 PROFESSIONAL SERVICES CONTRACT - 7 (between KSD and KPRCS) refuses to comply with the above provision, this MOU may be canceled, terminated, or suspended in whole or in part by the other party. 15.0 FEDERAL PROCUREMENT KPRCS warrants that neither the KPRCS nor any of its principals are presently debarred, suspended, proposed for debarment or otherwise declared ineligible for the award of contracts by any federal agency. KPRCS shall immediately inform the District of any change to such status, or if any Assigned Worker is debarred, suspended, proposed for debarment or otherwise declared ineligible for the award of contracts by any federal agency. 16.0 ENTIRE AGREEMENT This contract constitutes the entire agreements between these parties with respect to the subject matter of this contract and all prior negotiations, agreements, and understandings, whether written or oral, are superseded. No provision of this MOU may be changed, waived, or modified except in writing signed by the parties. 17.0 AUTHORITY TO ENTER INTO AGREEMENT Each person entering into this contract represents that s/he has the right and authority to execute this Agreement on behalf of the party for whom s/he signs. 18.0 SIGNATURES The signatures on this MOU indicate that the parties are in agreement with all stipulations made herein.
