City of Kent and Broderick Architects, PLLC) FIRST AMENDMENT AND RATIFICATION OF CONSULTANT SERVICES AGREEMENT (between City of Kent and Broderick Architects, PLLC) THIS FIRST AMENDMENT AND RATIFICATION OF CONSULTANT SERVICES AGREEMENT (³First AmendmenW´) is made between the CITY OF KENT, a Washington mXnicipal coUpoUaWion (³CiW\´), and BRODERICK ARCHITECTS, PLLC, a Washington professional limited liability company (³Consultant´). I. RECITALS 1.1 City entered into a Consultant Services Agreement with the Consultant on May 6, 2019, wherein Consultant agreed to prepare detailed drawings and specifications for the replacement of the waterproofing membrane within the second-floor patio of Kent City Hall (³Agreement´). The Agreement provided that Consultant¶s work would be completed by October 31, 2019. 1.2 Due to delays associated with the City rejecting all contractor bids to execute the waterproofing work, the COVID-19 pandemic, and the City¶s desire that Consultant also perform construction administration services, Consultant¶s work on the project has continued beyond October 31, 2019. 1.3 The parties acknowledge that the Agreement terminated by its own terms on October 31, 2019. However, the City and Consultant express their mutual intent and desire to reinstate the Agreement; extend its term through February 15, 2021; and amend the work to include construction administration and other services, to be performed in accordance with the same provisions set forth in the original Agreement, except as modified within this First Amendment. In addition, the parties wish to ratify and affirm any and all acts consistent with the authority of the Agreement and prior to the effective date of this First Amendment. II. AMENDMENT NOW THEREFORE, in consideration of the mutual intent, desire, and promises of the parties and other good and valuable consideration, City and Consultant agree as follows: 2.1 Agreement – Reinstated and Actions Ratified. The Agreement, which terminated by its own terms on October 31, 2019, is hereby ratified, renewed, and reinstated. The term of the Agreement is hereby extended through February 15, 2021. All acts consistent with the authority of the Agreement and prior to the effective date of this First Amendment are hereby ratified and affirmed, and the terms of the Agreement and this First Amendment shall be deemed to have applied. 2.2 Additional Services to be Performed. In addition to the services provided for in the Agreement, Consultant shall also perform construction administration and other services as provided for in the attached and incorporated Exhibit A-1. The additional compensation due Consultant for FIRST AMENDMENT AND RATIFICATION OF CONSULTANT SERVICES AGREEMENT - 2 (btwn. City of Kent and Broderick Architects, PLLC) these additional services shall be $8,500.00, which amount includes applicable Washington State sales tax, if any. The total compensation provided to Consultant for services rendered under the Agreement and this First Amendment shall not exceed a revised contract sum of $53,500.00. 2.3 Remaining Provisions. Except as specifically amended by this First Amendment, all remaining provisions of the Agreement shall remain in full force and effect.
