RIGHT OF ENTRY AGREEMENT
RE: Property described as 11228 SE 236th Place, Kent, Washington,
172205 184E 264 Ft on N % of NW '/4 of SE '/4 of SE % ("Property")
The City of Kent (City), grants Sprint PCS Assets, LLC, a Delaware limited
liability company (the "Company") and its agents a revocable right ("Access Right") to
enter the Property between the hours of 7:30 a.m. and 4:00 p.m., to perform tests to
determine the feasibility of constructing and operating a tower or antenna site for receipt
and transmission of wireless communication signals upon the Property. The tests may
include the following: surveys, geotechnical soil borings and analysis, Phase I
environmental assessments, boundary surveys, radio propagation studies, and other
such tests and inspections of the Property which the company deems necessary or
advisable to determine the feasibility of the use of the Property as a tower or antenna.
The Access Right shall be valid for sixty (60) days from the last date signed
below, and the City may revoke the Access Right at any time prior to the end of those
sixty (60) days by delivering written notice to the Company by certified mail, return
receipt requested, at the following address:

This notice will be effective three (3)days after actual receipt by the Company, provided,
however, that within ten (10) days of receipt of the notice, the Company may still enter
the Property to remove any equipment it has placed on the Property.
The Company agrees to repair any damage to the Property caused by the
Company's use of the Access Right. The Company agrees to keep all holes dug in the
ground covered whenever the holes are not being directly monitored by an individual on
the Property. The Company further agrees to indemnify, defend, and hold the City
harmless from and against any and all damages, losses, and expenses arising out of or
resulting from any claim, action, or other proceeding that is based upon any negligent
act or omission or willful misconduct of the Company or its employees or agents, arising
in connection with the Access Right.
At the City's request, the Company agrees to provide a Certificate of Insurance
evidencing the Company's general liability insurance coverage.

The parties agree that the interpretation and construction of this Agreement shall
be governed by the laws of the state of Washington, without regard to such state's
conflict of laws provisions.
