MEMORANDUM OF UNDERSTANDING
REGARDING UTILITY ADJUSTMENTS OR RELOCATION
FOR
City of Kent -- Rock Creek Culvert Replacement
This Memorandum of Understanding (MOU), entered into this 2a day of February,
2021, by and between City of Kent ("City"), and Qwest Corporation d/b/a CenturyLink QC
('CenturyLink"), and referred to herein collectively as the "Parties", sets forth a non -binding
statement of the Parties' intent with respect to establishing the relationships, clarifying lines of
communication and outlining the general procedures for adjustment of CenturyLink's utility
facilities located in public rights -of -way ("Utility" or "Utilities") that may be in conflict with the
construction, operation and maintenance of the City of Kent's project known as Rock Creek
Culvert Replacement ("Project"), as more particularly described below. The term "adjustment"
as used herein encompasses CenturyLink's relocation, deactivation and/or abandonment,
protection, removal, replacement, reinstallation and/or modification of a Utility in order to
accommodate the Project, including the design and construction work necessary for such
actions.
SECTION 1. Project
The Project will be removing the existing culvert at Rock Creek along Summit Landsburg Rd
and replacing with a new bridge over the Creek. In general, the Project will increase flow
capacity of Rock Creek under Summit Landsburg Rd. The Project extends into both City of Kent
and unincorporated King County Rights of Way. The Project is expected to affect the Utilities
listed in Section 2.
SECTION 2. Potential Utilities Conflicts
The following lists the potential conflicts between the Utilities and the Project and the planned
resolution:
A. Cable [HO51 : Relocate buried communications line to a location that will not affect the
removal of the existing culvert and construction of new bridge.
B. Cable [H041: Relocate buried communications line to a location that will not affect the
removal of the existing culvert and construction of new bridge.
SECTION 3. Coordination
The Parties acknowledge the following procedures have been developed to facilitate efficient
coordination for the Project and adjustments of Utilities:
A. The Parties will participate in Project task force meetings, exchange information and
maintain open communications by and among City and CenturyLink.
B. Design -Builder's obligations with respect to this coordination process are as set forth
in the Design -Build Contract entered into between City and Design -Builder.
C. CenturyLink's obligations are set forth in the CenturyLink Permits.
D. The Parties acknowledge the following general process for the Project:

i. Project Information. The City will provide to CenturyLink Project -specific
information and will initiate and lead the coordination process.
I Field verification. CenturyLink will assist the City in identifying the location
of Utilities that may be impacted by the Project, and the information will be
made available in a common datum for use in Project design.
iii. Meetings. The City will implement a schedule of periodic meetings with
CenturyLink, for coordination purposes. Such meetings will commence as
early as possible in the Project design process and will continue until
completion of the Project (or until adjustment of the Utilities is completed).
Such meetings will include a preliminary design meeting for the City and
utility owners to meet and familiarize themselves with design elements,
utility facilities, and general features of the Project. Thereafter, the
frequency of meetings between the City and CenturyLink will be appropriate
to the matters under discussion. It is anticipated that subsequent meetings
will include (i) design concept meetings to discuss potential Utility impacts
and suggestions for cooperative solutions pending more detailed design, (ii)
intermediate design meetings to trace the progress of ongoing design
processes and discussion of right-of-way, and (iii) final design and initial
construction coordination meeting to finalize the plans, specifications, and
cost estimates for adjustment of the Utilities impacted by the Project. After
the adjustment plans and specification are finalized, additional meetings are
anticipated to coordinate the construction of the Utility adjustments and to
establish a forum for the regular exchange of information during construction
to minimize delays and provide for proper inspection.
iv. Updates. The City will keep CenturyLink informed and involved in
decisions affecting its Utilities through the contact person(s) provided by
CenturyLink in subsection E, below.
V. Disputes. In the event of a dispute, CenturyLink and the City intend to
continue their respective performance to the extent feasible in. light of the
dispute. Continuation of efforts shall not be construed as a waiver of any
legal right.
E. Contact Person.

SECTION 4. Miscellaneous
Nothing in this MOU is to be construed as conflicting with existing laws, regulations,
property rights and contractual agreements, nor a modification, relinquishment or waiver of any
right or obligation of the Parties or CenturyLink under any such law, regulation, property rights
or agreement. This MOU may be amended or supplemented only by written agreement between
the Parties. Although this MOU is non -binding, its intent is to maximize the lines of
communication, increase the mutual cooperation among Design -Builder and CenturyLink, and to
enhance the effectiveness of procedures used for the mutual benefit and common good of both
utility customers and the general public.
SECTION 5. Responsibilities
The following is a list of responsibilities of each party within the Project:
