FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF KENT AND SERVANT INDUSTRIES, INC. This First Amendment (hereinafter “First Amendment”) to the Professional Services Agreement, dated February 22, 2021, (hereinafter “Agreement”), is made and entered into by and between Servant Industries, Inc., a Washington corporation (hereinafter “Contractor”), and the City of Kent, a Washington municipal corporation (hereinafter “City”), collectively the (“Parties”). RECITALS The scope of work will expand to include additional compensation for work to be completed by the Contractor, as described in more detail in Amendment Exhibit A. The Parties have agreed to modify performance of the Agreement as provided below and to ratify all acts consistent with the authority of this First Amendment and prior to its effective date. AMENDMENT NOW THEREFORE, in consideration of the mutual intent, desire, and promises of the Parties and other good and valuable consideration, the City and Contractor each agree as follows: 1. Compensation. Section III of the Agreement, entitled “Compensation,” is hereby modified to as follows: III. COMPENSATION. The City shall pay the Contractor a total amount not to exceed $6,600.80 for the services described in this Agreement. The City shall issue a 25% mobilization payment of $1,650.20 by City Check to the Contractor upon complete execution of the contract. The remaining 75% of $4,950.60 will be paid to the Contractor by City Check upon completion of the work and within 30 days after receipt of Contractor’s final invoice. The City shall pay the Contractor $6,538.40 (including WSST) - $1,457.00 for additional slab gasket and polishing work, and $5,081.40 for work described in Amendment Exhibit A. The full amount will be paid to the Contractor by City Check upon completion of the work and within 30 days after receipt of Contractor’s final invoice. 2. Waiver of Claims Prior to Amendment. The Contractor accepts all requirements of this First Amendment by signing below, by its signature waives any protest or claim it may have regarding this First Amendment, and acknowledges and accepts that this First Amendment constitutes full payment and final settlement of all claims of any kind or nature arising from or connected with any work either covered or affected by this First Amendment, including, without limitation, claims related to contract time, contract acceleration, onsite or home office overhead, or lost profits. This First Amendment, unless otherwise provided, does not relieve the Contractor FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT - 2 (between City of Kent and Servant Industries, Inc.) from strict compliance with the guarantee and warranty provisions of the original Agreement. 3. Ratification. All acts consistent with the authority of this First Amendment and prior to its effective date are ratified and affirmed and the terms of the Agreement, this First Amendment and any prior Amendments shall be deemed to have applied. 4. Remaining Provisions. Except as specifically amended by this First Amendment, all remaining provisions of the Agreement and any prior Amendments shall remain in full force and effect. The parties whose names appear below swear and affirm that they are authorized to enter into this First Amendment, which is binding on the parties of the Agreement.
