The recipient agrees to maintain this information in confidence and will not reproduce or otherwise disclose this information to anyone outside the group directly responsible for evaluation of this document. referred to as Client). This SOW, when executed by both undersigned parties, together with the other documents, annexes or exhibits attached hereto or incorporated herein by reference, constitutes the complete contractual agreement between the undersigned parties with respect to the deliverables and/or services described herein. 1.1 Modifications No verbal statements by Cerium or other party shall constitute a modification of this SOW or representation that additional or different services will be performed. Services not written within this SOW are not assumed and will not be performed unless defined within this document. See Section — Engagement Standards —Change Management. In the event of a conflict between the Order, this SOW and any other Attachments, the following order of precedence shall apply: i) Order, ii) the SOW, and then iii) the Attachments (if any). 1.2 Contract Return Date Cerium recognizes project completions timelines are important to Client. Project timelines will be established during project kick off based on fully executed contact package return dates. A fully executed contract package must be received before any resources are assigned to the work identified in this SOW. The Contract Package includes the Cerium Sales Order, Clients Purchase Order, Advance Payment, Signed SOW and Signed Support Agreement (if applicable). This SOW will become invalid if not accepted within 30 days from the SOW date documented in the previous section., 2.1 Solution City of Kent has hired Cerium to provide a proof of concept of Microsoft Teams with calling using direct routing. This project will lay the foundation in their environment to scale for future role out of Teams calling throughout the City's infrastructure. The Cerium team will conduct this project through a series of steps that includes planning, delivery, and support services rooted in Microsoft's Operational Framework. These professional services are combined with Cerium's legacy of Microsoft product engineering expertise to support successful user adoption. The Microsoft Teams project will begin with a deep dive discovery phase of the City of Kent's existing Mitel system and Microsoft components such as Active Directory and the existing Office 365 tenant configuration. If any items are found that may cause issues with the delivery of the project, then Cerium CERIUM NETWORKS 4 This Statement of Work (SOW) contains confidential information provided by Cerium Networks and is intended solely for the listed recipient. Engineering will notify the City of Kent team as soon as possible. Cerium will provide remediation steps to resolve these issues. Once discovery has been complete, Cerium will then install and configure two high -availability pairs of AudioCodes M800B session border controllers: 1 in the primary Kent Datacenter, and the second into the Sabey Datacenter for use with Microsoft Teams Direct Routing. The Kent SBC will also integrate with the City's Mitel PBX for extension dialing. An AudioCodes MP112 media pack will also be deployed to support the analog needs of the environment. Once these are configured, Cerium will then create the necessary configurations between the existing Mitel on -premise system, AudioCodes SBCs, and Microsoft Teams located in Office 365. Then the necessary Microsoft Teams services will be configured including: Enterprise Voice, Conferencing, Communications Credits, and E-911 services. Cerium will then create a single Teams based Auto Attendant and Call Queue so that the City of Kent can test the operation of these features within the proof -of -concept phase. During the Teams migration, the City of Kent's proof of concept users will be moved to Teams Only mode. The City of Kent has a new SIP PSTN provider that will be functional prior to the project start. The SIP PSTN provider will provide an ethernet handoff in both Kent and Sabey datacenters. Once the SIP trunks are configured, Cerium will run a comprehensive test plan to ensure failover routing is functioning as expected. Next, Cerium will assist with migrating and enabling up to 45 users to Teams Only mode. These users will be responsible for testing the features of the solution prior to a production rollout. The users will maintain their existing phone number from the Mitel system, in that that the phone number or extension will be disabled on the Mitel PBX and enabled for use in Microsoft Teams. During this time, Cerium will provide 4 hours of first day of business helpdesk support to handle any project related issues that may arise with the proof -of -concept team. The City of Kent will be responsible for all necessary Mitel configurations for this project. Finally, the Cerium Learning Center will provide a 3-hour session of end user classroom - based training for 10 users and provide as -built documentation for items listed in this statement of work. 2.1.1 Hardware and Software Cerium will provide only the hardware and software, including quantities, specifically listed within the Sales Order(s). Any hardware or software not expressly listed within the Sales Order is not included as a part of the project. 2.1.2 Current Client Environment Following is a description of the Client's current environment. The design is subject to change during the project based on evolving Client requirements. • Perform a deep dive discovery • Configure 2 pairs M800B SBC's in HA: One in Kent and one in Sabey. • Configure Direct Routing to Microsoft Teams in Office 365 • Configure a SIP trunk to an existing Mitel PBX • Configure necessary Teams services to include Enterprise voice and Conferencing needs • Migrate a Proof -of -Concept group of 45 users to Teams Only Mode • Create 1 Teams based Auto Attendant and Call Queue for testing purposes • Provision supported IP phones for Teams • Configure call quality Dashboard in 0365 • Perform an Admin-to-Admin knowledge transfer that will include AudioCodes and Microsoft Teams • Provide 4 hours of first day of business support • Perform 1 classroom -based trainings for Microsoft Teams end users • Perform failover PSTN SIP trunk testing • Provide as -built documentation for appropriate items 2.1.4 Solution Diagram The following diagram provides a high-level depiction of the project architecture based on planning sessions completed by Cerium and Client. The architecture is subject to change during the project based on evolving Client requirements. The diagram below depicts one datacenter and would be mirrored in the secondary datacenter. All changes to the outlined assumptions and considerations should be documented and agreed up on prior to the agreement of this SOW. Any changes to assumptions and considerations after the agreement resulting in changes to software, hardware, or related services will be addressed through the Section — Engagement Standards — Change Management. Assumptions and considerations identified for this project include: CERIUM NETWORKS 7 This Statement of Work (SOW) contains confidential information provided by Cerium Networks and is intended solely for the listed recipient. The recipient agrees to maintain this information in confidence and will not reproduce or otherwise disclose this information to anyone outside the group directly responsible for evaluation of this document. • All work will be performed during normal business hours, Monday through Friday, 8:00 a.m. to 5:00 p.m., except holidays unless otherwise agreed to in advance. • All tasks will be performed over a consecutive timeframe unless otherwise agreed to by all parties. • All required licenses will be purchased and provided by the customer prior to engagement. • All work is performed remotely. • Project timelines are only an estimate and are subject to change. • Cerium Networks will utilize Microsoft Best Practices for this project • Cerium Networks will in "good faith" work within the customer's time frame and schedule. However, during unforeseen events (death, illness, acts of nature, etc.) Cerium Networks reserves the right to reschedule as needed. • Cerium Networks is not responsible or held accountable for the "health" of the customer's hardware or network. If network or hardware "health" are deemed insufficient or problematic, all remote work will stop until issues are addressed. • Work requested outside the parameters of this document will be considered "out of scope" and a change order will be implemented. 2.4 Exclusions The following components of the proposed solution are out of scope and therefore will not be implemented as part of this SOW. Any functionality listed as an exclusion that is desired or required for this project should be addressed prior to agreement to this SOW. Any changes the listed exclusions after the agreement resulting in changes to software, hardware, or related services will be addressed through the Section — Engagement Standards — Change Management. Out of scope items identified for this project include: Cerium Networks is responsible to perform only the Services described in this Statement of Work Agreement. Any additional services discussed or implied that are not defined explicitly by this SOW will be considered out of Scope. All services requested outside of this SOW as detailed above will require a "Change Order" before any services are performed. "Change Order" must be agreed upon by all parties and signed. Timely delivery of our services depends upon, among other things, the prompt and effective completion of the responsibilities identified herein. Any delay in performance of Client responsibilities may result in additional charges and/or delays completing the project. Additional charges and/or delays will be handled in accordance with Section 6.1 Change Management. The recipient agrees to maintain this information in confidence and will not reproduce or otherwise disclose this information to anyone outside the group directly responsible for evaluation of this document. 3.1 Client Engagement Responsibilities To ensure the success of this project, Client will adhere to the following engagement guidelines: • Participate in all aspects and phases of the project 3.2 Client Point of Contact Prior to the project kickoff, Client will designate a Client Point of Contact to whom all communication relative to the project will be addressed. Client Point of Contact responsibilities include: • Serve as the interface between Cerium and all Client personnel participating, in or affected by, the project • Work with Cerium Project Manager to manage project plans, schedules, etc. • Attend and actively participate in in all mutually scheduled required project meetings • Assist Cerium Project Manager scheduling and coordinating Client resources • Coordinate Client vendors, subcontractors, and local exchange carrier interactions • Provide Cerium with information or documentation required to complete the project • Provide access to the systems required to complete the project • Help resolve or escalate issues encountered during the project 3.3 Client Environment Readiness Proper network and infrastructure planning are essential for ensuring timely completion of the Project. Client responsibilities for ensuring environment readiness include: Ensure all network requirements communicated by Cerium are met or exceeded Ensure all hardware and software related to this engagement are at current or supported maintenance levels Cerium anticipates a successful outcome for this project; however, despite our best efforts, occasionally we encounter unforeseen issues within the Client's environment that impact the project that are outside of our control. Cerium can support you and resolve issues on a time and material basis. 4.1 Project Management— Enhanced Enhanced Project Management is designed for implementations where Project Management Services supports multiple cutovers and/or Applications. All project management services are performed remotely unless explicitly identified in the sales order for on -site support. CERIUM NETWORKS 9 This Statement of Work (SOW) contains confidential information provided by Cerium Networks and is intended solely for the listed recipient. The Cerium Project Manager will become the primary point of contact for all issues related to the solution deployment. The project manager will perform the following tasks as part of the project implementation: • Review and understand the SOW and the business goals of the client • Make preliminary contact with the client and review next steps • Create a detailed project schedule. • Hold a remote project kickoff meeting with the client and Cerium project team • Place equipment order and provide order status and delivery information to the client • Schedule and manage Cerium resources and any applicable 3rd party vendors. • Manage any change orders incorporated into the project • Hold (2) remote status calls with the client and Cerium implementation team • Coordinate the project logistics between the client and Cerium • Remotely manage the project implementation • Up to one (1) day of remote management of project cutover activities • Provide status updates of first day of business support activities • Comply with customer -provided Change Management policies ■ Conduct one (1) remote meeting to facilitate handoff to Cerium support • Project closure and client sign off 4.1.1 Cerium Deliverables for Enhanced Project Management The following are the Cerium deliverables for Standard Project Management: • Provide technical requirements and data collection forms and review for accuracy • Provide relevant project planning documentation to include: o A project contact list o Detailed and product specific data collection forms o Kickoff meeting agenda and minutes o A detailed and mutually agreed upon project schedule o Status meeting agenda and minutes o A training management plan and schedule as applicable o Solution and equipment test plans • Provide client with basic handoff package to include: o A project description and summary document o As built diagrams o All warranty and support information o A post install punch list if punch list items exist 4.1.2 Client Responsibilities for Enhanced Project Management The following are the client responsibilities for Standard Project Management: • Ensure necessary network requirements • Manage the collection of data using Cerium provided data collection forms CERIUM NETWORKS 10 This Statement of Work (SOW) contains confidential information provided by Cerium Networks and is intended solely for the listed recipient. The recipient agrees to maintain this information in confidence and will not reproduce or otherwise disclose this information to anyone outside the group directly responsible for evaluation of this document. • Coordinate and ensure technical requirement compliance • Provide information and guidance on client Change Management policies • Assist Cerium PM with scheduling and coordinating client resources • Provide any Cerium requested documentation or information • Provide any necessary access to client systems • Attend and actively participate in all mutually scheduled required project meetings • Comply with mutually agreed upon project schedule • Coordinate all client vendors, subcontractors and LEC/carrier interactions 4.1.3 Project Kickoff The Cerium Project Manager will be responsible for planning, coordinating and facilitating the project kickoff meeting. The project kickoff meeting will include the following agenda items: • Team member introductions, roles & responsibilities. • Summary review of product and services sold. • Present the approach, processes and procedures associated with the project. • Review the preliminary project schedule • Develop status meeting cadence. • Define project milestones. • Review project deliverables and/or phases. 4.1.4 Project Schedule The Cerium Project Manager will develop a project schedule that will define tasks, responsible party, and overall project timeline. The preliminary project schedule will be reviewed during the project kickoff meeting. A final baseline schedule will be developed with input by resources assigned to project activities. The Project Manager will obtain approval from the client project sponsor and agree to the published dates. Progress of work completed, and any adjustments will be updated during scheduled project status calls. 4.1.5 Project Control Activities During the course of the project the Project Manager will manage all project activities to include: • Managing the project schedule • Identifying, scoring, and monitoring project risks • Manage all action items, issues, assumptions, and change requests. • Lead as identified project status meetings • Manage project communication that includes: managing a central location for storing project artifacts, provide project status and forecasts of work. • Managing all project change orders • Validating the collected information and requirements received from the client align with the Statement of Work (SOW). The recipient agrees to maintain this information in confidence and will not reproduce or otherwise disclose this information to anyone outside the group directly responsible for evaluation of this document. • Managing the installation and configuration of all project hardware, software, and licenses. 4.1.6 Project Cutover Activities The Cerium Project Manager will remotely manage the cutover activities (unless explicitly identified in the sales order for on -site Project Management cutover support) and ensure that any issues that may arise are identified, documented, and addressed in a timely manner 5.1 Engineering Services The following is a list of services to be performed by the Cerium engineer: MS - AUDIOCODES ENVIRONMENT DISCOVERY Prior to beginning the implementation of the project, Cerium Networks Engineering will conduct a discovery session to evaluate the condition of the AudioCodes environment. This session will determine the extent to which the existing configuration adheres to best practice for both the current and desired communications flow. If the current AudioCodes configuration does not meet the minimum system readiness criteria according to industry standards and best practices, Cerium will submit recommendations for review by the customer. The customer will either be responsible for planning and implementing the recommended changes or request additional Cerium engineering services via a project change order. Cerium reserves the right to postpone further implementation if the current environment will not properly support the required feature set. MS - OFFICE 365 TEAMS PLANNING SESSION Cerium will conduct an interactive planning session to familiarize customer with the Teams features, settings, and controls. Cerium Networks will deliver a spreadsheet detailing the components of the Auto Attendant to be created as well as a flow chart diagram of the call flow. MS - TEAMS CALL QUEUE DISCOVERY AND DESIGN SESSION Cerium Networks will engage in a discovery session with the customer to identify existing call routing information for 1 call flow and subsequently redesign for optimization within Teams Call Queues. Cerium Networks will deliver a spreadsheet detailing the components of the Call Queues to be created as well as a flow chart diagram of the call flow. MS - OFFICE 365 PRE -REQUISITE ASSESSMENT Prior to beginning the implementation, Cerium Networks will conduct an assessment of the various server hardware and software dependencies for a successful Office 365 deployment. This session will also cover the networking and naming service dependencies including DNS records configuration, network bandwidth and latency, network ports and protocols, and certificates. If the current Microsoft configuration does not meet the minimum system readiness criteria according to industry standards and Microsoft best practices, Cerium will submit recommendations for review by the customer. The customer will either be responsible for planning and implementing the recommended changes or request additional Cerium engineering services via a project change order. Cerium reserves the right to postpone further implementation if the current environment will not properly support the required Office 365 feature set. MS - AUDIOCODES E-SBC STAGING Cerium Networks will address the necessary prerequisite configurations of the AudioCodes E-SBC(s) for integration to Microsoft Teams. MS - AUDIOCODES E-SBC LICENSE ADD -ON AND CONFIGURATION Cerium Networks will install the applicable software license within the existing AudioCodes device for the purposes of supporting additional SBC sessions. MS - AUDIOCODES E-SBC 1+1 REDUNDANCY CONFIGURATION Cerium Networks will configure two pairs of qualified AudioCodes E-SBCs in an active -redundant HA state in which they will share identical configuration and call processing, while only one unit is active at any given time. MS - SBC DIRECT ROUTING CONFIGURATION Cerium will configure Direct Routing with the SBCs. Cerium will create all necessary route patterns and dial plans to ensure the calls route to their correct destinations. MS - AUDIOCODES MEDIAPACK DEPLOYMENT Cerium Networks will configure the AudioCodes MediaPack(s) to support the analog station and/or trunk requirements of the customer. MS - OFFICE 365 ENVIRONMENT INITIAL SETUP - TEAMS ONLY Cerium will configure connectivity to Office 365 from Teams. MS - OFFICE 365 PHONE SYSTEM - SYSTEM CUTOVER AND TESTING Cerium Networks will perform final testing of the Office 365 Phone System service and then initiate the process of cutting over the system to the production users. MS - OFFICE 365 DIRECT ROUTING CONFIGURATION Cerium will configure Direct Routing with Office 365. Cerium will create all necessary route patterns and dialplans to ensure the calls route to their destinations to an on -premise SBC. MS - TEAMS - PSTN CONFERENCING SETUP Cerium will address the steps necessary to set up the PSTN Conferencing via Microsoft for the Teams environment. This effort includes: - Assigning PSTN conferencing plans and default phone numbers to users in Office 365 - Customize (1) Teams meeting invitation based on the available options MS - TEAMS AUTO ATTENDANT CONFIGURATION AND TESTING Cerium Networks will configure and test a Teams automated attendant. Services include call flow and options configuration in conjunction with customer -provided recordings for the automated attendant prompts. MS - TEAMS VOICE DEPLOYMENT - DIAL PLAN AND VOICE CONFIGURATION Cerium Networks will enable and configure the Call Quality Dashboard in Office 365 for the purpose of collecting and reporting on call quality metrics MS - TEAMS USER MIGRATION, ENABLEMENT AND CONFIGURATION (20 Users) Cerium Networks will migrate users (up to 45) from the Legacy environment to the new Teams environment. This process will take place over a time period mutually agreed upon with the customer. Service interruptions affecting users will be addressed up front and minimized. During this process, Cerium Networks Engineering will perform final testing of the Teams system and then initiate the process of cutting over the system to the production users. This can be completed as a phased approach or as a flash cut and will be specified in the project plan. MS -TEAMS PILOT IN-SERVICE SUPPORT (45 USERS) The "post cutover helpdesk support" period will be scheduled for 2 calendar weeks unless otherwise specified in the scope of work, during which the Cerium engineer, project manager and customer technical team will meet four times (twice a week) for a focused review of the progress of the pilot group, review of open issues, and to allow the customer to ask questions or address concerns with the Cerium team. MS - OFFICE 365 TEAMS KNOWLEDGE TRANSFER The Cerium Networks implementation engineer will provide a knowledge transfer to the customer's IT staff such that they will be able to manage the Teams based on Microsoft best practices. Setup includes up to 11 training users and PCs for one classroom (1 instructor and 10 students). 5.2.2 System Administration Adoption Services System Administration training is not in scope for this engagement. Please contact your Account Executive is you would like to discuss available Administration Adoption Services. 6.1 Change Management Cerium is committed to meeting and exceeding our Client's expectations delivering the contracted services defined within this fixed price SOW. If any of the following conditions are discovered during the project, a time and materials change order will be required to remedy the situation: • Additional work efforts to support an expanded scope such as, but not limited to, additional locations and/or end users, additional solution feature activation, and/or overall solutions • Unexpected Client environment constraints or issues • The Local Exchange Carrier (LEC) has an issue delivering the telecommunications services in a full working manner at the time required. • The Client's WAN and LAN network environment having issues discovered during deployment that require troubleshooting. • Extended timelines, project delays, design changes, extra desired work, or other unforeseen circumstances that cause a project to exceed its original scope. The Cerium Project Manager will work with the appropriate resources to scope the change requirements and provide a change order for your review and execution. Time and material change orders will include work effort estimates. Cerium will make every effort to continue the current project to mitigate the impact of the project schedule while any change order is in process. In the event Cerium resources are required to perform work outside of the standard hours of operation, agreed -upon work windows will be discussed and subsequently documented via email. It is also required that Client project stakeholder or a technical contact be either on location or on call during the agreed -upon weekend/after-hours work window(s). 6.3 Travel and Living Expenses Travel charges are not anticipated for this project. Should travel be required, travel expenses will be billed as actual for services performed onsite. Travel includes all that apply to airfare, hotel, meal per diem, car rental, mileage, and parking. 6.4 Rescheduling, Cancelling and Delay of Services This project outlined in this Statement of Work duration will be outlined in the project plan delivered at project kickoff. Should the duration of the project exceed this original estimate, whether due to Client requirements, third party delay or facilities readiness, Cerium reserves the right to adjust the services scope and fees to account for the expanded duration of the project. While Cerium understands that at times rescheduling a project because of unforeseen delays with other vendors, materials, facilities, etc. is unavoidable, it does represent an increased cost to Cerium. For that reason, each Client requested delay without written notice to Cerium at least 2 weeks prior to the scheduled work, may result in a change order to the project equaling the greater of the two options below: • A change order equal to 50% of the scheduled resource hours assigned to the project that are being rescheduled due to Client request • A change order of $1800 Multiple or recurring requests for rescheduling, with or without notice to Cerium, will result in a change order to the project equaling the greater of the two options above. 6.5 Project Closure and Solution Acceptance Cerium will seek acceptance from the Client for the implementation and document any remaining action items to be completed via the Project Closure Form. The Project Closure Form will be submitted within one business day after system cutover or production go -live of the solution. The Client will have up to 2 business days to review and respond to the Project Closure Form, and if written acceptance or dispute of acceptance is not received, Cerium will deem the implementation as "accepted" without exception. A contract for the acquisition, including lease, of real or personal property is a commitment of the entity’s current revenue only, provided the contract contains either or both of the following provisions: Ø Retains to the entity the continuing right to terminate the contract at the expiration of each budget period during the term of the contract and is conditioned on a best efforts attempt by the entity to obtain appropriate funds for payment of the contract. ¨ Shipments (if applicable) Ø The awarded vendor shall ship ordered products within seven (7) working days for goods available and within four (4) to six (6) weeks for specialty items after the receipt of the order unless modified. If a product cannot be shipped within that time, the awarded vendor shall notify the entity placing the order as to why the product has not shipped and shall provide an estimated shipping date. At this point the participating entity may cancel the order if estimated shipping time is not acceptable. ¨ Tax Exempt Status Ø Since this is a national contract, knowing the tax laws in each state is the sole responsibility of the vendor. ¨ Payments Ø The entity using the contract will make payments directly to the awarded vendor or their affiliates (distributors/business partners/resellers) as long as written request and approval by NCPA is provided to the awarded vendor. ¨ Adding authorized distributors/dealers Ø Awarded vendors may submit a list of distributors/partners/resellers to sell under their contract throughout the life of the contract. Vendor must receive written approval from NCPA before such distributors/partners/resellers considered authorized. Ø Purchase orders and payment can only be made to awarded vendor or distributors/business partners/resellers previously approved by NCPA. Ø Pricing provided to members by added distributors or dealers must also be less than or equal to the pricing offered by the awarded contract holder. Ø All distributors/partners/resellers are required to abide by the Terms and Conditions of the vendor's agreement with NCPA. ¨ Pricing Ø All pricing submitted shall include the administrative fee to be remitted to NCPA by the awarded vendor. It is the awarded vendor’s responsibility to keep all pricing up to date and on file with NCPA. Ø All deliveries shall be freight prepaid, F.O.B. destination and shall be included in all pricing offered unless otherwise clearly stated in writing ¨ Warranty Ø Proposals should address each of the following: § Applicable warranty and/or guarantees of equipment and installations including any conditions and response time for repair and/or replacement of any components during the warranty period. § Availability of replacement parts § Life expectancy of equipment under normal use § Detailed information as to proposed return policy on all equipment ¨ Indemnity Ø The awarded vendor shall protect, indemnify, and hold harmless Region 14 ESC and its participants, administrators, employees and agents against all claims, damages, losses and expenses arising out of or resulting from the actions of the vendor, vendor employees or vendor subcontractors in the preparation of the solicitation and the later execution of the contract. ¨ Franchise Tax Ø The respondent hereby certifies that he/she is not currently delinquent in the payment of any franchise taxes. ¨ Supplemental Agreements Ø The entity participating in this contract and awarded vendor may enter into a separate supplemental agreement to further define the level of service requirements over and above the minimum defined in this contract i.e. invoice requirements, ordering requirements, specialized delivery, etc. Any supplemental agreement developed as a result of this contract is exclusively between the participating entity and awarded vendor. ¨ Certificates of Insurance Ø Certificates of insurance shall be delivered to the Public Agency prior to commencement of work. The insurance company shall be licensed in the applicable state in which work is being conducted. The awarded vendor shall give the participating entity a minimum of ten (10) days notice prior to any modifications or cancellation of policies. The awarded vendor shall require all subcontractors performing any work to maintain coverage as specified. ¨ Legal Obligations Ø It is the Respondent’s responsibility to be aware of and comply with all local, state, and federal laws governing the sale of products/services identified in this RFP and any awarded contract and shall comply with all while fulfilling the RFP. Applicable laws and regulation must be followed even if not specifically identified herein. ¨ Protest Ø A protest of an award or proposed award must be filed in writing within ten (10) days from the date of the official award notification and must be received by 5:00 pm CST. Protests shall be filed with Region 14 ESC and shall include the following: § Name, address and telephone number of protester § Original signature of protester or its representative § Identification of the solicitation by RFP number § Detailed statement of legal and factual grounds including copies of relevant documents and the form of relief requested Ø Any protest review and action shall be considered final with no further formalities being considered. ¨ Force Majeure Ø If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in part to carry out its obligations under this Agreement then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon, and the obligation of the party giving such notice, so far as it is affected by such Force Majeure, shall be suspended during the continuance of the inability then claimed, except as hereinafter provided, but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch. Ø The term Force Majeure as employed herein, shall mean acts of God, strikes, lockouts, or other industrial disturbances, act of public enemy, orders of any kind of government of the United States or any civil or military authority; insurrections; riots; epidemics; landslides; lighting; earthquake; fires; hurricanes; storms; floods; washouts; droughts; arrests; restraint of government and people; civil disturbances; explosions, breakage or accidents to machinery, pipelines or canals, or other causes not reasonably within the control of the party claiming such inability. It is understood and agreed that the settlement of strikes and lockouts shall be entirely within the discretion of the party having the difficulty, and that the above requirement that any Force Majeure shall be remedied with all reasonable dispatch shall not require the settlement of strikes and lockouts by acceding to the demands of the opposing party or parties when such settlement is unfavorable in the judgment of the party having the difficulty ¨ Prevailing Wage Ø It shall be the responsibility of the Vendor to comply, when applicable, with the prevailing wage legislation in effect in the jurisdiction of the purchaser. It shall further be the responsibility of the Vendor to monitor the prevailing wage rates as established by the appropriate department of labor for any increase in rates during the term of this contract and adjust wage rates accordingly. ¨ Miscellaneous Ø Either party may cancel this contract in whole or in part by providing written notice. The cancellation will take effect 30 business days after the other party receives the notice of cancellation. After the 30th business day all work will cease following completion of final purchase order. ¨ Open Records Policy Ø Because Region 14 ESC is a governmental entity responses submitted are subject to release as public information after contracts are executed. If a vendor believes that its response, or parts of its response, may be exempted from disclosure, the vendor must specify page-by- page and line-by-line the parts of the response, which it believes, are exempt. In addition, the respondent must specify which exception(s) are applicable and provide detailed reasons to substantiate the exception(s). Ø The determination of whether information is confidential and not subject to disclosure is the duty of the Office of Attorney General (OAG). Region 14 ESC must provide the OAG sufficient information to render an opinion and therefore, vague and general claims to confidentiality by the respondent are not acceptable. Region 14 ESC must comply with the opinions of the OAG. Region14 ESC assumes no responsibility for asserting legal arguments on behalf of any vendor. Respondent are advised to consult with their legal counsel concerning disclosure issues resulting from this procurement process and to take precautions to safeguard trade secrets and other proprietary information. Process Region 14 ESC will evaluate proposals in accordance with, and subject to, the relevant statutes, ordinances, rules, and regulations that govern its procurement practices. NCPA will assist Region 14 ESC in evaluating proposals. Award(s) will be made to the prospective vendor whose response is determined to be the most advantageous to Region 14 ESC, NCPA, and its participating agencies. To qualify for evaluation, response must have been submitted on time, and satisfy all mandatory requirements identified in this document. ¨ Contract Administration Ø The contract will be administered by Region 14 ESC. The National Program will be administered by NCPA on behalf of Region 14 ESC. ¨ Contract Term Ø The contract term will be for three (3) year starting from the date of the award. The contract may be renewed for up to two (2) additional one-year terms or any combination of time equally not more than 2 years. Ø It should be noted that maintenance/service agreements may be issued for up to (5) years under this contract even if the contract only lasts for the initial term of the contract. NCPA will monitor any maintenance agreements for the term of the agreement provided they are signed prior to the termination or expiration of this contract. ¨ Contract Waiver Ø Any waiver of any provision of this contract shall be in writing and shall be signed by the duly authorized agent of Region 14 ESC. The waiver by either party of any term or condition of this contract shall not be deemed to constitute waiver thereof nor a waiver of any further or additional right that such party may hold under this contract. ¨ Products and Services additions Ø Products and Services may be added to the resulting contract during the term of the contract by written amendment, to the extent that those products and services are within the scope of this RFP. ¨ Competitive Range Ø It may be necessary for Region 14 ESC to establish a competitive range. Responses not in the competitive range are unacceptable and do not receive further award consideration. ¨ Deviations and Exceptions Ø Deviations or exceptions stipulated in response may result in disqualification. It is the intent of Region 14 ESC to award a vendor’s complete line of products and/or services, when possible. ¨ Estimated Quantities Ø The estimated dollar volume of Products and Services purchased under the proposed Master Agreement is $50 million dollars annually. This estimate is based on the anticipated volume of Region 14 ESC and current sales within the NCPA program. There is no guarantee or commitment of any kind regarding usage of any contracts resulting from this solicitation ¨ Evaluation Ø Region 14 ESC will review and evaluate all responses in accordance with, and subject to, the relevant statutes, ordinances, rules and regulations that govern its procurement practices. NCPA will assist the lead agency in evaluating proposals. Recommendations for contract awards will be based on multiple factors, each factor being assigned a point value based on its importance. ¨ Formation of Contract Ø A response to this solicitation is an offer to contract with Region 14 ESC based upon the terms, conditions, scope of work, and specifications contained in this request. A solicitation does not become a contract until it is accepted by Region 14 ESC. The prospective vendor must submit a signed Signature Form with the response thus, eliminating the need for a formal signing process. ¨ NCPA Administrative Agreement Ø The vendor will be required to enter and execute the National Cooperative Purchasing Alliance Administration Agreement with NCPA upon award with Region 14 ESC. The agreement establishes the requirements of the vendor with respect to a nationwide contract effort. ¨ Clarifications / Discussions Ø Region 14 ESC may request additional information or clarification from any of the respondents after review of the proposals received for the sole purpose of elimination minor irregularities, informalities, or apparent clerical mistakes in the proposal. Clarification does not give respondent an opportunity to revise or modify its proposal, except to the extent that correction of apparent clerical mistakes results in a revision. After the initial receipt of proposals, Region 14 ESC reserves the right to conduct discussions with those respondent’s whose proposals are determined to be reasonably susceptible of being selected for award. Discussions occur when oral or written communications between Region 14 ESC and respondents are conducted for the purpose clarifications involving information essential for determining the acceptability of a proposal or that provides respondent an opportunity to revise or modify its proposal. If this Agreement results in any copyrightable material or inventions, in accordance with 44 CFR 13.34, FEMA reserves a royalty-free, nonexclusive, and irrevocable license to reproduce, publish or otherwise use, for Federal Government purposes: 1) The copyright in any work developed under a grant or contract; and 2) Any rights of copyright to which a grantee or a contactor purchases ownership with grant support. 7) Pursuant to 44 CFR 13.36(i)(10), Contractor shall maintain any books, documents, papers, and records of the Contractor which are directly pertinent to this Master Agreement. Required Clauses for Federal Assistance provided by FTA ACCESS TO RECORDS AND REPORTS Contractor agrees to: a) Maintain all books, records, accounts and reports required under this Contract for a period of not less than three {3) years after the date of termination or expiration of this Contract or any extensions thereof except in the event of litigation or settlement of claims arising from the performance of this Contract, in which case Contractor agrees to maintain same until Public Agency, the FTA Administrator, the Comptroller General, or any of their duly authorized representatives, have disposed of all such litigation, appeals, claims or exceptions related thereto. b) Permit any of the foregoing parties to inspect all work, materials, payrolls, and other data and records with regard to the Project, and to audit the books, records, and accounts with regard to the Project and to reproduce by any means whatsoever or to copy excerpts and transcriptions as reasonably needed for the purpose of audit and examination. FTA does not require the inclusion of these requirements of Article 1.01 in subcontracts. Reference 49 CFR 18.39 (i)(11). CIVIL RIGHTS/ TITLE VI REQUIREMENTS 1) Non-discrimination. Contractor agrees that a breach of this certification will be a violation of this Civil Rights clause. 3) Solicitations for Subcontracts. Including Procurements of Materials and Equipment. In all solicitations, either by competitive bidding or negotiation, made by Contractor for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier shall be notified by Contractor of Contractor's obligations under this Contract and the regulations relative to non-discrimination on the grounds of race, color, creed, sex, disability, age or national origin. 4) Sanctions of Non-Compliance. In the event of Contractor's non-compliance with the non-discrimination provisions of this Contract, Public Agency shall impose such Contract sanctions as it or the FTA may determine to be appropriate, including, but not limited to: 1) Withholding of payments to Contractor under the Contract until Contractor complies, and/or; 2) Cancellation, termination or suspension of the Contract, in whole or in part. Contractor agrees ta include the requirements af this clause in each subcontract financed in whale or in part with Federal assistance provided by FTA, modified only if necessary to identify the affected parties. DISADVANTAGED BUSINESS PARTICIPATION This Contract is subject to the requirements of Title 49, Code of Federal Regulations, Part 26, "Participation by Disadvantaged Business Enterprises in Department of Transportation Financial Assistance Programs", therefore, it is the policy of the Department ofTransportation (DOT) to ensure that Disadvantaged Business Enterprises (DBEs), as defined in 49 CFR Part 26, have an equal opportunity to receive and participate in the performance of DOT-assisted contracts. 1) Non-Discrimination Assurances. Contractor or subcontractor shall not discriminate on the basis of race, color, national origin, or sex in the performance of this Contract. Contractor shall carry out all applicablerequirements of 49 CFR Part 26 in the award and administration of DOT-assisted contracts. Failure by Contractor to carry out these requirements is a material breach of this Contract, which may result in the termination of this Contract or other such remedy as public agency deems appropriate. Each subcontract Contractor signs with a subcontractor must include the assurance in this paragraph. (See 49 CFR 26.13(b)). 2) Prompt Payment. Contractor is required to pay each subcontractor performing Work under this prime Contract for satisfactory performance of that work no later than thirty (30) days after Contractor's receipt of payment for that Work from public agency. In addition, Contractor is required to return any retainage payments to those subcontractors within thirty (30) days after the subcontractor's work related to this Contract is satisfactorily completed and any liens have been secured. Any delay or postponement of payment from the above time frames may occur only for good cause following written approval of public agency. This clause applies to both DBE and non-DBE subcontractors. Contractor must promptly notify public agency whenever a DBE subcontractor performing Work related to this Contract is terminated or fails to complete its Work, and must make good faith efforts to engage another DBE subcontractor to perform at least the same amount of work. Contractor may not terminate any DBE subcontractor and perform that Work through its own forces, or those of an affiliate, without prior written consent of public agency. 3) DBE Program. In connection with the performance of this Contract, Contractor will cooperate with public agency in meeting its commitments and goals to ensure that DBEs shall have the maximum practicable opportunity to compete for subcontract work, regardless of whether a contract goal is set for this Contract. Contractor agrees to use good faith efforts to carry out a policy in the award of its subcontracts, agent agreements, and procurement contracts which will, to the fullest extent, utilize DBEs consistent with the efficient performance ofthe Contract. ENERGY CONSERVATION REQUIREMENTS Contractor agrees to comply with mandatory standards and policies relating to energy efficiency which are contained in the State energy conservation plans issued under the Energy Policy and Conservation Act, as amended, 42 U.S.C. Sections 6321 et seq. and 41 CFR Part 301-10. FEDERAL CHANGES Contractor shall at all times comply with all applicable FTA regulations, policies, procedures and directives, including without limitation those listed directly or by reference in the Contract between public agency and the FTA, as they may be amended or promulgated from time to time during the term of this contract. Contractor's failure to so comply shall constitute a material breach ofthis Contract. INCORPORATION OF FEDERAL TRANSIT ADMINISTRATION (FTA) TERMS The provisions include, in part, certain Standard Terms and Conditions required by the U.S. Department of Transportation (DOT), whether or not expressly set forth in the preceding Contract provisions. All contractual provisions required by the DOT, as set forth in the most current FTA Circular 4220.1F, dated November 1, 2008, are hereby incorporated by reference. Anything to the contrary herein notwithstanding, all FTA mandated terms shall be deemed to control in the event of a conflict with other provisions contained in this Contract. Contractor agrees not to perform any act, fail to perform any act, or refuse to comply with any public agency requests that would cause public agency to be in violation of the FTA terms and conditions. NO FEDERAL GOVERNMENT OBLIGATIONS TO THIRD PARTIES Agency and Contractor acknowledge and agree that, absent the Federal Government's express written consent and notwithstanding any concurrence by the Federal Government in or approval of the solicitation or award of the underlying Contract, the Federal Government is not a party to this Contract and shall not be subject to any obligations or liabilities to agency, Contractor, or any other party (whether or not a party to that contract) pertaining to any matter resulting from the underlying Contract. Contractor agrees to include the above clause in each subcontract financed in whole or in port with federal assistance provided by the FTA. It is further agreed that the clause shall not be modified, except to identify the subcontractor who will be subject to its provisions. PROGRAM FRAUD AND FALSE OR FRAUDULENT STATEMENTS Contractor acknowledges that the provisions of the Program Fraud Civil Remedies Act of 1986, as amended, 31 U.S.C. §§ 3801 et seq. and U.S. DOT regulations, "Program Fraud Civil Remedies," 49 CFR Part 31, apply to its actions pertaining to this Contract. Upon execution of the underlying Contract, Contractor certifies or affirms the truthfulness and accuracy of any statement it has made, it makes, it may make, or causes to me made, pertaining to the underlying Contract or the FTA assisted project for which this Contract Work is being performed. In addition to other penalties that may be applicable, Contractor further acknowledges that if it makes, or causes to be made, a false, fictitious, or fraudulent claim, statement, submission, or certification, the Federal Government reserves the right to impose the penalties of the Program Fraud Civil Remedies Act of 1986 on Contractor to the extent the Federal Government deems appropriate. Contractor also acknowledges that if it makes, or causes to me made, a false, fictitious, or fraudulent claim, statement, submission, or certification to the Federal Government under a contract connected with a project that is financed in whole or in part with Federal assistance originally awarded by FTA under the authority of 49 U.S.C. § 5307, the Government reserves the right to impose the penalties of 18 U.S.C. § 1001 and 49 U.S.C. § 5307 (n)(1) on the Contractor, to the extent the Federal Government deems appropriate.
