IT IS AGREED BETWEEN THE SELLER AND BUYER AS FOLLOWS: 5
City Council Action Required. Buyer acknowledges that the closing of the transaction contemplated by this
agreement is expressly conditioned on the city of Kent City Councill's("City Councils")prior authorization to sell the 6
Property under this Agreement("Council Authorization"),which may or not be granted in the City Council's sole 7 _
discretion. Seller shall not be obligated for any burden or loss,financial or otherwise,incurred by the Buyer as a 8
result of the City Council's modification of the final terms and conditions of this Agreement,and Buyer expressly 9
waives any claim against the city of Kent and Its elected officials,officers,employees,representative and agents for any 10 -
burden,expense or loss which Buyer Incurs as a result of the City Council's failure to grant the Council Authorization. 11

Attorneys Fees and Costs.In the event of litigation to enforce any of the terms or provisions of the Agreement,each 13 _
Party shall pay its own costs and attorney fees. 14 -

Title and Escrow services shall be provided by First American Title 16

Seller for purposes of closing shall be The City of Kent a Municipal Corporation. 18 -
