THIS AMENDMENT NO. 1 is made between the City of Kent and Alliant Insurance Services, Inc. and amends the original Professional Services Agreement between these parties dated June 28, 2010 (the "Agreement"). All other provisions of the original Agreement that are not inconsistent with this Amendment shall remain in full force and effect. For valuable consideration and by mutual consent of the parties, the City of Kent and Alliant Insurance Services, Inc. agree as follows: DELETE the first paragraph only of Section I, "DESCRIPTION OF WORK," in its entirety and REPLACE with the following: I.DESCRIPTION OF WORK. Broker shall perform for the City the services provided for in its May 24,20L0, response to the City's Request for Proposals for Liability insurance brokerage services and its May 6,2011 response to the City's Request for Proposals for Property and Excess Workers' Compensation Insurance Brokerage Services, copies of which are attached and incorporated as Exhibits A and C, respectively. Specifically, these services will, at a minimum, include the following: DELETE the first paragraph only of subsection LA., "Brokerage Services," in its entirety and REPLACE with the following: Brokerage Services - Brokerage services encompass marketing, insurance placement, completion of new and renewal applications, and negotiation for the procurement or renewal of all City of Kent insurance policies, Further, the Broker shall assemble a highly skilled Service Team, as that term is defined in Section III(H), to review for accuracy, completeness, and differences in terms and conditions for all policies in preparation for delivery/ presentation, and selection. The Broker shall be responsible for the invoicing of all applicable insurance policies and for the presentation of the Annual Stewardship Report for all existing and potential risk transfer/insurance placements. DELETE subsection I.A.1.ii (subsection ii under "Marketing and Placement of Coverage") only and REPLACE with the following: ii. In conjunction with City staff, organize, develop and present to underwriters, all necessary data for marketing the City's insurance programs. The Broker will review the marketing plan documents with the City for approval prior to going to market. The Broker will negotiate and present to the City the best risk finance/insurance policy terms, conditions and premium rates. 2 A 3 Alliant Amendment No. 1- Page 1 5 4 DELETE Section II, "TIME OF COMPLETION," in its entirety and REPLACE with the following: II. TIME OF COMPLETION. The parties agree that work will begin on the tasks described in Section I above immediately upon the effective date of this Agreement. The initial term granted by this Agreement shall be through June 30, 2014. Thereafter, this Agreement will automatically renew on an annual basis until terminated in accordance with Section V of this Agreement. DELETE the first paragraph only of Section III, "COMPENSATION," and REPLACE with the following: III. COMPENSATION. The City shall pay Broker an annual amount not to exceed $55,000 for the insurance brokerage services described in Exhibits A and C, described in this Agreement. If the cost of Broker's services will exceed $55,000 in any given year, the parties shall negotiate and execute an amendment to this Agreement before any additional compensation will be due to the Broker and owed by the City. This annual "not to exceed" amount shall be allocated as follows: Alliant accepts all requirements of this Amendment No, 1 by signing below and, by its signature, waives any protest or claim it may have regarding this Amendment, All acts consistent with the authority of the Agreement and this Amendment prior to the effective date of this Amendment are hereby ratified and affirmed, and the terms of the Agreement and this Amendment shall be deemed to have applied.
