We appreciate the opportunity to act as the City's legal counsel under the terms set forth in this letter. Unless otherwise expressly agreed to in writing, the City will be the only entity with whom we have an attorney-client relationship in these matters. I will be the attorney principally responsible for this work. As we discussed, I will be working closely with my colleague Douglas Stedmg, an attorney with LUPA experience. The rates and fees for our services are to be billed at a blended rate of$270 per hour We will send to your attention monthly invoices for legal fees, disbursements, and other expenses incurred on the City's behalf, which may include, but not be limited to, photocopies, printing, messenger services, computerized legal research, editing, and citation-checking charges. VJe reserve the right, at our discretion, to change the basis and amount6 tilat we bit; fot costs and other charges on a prospective basis Invoices are due 30 days after the date of the invoice. Invoices not paid within 60 days after the invoice date will be assessed a late fee of 8 percent, per annum, calculated on the unpaid balance If you would like more information, or if you have any questions about the City's statements, please let me know. On written request,you are entitled to any files in our possession relating to the legal services performed by us for the City, excluding our internal accounting records and other documents not reasonably necessary to the City's representation, subject to our right to make copies of any files withdrawn by you. If you wish to have any documents delivered to you once the matters are concluded, please advise us. Otherwise, all documents remaining in the City's file will be turned over to the firm's Records Manager. The physical files may be sent to off-site storage. Brubaker City Attorney June 22, 2007 Page 2 our document retention policy, we normally destroy client files 10 years after a matter is closed, unless you make other arrangements with us. Consistent with all applicable rules of professional conduct, the firm will use its discretion as to the retention or destruction of all lawyer work product and any client materials that remain with the firm This firm may from time to time advise other clients with unrelated lard use matters before the City of Kent. We request the City to agree that our representation of the City in these matters will not prohibit our firm from representing other clients with unrelated land use matters before the City in either litigation or nonlitigation matters that are factually unrelated to the present case. We agree to revisit this topic in the future as our work with the City develops. Thank you again for entrusting us with the City's legal needs. We look forward to working with you.
