In consideration of its receipt$43,833.05 from the City of Kent, First American Title
Insurance Company (as successor in interest to Pacific Northwest Title Holding Company)
agrees to indemnify, defend, and hold harmless the City of Kent from any claim by any other
person or entity to those funds, which represent the amount remaining from $217,061.00 paid to
the City of Kent in September 2009 under check number 2267 pursuant to two Assignments of
Funds accepted by Pacific Northwest Title Holding Company for the benefit of the City of Kent
in connection with the Vineyards Plat.

Dear Kathy:
Following up on our exchange of emails last week, I am enclosing an Indemnification
Agreement in the agreed form, which has been signed by a Vice President of First American
Title Insurance Company. Now that you have received this Indemnification Agreement, I would
be grateful if you could send a check to my attention in the amount of$43,833.05, made payable
to First American Title Insurance Company.
Please let me know if you have any questions. I appreciate your courtesy and cooperation in
bringing this matter to a close.
