I. RECITALS 1.1 The City of Kent Parks, Recreation and Community Services Department produces the Christmas Rush Fun Run annually during the second weekend of December. As part of that program, the City offer entities the opportunity to become official sponsors of the annual event. 1.2 The Sponsor has agreed to provide financial support to the Christmas Rush Fun Run in exchange for promotion of Sponsor's products and services as specified in this Agreement. As such, the parties desire to enter into this Agreement to establish each party's responsibilities with respect to the Christmas Rush Fun Run. II. AGREEMENT NOW THEREFORE, in consideration of the mutual intent, desire, and promises of the parties and other good and valuable consideration, the City and Sponsor agree as follows: 2.1 Term. The term of this Agreement shall commence upon the last date signed below and shall terminate either on December 9, 2012, or upon each party's performance of the terms specified in this Agreement, whichever occurs first. 2.2 Financial Sponsorship. The City agrees to include the Sponsor's name in the title of the Christmas Rush Fun Run. In exchange, the Sponsor shall provide financial assistance to the City in the amount of $15,000 for the opportunity to be named in title of event. Sponsor shall provide payment of this financial assistance by November 16, 2012. SPONSORSHIP AGREEMENT- 1 2.3 Sponsor's Responsibilities. In fulfilling its contract responsibilities, the Sponsor shall: A. Provide Sponsor information, which shall include names and logos to be used by the City in promotional materials, no less than three (3) months prior to the initial event date. B. Promote the Christmas Rush Fun Run in facilities located within the MultiCare system by displaying printed materials and making flyers available to the public. C. Credit the City of Kent Parks, Recreation and Community Services Department in all promotions concerning the Christmas Rush Fun Run (print, radio, TV). 2.4 City's Responsibilities. In fulfilling its contract responsibilities, the City shall: I A. Provide recognition to MultiCare Health System in title of Christmas Rush Fun Run. B. Promote MultiCare's support on City's social media outlets on bi- weekly basis. C. Provide prominent recognition on 1,700 event t-shirts, 9000 race flyers, two print advertisements in Northwest Runner Magazine, one advertisement in Silver Strider Magazine and one web advertisement in Silver Strider Magazine. D. Provide logo placement on 58 award plaques. E. Promote MultiCare's support of event through on-site banners at start/finish line and on race course. F. Credit MultiCare as providing complimentary entries to participants age 13 and under. G. Provide opportunity for MultiCare to attend health fairs, recreation events and early packet pick up where Christmas Rush Fun Run promotion is to take place. H. Complimentary participation and t-shirt for (75) seventy five MultiCare employees. I. Additional Sponsor benefits to be provided by City with approval from Sponsor. SPONSORSHIP AGREEMENT-2 2.5 Impossibility of Performance. Outdoor events are considered "rain or shine." In the event extreme inclement weather renders an outdoor event impossible, the City will use its best efforts to arrange an alternate time or date, but is under no obligation to Sponsor to provide the alternate time or date and no part of Sponsor's payment will be reimbursed in the event of any cancellation due to extreme inclement weather. SUMMARY: Multi-Care has signed on as the title sponsor for the 2012 Christmas Rush Fun Run in the amount of $15,000. This is the first time the event has had a title sponsor. The funding will cover registration fees for kids ages 13 and under, allowing them to participate in the run at no cost. Staff is pleased to partner with Multi-Care to continue to extend this unique opportunity to the youth of our community. The Tab Wizard started this tradition with their sponsorship five years ago. According to our research, the Christmas Rush may have the fifth largest youth participation of any run in the United States.
