FIRST AMENDMENT TO GRANT AGREEMENT
Between the City of Kent and Kent Downtown PaÊnership
This FIRST AMENDMENT TO GRANT AGREEMENT ("First Amendment") is made
between the CITY OF KENT, a Washington municipal corporation ("City") and KENT
DOWNTOWN, d/b/a KENT DOWNTOWN PARTNERSHIP, a Washington 501(c)(3) nonprofit
corporation ("Grantee"), collectively the ("Parties").
I. RECITALS
1.1 The City and Grantee entered into a Grant Agreement on October 7,2020,
through which the City provided money through the Washington State Department of
Commerce's Local Government Coronavirus Relief Fund to purchase outdoor equipment
and supplies necessary to facilitate the expansion of outdoor dining and retailing for the
beneflt of downtown Kent businesses that are sul'fering from the immediate economic
impacts of COVID-19 (-'Agreement").
7.2 The City wishes to increase the grant funds provided to Grantee by an
additional $30,000 to provide for the acquisition of raised platforms to suppoft downtown
businesses' use of the street and allow for better transition from the sidewalk to the street
thereby increasing ease of access for patrons,
1.3 This First Amendment is needed to formally adjust the funding provided
through the Agreement and to ratify all acts consistent with the authority of this First
Amendment and prior to its effective date.
II. AMENDMENT
NOW THEREFORE, in consideration of the mutual intent, desire, and promises of
the PartÌes and other good and valuable consideration, the City and Grantee each agree
as follows:
2.7 Grant Funds and Method of Pavment. Section V. of the Agreement, entitled
"Grant Funds and Method of Payment," is hereby modified as follows:
V. GRANT FUNDS AND METHOD OF PAYMENT.
A Compensation, The City shall pay Grantee a total
amount not to exceed $20,000 in compensãtion for
providing program administration services as
described in Section I ("Service Feef . The Service
Fee is the maximum amount to be paid under this
Agreement as compensation for the work described
in Section I above, and shall not be exceeded
without the prior written authorization of the City in
the form of a negotiated and executed amendment
to this Agreement. The City shall disburse Service
Fee funds to Grantee promptly following the receipt
of an invoice for services and overhead incurred.
