THIRD AMENDMENT TO REAL ESTATE PURCHASE AND SALE AGREEMENT
WITH EARNEST MONEY PROVISION
This Third Amendment ("Third Amendment") amends the March 10, 2020
Purchase and Sale Agreement, together with the May 7, 2020 Amendment, and the
May 28, 2020 Second Amendment (collectively the "Agreement"), between the
CITY OF KENT, a Washington municipal corporation ("Buyer"), and PACMET
PROPERTY LLC, a Washington limited liability company ("Seller"), regarding the
sale of a portion of the property known as 959 5th Avenue S., Kent, WA 98032
(King County Tax Parcel Number 000660-0102) (the "Property").
IT IS AGREED BETWEEN THE BUYER AND SELLER AS FOLLOWS:
1. The Agreement does not include the purchase of any personal
property. The Buyer is purchasing only a portion of the real property as described in
the Agreement. There is no personal property tax number on the portion of real
property described in the Agreement.
2. Seller represents and warrants that there are no unrecorded
leaseholds on the portion of real property described in the Agreement.
3. Escrow is not to pro -rate any taxes.
S. The date of Closing shall be extended until 5:00 PM, July 20, 2020.
All other terms and conditions of the Agreement, as previously amended,
remain unchanged.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment
on the date set forth below.
