AMENDMENT NO. 1
This Amendment No. 1 ("Amendment") to that certain Statement of Work No. 2 for Oracle Database
Support Services dated August 3, 2018 (the "ODB SOW") is entered into by and between Rimini Street,
Inc. ("Rimini Street")and City of Kent, Washington ("Client"). This Amendment is effective as of the date
of the last signature of the parties below("Amendment Effective Date").
This Amendment shall become part of and subject to the terms and conditions of the ODB SOW, which
except as modified herein, remains unchanged and in full force and effect. However, to the extent that the
terms and conditions expressly set forth in this Amendment conflict with the terms and conditions of the
ODB SOW, the terms and conditions expressly set forth in this Amendment will prevail. Unless otherwise
defined in this Amendment, capitalized terms used herein shall have the meanings assigned to such terms
in the ODB SOW.
WHEREAS, Rimini Street and Client are parties to the ODB SOW and Rimini Street and Client now wish
to agree upon certain related terms and conditions;
NOW, THEREFORE, in consideration of the mutual promises herein, the OBD SOW is hereby amended
as follows:
1. Section 2 ("Support Period") is amended to reflect that the Support Period will end at one
minute before midnight(11:59 p.m.) United States Pacific Time on February 28, 2021.
2. Section 3("Termination by Client")is amended to reflect that Client may not terminate the ODB
SOW at any time during Years 1 through 3 of the Support Period except for cause pursuant to
the Agreement.
3. Section 5.A. (Annual Support Fees) is amended to reflect that for the period from
September 1, 2020 through February 28, 2021 (Year 3 of the Support Period), the Annual
Support Fee shall be$ 15,162.00 USD. The parties acknowledge and agree that Year 3 of
the Support Period shall be considered a "Support Period Year"for purposes of the SOW,
even though such period is less than twelve (12) months.
4. Section 6 ("Additional Client Obligations") is amended to reflect that Client will (i) be a
positive reference for Rimini Street and agree to speak(from time to time upon reasonable
request by Rimini Street and at mutually agreed times) to Rimini Street prospects and/or
clients about Client's experience with Rimini Street and the Services and (ii) upon request,
participate in a Rimini Street client success story whereby Client would make themselves
available at mutually agreed times to participate in interviews and agree to be quoted in a
published client success story following such interviews.
