Dear Mr. DiJulio:
We have enclosed a copy of a letter which is addressed to Gary Hokenson, Statewide
Manager of TCI Cablevision of Washington, Inc. The issues discussed are most
likely the same issues that the City will want resolved prior to approving the request
for transfer from Group W to TCI Cablevision of Washington, Inc.
For your information, TCI has been somewhat unwilling to include any items such
as these in a document that approves the transfer but rather has agreed to make
such commitments in a separate letter signed by an officer of the corporation.
In most surrounding communities this has been acceptable.
Please let us know if you have any questions or if we can be of any further assistance
in this matter.

Dear Mr. Hokenson:
You have expressed concern regarding the time frame in which the City of Kent
has scheduled the transfer of Group W's franchise to TCI Cablevision of Washington,
Inc. In response to your concerns, we have reviewed the request for franchise
transfer within the City of Kent and have put together the following list of issues
which we would like a response to prior to the public hearing on May 19th. Once
this response is received we anticipate that we will have covered all the concerns
that may be brought up at that time and should ensure no further delays in the
franchise transfer process.
1) While there appears to be no reason to question the financial resources
of Tele-Communications, Inc. (the Denver corporation), the question may
arise as to whether TCI Cablevision of Washington, Inc. has adequate financial
resources. Please provide information supporting TCI Cablevision of
Washington, Inc.'s ability to construct, operate and maintain a cable television
system within the City of Kent.
2) In your March 19th letter to our office, you stated, in reference to uncabled
areas, "TCI will commit to serve these small extensions". The questions that
may likely be brought up at the meeting are the location of such extensions
and the time frame in which they will be completed. It would be very helpful
if a map outlining these areas and the time schedule could be provided prior
to May 19th.
3) In addition, the representatives from TCI Cablevision of Washington, Inc.
should, as discussed previously, be prepared to respond concerning these three
additional issues:
a) That the entire upgrading of the cable system within the City of
Kent has been completed.
b) That upon proper Council action, TCI Cablevision of Washington,
Inc. will agree to pay a franchise fee of 5% as provided for in the Cable
Communications Policy-6cLsfZ84•
c) That TCI Cablevision of Washington, Inc. will provide the City with
an access channel for its use.

In conclusion, as these are the areas in which we believe questions may arise before
the Council approves the franchise transfer from Group W to TCI Cablevision of
Washington, Inc., it is our opinion that it would be in the best interest of all parties
involved to have each completely resolved before May 19th. If you have any
questions, please do not hesitate to contact our office.
