BRISCOE-DESIMONE LEVEE IMPROVEMENT REACH 1 MITIGATION PLANTING
(between City of Kent and Watershed Environmental Solutions, LLC)
THIS CHANGE ORDER #2 ("Change Order") is made between the CITY OF KENT, a Washington
municipal corporation ("City"), and WATERSHED ENVIRONMENTAL SOLUTIONS, LLC, a Washington limited
liability company ("Contractor").
I. RECITALS
1.1 The City entered into a Contract with Contractor on November 4, 2016 ("Contract") wherein
the Contractor agreed to plant 200 native trees and 5,000 shrubs along the Green River. After planting was
complete, the Contract required Contractor to maintain the native trees and shrubs for 3 years to ensure
their survival, with the Contract's estimated Completion Date as January 31, 2020.
1.2 Through Change Order #1, Contractor performed additional work to repair irrigation lines that
were damaged by a third party, and the Contract was amended to allow this additional physical work to be
performed. Change Order #1, however, left intact the original monitoring and maintenance period for plant
establishment, which commenced on February 1, 2017, and was expected to end on January 31, 2020.
1.3 The City, however, desires to extend the plant establishment period and increase it from 3
years to 4 years, and the Contractor has agreed to provide this additional plant monitoring and maintenance
in accordance with the provisions of this Change Order #2.
II. CHANGE ORDER
NOW THEREFORE, in consideration of the mutual intent, desire, and promises of the parties and
other good and valuable consideration, City and Contractor agree to change the work provided for under
the Contract as follows:
2.1 Additional Plant Establishment Work. Contractor agrees to provide Plant Establishment work
in accordance with the original specifications provided for by the Contract for one additional year—through
January 31, 2021. As a result, the Contract's Completion Date and Compensation provisions are revised as
follows:

In accordance with Sections 1-04.4 and 1-04.5 of the Kent and WSDOT Standard
Specifications, the Contractor accepts all requirements of this Change Order by signing below. Also,
pursuant to the above-referenced Contract, Contractor agrees to waive any protest it may have regarding
this Change Order and acknowledges and accepts that this Change Order constitutes final settlement of all
claims of any kind or nature arising from or connected with any work either covered or affected by this
Change Order, including, without limitation, claims related to contract time, contract acceleration, onsite or
home office overhead, or lost profits. This Change Order, unless otherwise provided, does not relieve the
Contractor from strict compliance with the guarantee and warranty provisions of the original contract,
particularly those pertaining to substantial completion date.
2.2 Remaining Provisions, Ratification, and Authority to Bind. Except as specifically amended by
this Change Order, all remaining provisions of the Contract shall remain in full force and effect. All acts
consistent with the authority of the Agreement and prior to the effective date of this Change Order are
hereby ratified and affirmed, and the terms of the Agreement and this Change Order shall be deemed to
have applied. The parties whose names appear below affirm that they are authorized to enter into this
Change Order, which is binding on the parties to the Contract.
2.3 Adjust Performance Bond. The Contractor will adjust the amount of its performance bond (if
any) for this project to be consistent with the revised contract sum shown in Section 2.1, above.
IN WITNESS, the parties have executed this Change Order, which shall become effective on the last
date executed below.

I. PROPOSED CHANGE
Extend the contract's Plant Establishment Period from 3 years to 4.
II. REASON AND BACKGROUND FOR CHANGE
City staff has recommended an additional year of plant establishment. This will extend the
contractor's responsibility to irrigate, monitor, and maintain the vegetation installed in this
project through January of 2021. It is staff's conclusion that this additional year will result in
decreased plant loss and a lower level of maintenance and replacement in future years.
