Agreement #: 1230192 1.0 Introduction This Statement of Work ("SOW") is subject to the agreement between CenturyLink Communications, LLC f/k/a Qwest Communications Company, LLC ("CenturyLink") and City of Kent ("Customer") under which Customer has agreed to the terms and conditions for purchase of Mite! equipment, which was signed by Customer on August 7. 2019 (the "Agreement"). Qwest Communications Company, LLC d/b/a CenturyLink QCC completed a name change to CenturyLink Communications, LLC on April 1, 2014. References in supporting agreements or other documents, to Qwest Communications Company, LLC or its predecessors are replaced with "CenturyLink Communications, LLC." Capitalized terms not defined herein are defined in the Agreement. This SOW will not become effective unless and until CenturyLink and Customer have executed the Agreement referenced in this section. This SOW provides the requirements for the onsite installation of a standard Mitel IP Phone System and includes Customer's responsibilities that are critical for the completion of your installation. PLEASE READ CAREFULLY and direct all questions to your CenturyLink Account Team. This CenturyLink Mitel IP Phone System offering includes the following: • Install Mitel main system components as listed in Bill of Materials • Install Power Over Ethernet Switches —if included in Bill Of Materials • Install Director server when applicable • Install Mitel IP phones • Install user licenses - (Extension/Mailbox, Extension Only, & Mailbox only) • Configure cordless phones —if included in Bill Of Materials • Configure Mitel IP Phone System to utilize analog trunks or ISDN PRI • Configure basic auto attendants — day and night if applicable • Test Customer -provided paging interface • Test Customer -provided music on hold external interface (if provided) • Connect Mitel IP Phone System to Customer LAN and test • Ensure Mitel Director is operational when applicable • Program Customer -selected basic phone features: o Outbound call functionality o Call Forwarding® o Call transfer o Call conferencing o Call park o Paging o Do not disturb o Transfer to voice mail box o Voice mail outcall notification • Instructor will train Customer's phone administrator on basic administration for up to 2 hours post -installation • Instructor will train all station users with CenturyLink-supplied material, covering basic orientation and feature use. Each class will be 1 hour with 8-12 users per class) • Business daytime installation of chassis and phones • Up to 2 hours of after-hours work (before 8 AM or after 5 PM) for cutover or "go live" activities. 2.0 Coordination CenturyLink will schedule a project kick off call between Customer and CenturyLink, and other third parties as required, to coordinate the implementation. CenturyLink will manage deadlines and milestones. CenturyLink will gather from Customer's designated contacts the needed technical and site information such as: o Floor plan & phone set layout o LANMAN IP information o Router configuration data o Switch configuration data o Phone set / station assignments and features o Voice configuration parameters o Circuit/network/telco order and configuration information o Application information required for purchased applications Create and verify equipment configuration: Page 1 of 14 © CenturyLink. CONFIDENTIAL v1.012919 CenturyLink Mitel Implementation Statement of Work • Assign a technician to configure, stage, and test the equipment. • Schedule a technician and/or Senior Design Engineer to gather station information, program features and station information, and to train Customer personnel. • Assist in testing the equipment and the associated networks and purchased. applications (per the CenturyLink Purchase Order), to ensure proper operation. 3.0 Site Readiness 3.1 Site Network Assessment (for Voice over IP Telephony VoIP Implementation Only) CenturyLink recommends a network assessment prior to VolP installation, not included in the Quote. Network assessments offer a review of wiring and LANMAN infrastructure to determine if Customers site can support the complex demands of Vol P. CenturyLink is not liable for any Quality of Service (QOS) issues within Customer's LANIWAN if a VolP network assessment is not performed by CenturyLink prior to installation. 3.2 Customer's Minimum Timeline Windows Prior to Installation 5 weeks prior: Optional network VolP assessment findings (not included in the Quote) 5 weeks prior: Order telco circuit(s) required.for 3 days before intended installation 4 weeks prior: Customer begins to address site readiness outlined in Section 3.3 3 weeks prior: Provide CenturyLink with designated contacts for: o Main contact for order questions and authorized changes o Network & circuit orders o IP LAN/WAN information o Floor plan / personnel / station / training information o Site contact info for access, arrangements, and installation acceptance 2 weeks prior: Provide secure storage/staging access 2 weeks prior: Provision of floor plan layout & info: o Simple sketch is fine (Visio or architectural drawing not required.) o Phone set locations indicated o Listing of user names, extension #'s, cable/jack ID's, and phone models 1 week prior: Customer site readiness in Section 3.3 completed 1 week prior: Notice for reschedules, configuration changes, relocations, cancellations 1 week prior: Configuration freeze 3.3 Customer's Responsibilities for Site Readiness Secure Temporary Storage & Staging Room(s) for Equipment • Locked location for receiving equipment deliveries. • Unboxing, assembly — work table(s) helpful. Mitel Chassis Environment • Adequate floor, rack or backboard space. CenturyLink can not mount directly to drywall. • Dry, clean, well -lit, well -ventilated, easily accessible, free from excessive vibration or dust, within 41-80°F (Optimal 68- 72°F) and 25% - 65% (Optimal 40%) relative humidity, non -condensing, with air cooling or air conditioning for equipment if required. • No overhead water sources, with the exception of fire control. • No physical or environmental hazards • At least 15 feet from electric motors, photocopiers, or other electromagnetic/electrostatic/radio frequency sources, or sources of electronic circuit corrosion (such as copy toner.) Note that environmental non-compliance may void warranty or maintenance contract. Mitel Chassis Location & Power • Cabinets, racks, and equipment backboards sturdy and capable of supporting the chassis equipment to be installed. At least 30 inches of front clearance. • Customer will provide adequate AC power and grounding according to code, manufacturer specs, and located within 6 feet of Mitel chassis. AC power panel should be labeled and should not be the same as HVAC or generators. All AC power outlets should be dedicated isolated ground receptacles at CenturyLink's or the manufacturer's discretion. Note that cabinet rack, backboard or power remedies will be Customer responsibility. Mitel Chassis Network & Wiring • Network interface RJ21 jack must be within 6 feet of Mitel chassis (pre-existing, or ordered as "extended demarc" on network order.) • Existing station cables must be tagged and terminated within 6 feet of Mitel chassis. • Customer to provide IP/broadband connectivity (e.g. Remote Desktop, VPN) to the Mitel for remote testing, downloads, and troubleshooting. • CenturyLink and its subcontractors will reuse existing Customer station cables for all devices to be installed. CONFIDENTIAL v1.012919 CenturyLink Mitel Implementation Statement of Work • Installation with Voice Over IP (VoIP), Customer will provide Power over Ethernet (POE) through switch(es) if not provided in this order. This includes POE for the training room. Note that all cable and wiring remedies will be Customer responsibility. Training Room for up to 12 People and 1 Instructor 4.0 On -Site Deployment 4.1 Access to Installation Site • Customer will provide access at the installation address(s) during regular business hours from: 8:00 AM to 5:00 PM local time Monday through Friday, plus after-hours access at any pre -arranged dates/times. • Customer will provide any security personnel, codes, badges or other access methodology required for staging, installation, and training. 4.2 CenturyLink Staging • Assembly of base equipment, both hardware and software • Configuration of base equipment • Functionality and purchased application testing • Unboxing, assembly, and distribution of phone sets • Customer responsible for disposition of empty boxes & any replaced equipment. 4.3 CenturyLink Installation • Unpack and inventory equipment, reporting any damaged hardware or partial shipment • Mount and connect the chassis equipment • Program Customer stations and quoted features • Power -up & diagnostics • Attach cables • Test connectivity • As may be required, schedule and perform telco cut -over Place and connect phones • Provide a phone quick reference guide (one per Customer phone) • Provide phone tutorial CD and administrator's guide reference online link Note: Customer is responsible for moving office furniture and other obstructions 4.4 CenturyLink Mitel Training Customer Administrator Training Following the installation, Customer's assigned administrator will receive up to 2 hours administration training. This training will be remotely led by a CenturyLink Senior Design Engineer and use of a webinar, delivered within one week of the installation of the equipment. A link to the Mitel Administrator's Guide will accompany the training. Admin topics covered: o Change time and date o How to reset mailbox passwords o How to build system speed dial o How to update holidays o How to change names o How to record company greetings o How to change feature buttons o Overview of set up o How to delete and add a mailbox The administration training addresses the common system parameters, modifications, and functionalities of the Mitel system. Additional time for administrator or personnel training can be made available on a Time and Material basis. Station User Training The deployment phase is completed with up to two 1 -hour classes of basic orientation of the phone operations provided in up to two classes not to exceed 8 people each. Training is provided Monday thru Friday, between 8 AM and 5 PM, excluding holidays. The material covered includes an introduction to the Phone User Interface and use of features: o Place a call o Parka call o Transfer a call o Retrieve a call o Mute o Utilize voicemail o Place a call on speakerphone o Call Manager Features & Functionality 5.0 Implementation Review Page 3 of 8 © CenturyLink. CONFIDENTIAL v1.012919 CenturyLink Mitel Implementation Statement of Werk After the installation and training of the project, CenturyLink will coordinate a follow up call or meeting with Customer, to address any remaining questions or concerns Customer may have, and to perform an assessment of the installation. At this time, after confirming a positive working Mitel system, CenturyLink will request Customer's acceptance of the CenturyLink installation. 6.0 Installation Acceptance and Warranty Customer acceptance of CenturyLink's installation confirmation, or lack of response to such request for ten (10) business days, assumes that the installation has been completed and that the installed equipment is operating in accordance with the manufacturer's specifications. Customer's expressed or tacit acceptance initiates the 30 -day installation warranty, during which CenturyLink may make configuration adjustments to fine-tune any network parameters as required, provided remote access is available. The Mitel maintenance plan begins on the system in-service date. Note: Pre-existing UPS equipment is not under warranty by CenturyLink for this installation. 7.0 Post Installation Additional phone sets, configuration changes, and additional features or equipment can be added by calling your CenturyLink account team. After installation is completed, CenturyLink will provide the telephone number to the appropriate repair center for the maintenance purchased. 8.0 Items Not Included in this SOW Other than what is in Customer's Mitel accepted Quote, a CenturyLink standard Mitel installation will not include the following: • Additional wiring or cabling; supply, assembly, installation or maintenance of racks, shelves, or any other physical structure to which the equipment is to be mounted; ancillary materials such as power/extension cords, rack/wall mount bolts/screws, wires, cables, connectors. • Troubleshooting or installing the wiring, extending wiring and/or cabling, to include telco demarcation points. • Providing, installing, verifying (tone & tag), or labeling of Customer phone wiring. • Supply and / or assembly of racks, shelves or tables which are not included in the CenturyLink Bill of Materials in Attachment 1. • Accessing or troubleshooting third party hardware, software, or network and circuits • Optimizing or troubleshooting Customer applications not found in Attachment 1. • Installation or configuration changes that are results of site additions, deletions, re -locations or changes in Customer's network strategy or design requirements that deviate from the agreed upon site listing • Software upgrades, with the exception of upgrades designed to address a circuit affecting issue on the equipment being installed (upgrades may be purchased / installed in accordance with additional charges as stated below.) • Installation or maintenance of "soft" computer software phones. • Moving of office furniture for the installation of Customer phones or access to panels. • Configuring or installing additional Customer hardware (CenturyLink can make changes to other equipment only if arrangements are made five (5) business days in advance, and only for those changes that CenturyLink may accept, and for which Customer or Customer's authorized representative has accepted Customer's responsibility for payment by way of an additional Purchase Order, credit card information, etc.) • Configuring third party or pre-existing servers. • If the solution calls for Customer -provided servers, Customer is responsible for ensuring that those servers meet manufacturer and/or software -provided specifications for hardware and software. Failure of test & turn -up of desired server applications due to missing the specifications will result in any extra time or trips being billed at standard time and material rates. • Customer is responsible for conduit, cable trays, wire raceways, and power configurations, as required by state and/or local electrical regulations or fire codes, as well as manufacturer specifications. 9.0 Potential Additional Charges for Installation Services The installation date could be placed in jeopardy, with additional charges incurred to Customer if CenturyLink or its subcontractors are delayed due to lack of needed Customer information, inaccurate or incomplete information provided, or lack of site readiness as outlined in Section 3 of this document. CONFIDENTIAL v1.012919 10.0 CenturyLink Mite/ Implementation Statement of Work CenturyLink reserves the right to invoice for all labor services and equipment provided if work is stopped, delayed, or rescheduled for more than 30 days, due to a request by Customer, or as a result of Customer's failure to meet the responsibilities outlined in this SOW, or for apy other reason beyond Centuryl-ink's control. Additional potential charges might include: • Expedite Fee: Fixed rate surcharge to schedule the installation before the next nominally available date. Customer may request that the installation process be accelerated. The fee helps to offset the additional costs of special processing and rush shipment of the equipment to the site. CenturyLink will grant an expedite request and incur the fee only if the service and equipment are available. • Time and Materials (T&M): Hourly rate for services performed beyond those covered by this SOW, and for those instances where Customer or other parties (i.e. beyond CenturyLink's control) delay CenturyLink's progress and / or completion of the Service. At Customer's request, CenturyLink can arrange for onsite or remote services (T&M) in addition to the tasks covered in this SOW. • Site Not Ready (SNR), Rescheduling, or Cancellation: Fees to cover costs of canceling or rescheduling the Service, assessed on a per site basis. CenturyLink will waive these fees if five business days' notice is given. • After-hours: additional compensation for services performed outside normal business hours — normal business hours is defined as Monday through Friday (exclusive of Holidays), 8am thru 5pm, local site time. At Customer's request, CenturyLink can arrange for services and support on weekdays after normal hours, or on Saturdays, Sundays, or Holidays. Move HQ server to SABEY data center and add virtual servers. This project would take place after the system has been upgraded to Connect: The labor quote is estimated time to make changes to the architecture for the City of Kent.
