Visit Documents.KentWA.gov to obtain copies of all agreements adccW22373_6_19 SECOND ADDENDUM TO REAL ESTATE PURCHASE AND SALE AGREEMENT WITH EARNEST MONEY PROVISION This Second Addendum to the Real Estate Purchase and Sale Agreement with Earnest Money Provision ("Addendum") is between the CITY OF KENT, a Washington municipal corporation ("Buyer"), and PUGET SOUND ENERGY, INC., a Washington corporation ("Seller"), amending that Real Estate Purchase and Sale Agreement with Earnest Money Provision dated May 8, 2019, together with the first Addendum to Real Estate Purchase and Sale Agreement with Earnest Money Provision dated July 7, 2019 (collectively, the "Agreement"). RECITALS A. Pursuant to Section 9 of the Agreement, the Sale contemplated by the Agreement was to close within sixty days after the execution date of the Agreement (the "Closing"), unless Closing is extended in writing by mutual agreement of the parties. B. Because the end of the Feasibility Review Period and the date of the Closing were the same day, Buyer and Seller extended the Closing until July 23, 2019, to allow Buyer time to deposit funds into escrow and for Seller to execute instruments required to complete the transaction. C. Seller and Buyer desire to extend the Closing to July 25, 2019, to allow the Seller to complete execution of instruments required to complete the transaction, and to provide time for Rainier Title to record the necessary documents. NOW THEREFORE, Buyer and Seller agree as follows: 1. The Closing Date of the Agreement shall be extended from July 23, 2019, to July 25, 2019. 2. Except as amended by this Addendum, all provisions of the Agreement shall remain in full force and effect. IN WITNESS WHEREOF, the parties hereto have executed this Agreement, which shall take effect on the last date signed below, or July 23, 2019, whichever is sooner.
