1. Parties. This agreement is entered into by and between the City of Kent, a
Washington municipal corporation (hereinafter the "City"), and The Museum of
Flight, a Washington nonprofit (hereinafter the "Recipient"), located at 9404 E
Marginal Way S, Seattle, WA 98108.
In consideration of the mutual promises identified herein, the parties agree
as follows:
2. Revenue Award and Payment. The City awards lodging tax revenue in
the amount of Nine Thousand and 00/100 Dollars to Recipient. The City shall issue
lodging tax revenue to Recipient on a reimbursement basis. (Notwithstanding the
foregoing, the City has the sole discretion to issue lodging tax revenue to the
Recipient in a lump sum, in installments, or pursuant to any other reasonable
method.) In order to obtain reimbursement, Recipient shall submit an invoice with
supporting documentation to the Director of Economic and Community
Development.
3. Use of Revenue. Recipient shall use the lodging tax revenue to benefit
the City of Kent through: (1) business or leisure tourism marketing; (2) marketing
and operations of special events and festivals designed to attract business or leisure
travelers; or (3) supporting the operations of tourism-related facilities owned or
operated by nonprofit organizations. "Tourism promotion" shall have the meaning
set forth in RCW 67.28. RCW 67.28 defines tourism promotion to mean activities,
operations, and expenditures designed to increase tourism, including but not
limited to:
a. advertising, publicizing, or otherwise distributing information for
the purpose of attracting and welcoming tourists;
b. developing strategies to expand tourism;
c. operating tourism promotion agencies; or
d.funding the marketing of or the operation of special events and
festivals designed to attract tourists.
Furthermore, Recipient's tourism promotion activities, operations and
expenditures shall be wholly consistent with the program or activities described in
Recipient's application for lodging tax revenue, a copy of which is attached hereto,
and incorporated by this reference as Exhibit A. If the Recipient's application and
this contract conflict, the provisions of this contract shall control. If any grant funds
remain unused as of the termination date below, or if Recipient fails, for any
reason, to use the lodging tax revenue as required herein or by applicable law, or
fails to perform its obligations under this contract, the Recipient shall, upon demand
of the City, repay the lodging tax revenue to the City. Interest shall accrue at the

rate of twelve percent (12%) per year from the time the City demands repayment
of the lodging tax revenue, and the City may use any method available to it by law
to collect any such funds.
4. Marketing and Promotional Materials. All events and activities funded
with lodging tax revenues must list the City of Kent as a sponsor. Recipient will
feature either the City of Kent logo and web address (KentWA.g ) on business-
related event marketing and promotional materials or the Visit Kent logo and web
address (VisitKent.com) if the activity is for leisure or entertainment purposes. Use
of City logos and web addresses shall be consistent with City policies and
procedures, and such policies and procedures are hereby incorporated into this
agreement. Permission for the use of City logos may be revoked at any time by the
City and such use shall not exceed the term of this agreement unless expressly
permitted by the City.
S. Term and Termination. This contract shall be effective when both parties
have executed this contract and shall terminate once Recipient expends the lodging
tax revenue or on December 31 2019, whichever is earlier. The City may
terminate this contract if the Recipient breaches this contract and then fails to cure
the breach after the City provides written notice of the breach and allows the
Recipient a reasonable opportunity to cure, if such breach is curable. The City may
suspend this contract, with or without cause, by providing written notice of
suspension to Recipient.
6. Reports and Information. Recipient shall maintain records that fully and
accurately reflect any use of the lodging tax revenue and Recipient's tourism
promotion activities, operations and expenditures. Recipient, at such times and in
such forms as the City may require, including after the cessation of its tourism
promotion activities, operations and expenditures, or termination of this contract,
shall make available to the City for audit and inspection any and all records that
relate to the lodging tax revenue and Recipient's tourism promotion activities,
operations and expenditures. Recipient shall maintain accounting records in
accordance with generally accepted accounting principles and practices.
7. Independent Contractor. Recipient shall be an independent contractor
for all federal, state and other purposes.
S. Indemnification. Recipient shall defend, indemnify and hold the City, its
officers, officials, employees and volunteers harmless from any and all claims,
injuries, damages, losses or suits including attorney fees, arising out of or resulting
from the acts, errors or omissions of the Recipient, except for injuries and damages
caused by the sole negligence of the City.
9. Insurance. The recipient shall provide proof of and maintain insurance as
defined in Exhibit 0 which is attached and incorporated by this reference.
10. Notices. Any notices given by the City to Recipient or by Recipient to the
City shall be in writing and delivered to the other party.

11. Waiver. Failure to insist upon strict compliance with any terms,
covenants or conditions of this contract shall not be deemed a waiver of such, nor
shall any waiver or relinquishment of such right or power at any time be taken to
be a waiver of any other breach.
12. Applicable Law; Venue. The venue for any legal action arising from
this contract shall be King County, Washington, and that this contract shall be
governed, construed, and interpreted according to the laws of the State of
Washington.
13. Compliance with Laws and Regulations. Recipient shall comply
with all applicable laws, rules, regulations, and orders from any and all authorities
having jurisdiction.
14. Compliance with the Public Records Act. Recipient acknowledges
that the City is subject to the Public Records Act, Chapter 42.56, RCW (the "Act").
All records owned, used, or retained by the City are public records subject to
disclosure unless exempt under the Act, whether or not such records are in the
possession or control of the City or the Recipient. The Recipient shall cooperate with
the City so that the City may comply with all of its obligations under the Act. To
ensure the City's compliance, the Recipient shall, within ten (10) days after receipt
of notice from the City, deliver to the City copies of all records relating to this
Agreement or relating to the Work, which the City determines qualify as the City's
public records under the Act. If the City receives a public records request relating to
this Agreement or relating to the Work, the City shall seek to provide notice to the
Recipient at least ten (10) days before the City releases records pursuant to such
public records request, but in no event will the City have any liability to the
Recipient for any failure of the City to provide such notice. In addition to its other
indemnification and defense obligations under this Agreement, Recipient shall
indemnify and defend the City from and against any and all losses, penalties, fines,
claims, demands, expenses (including, but not limited to attorney's fees and
litigation expenses), suits, judgments, or damage arising from or relating to any
failure of Grant Recipient to comply with this section.
15. Discrimination Prohibited. In all Recipient programs, operations or
activities, and all hiring and employment made possible, directly, indirectly, by or
resulting from this contract, Recipient shall not discriminate against any protected
class or on any basis prohibited by federal or state law, including, but not limited
to, sex, race, color, creed, religion, national origin, disability, use of a guide dog or
service animal by a person with a disability, HIV/AIDS or hepatitis C status, sexual
orientation, gender identity, or honorably discharged veteran and military status.
16. Assignment and Subcontract. Accept as noted or identified in
Recipient's Hotel/Motel Tax Fund Application, Recipient shall not assign or
subcontract any portion of the Service contemplated by this contract without the
written consent of the City.

17. Cumulative Remedies. The rights and remedies of each party set
forth in any provision of this contract are in addition to and do not in any way limit
any other rights or remedies afforded to such party by law.
18. Severability. The invalidity or unenforceability of any particular
provision of this contract shall not affect the other provisions, and this contract
shall be construed as if such invalid or unenforceable provisions were omitted,
unless such invalidity or unenforceability destroys the purpose and intent of this
contract.
19. Entire Contract; Possible Amendments. This contract contains the
entire agreement between the parties and no other agreements, oral or otherwise,
regarding the subject matter of this contract, shall be deemed to exist or bind any
of the parties. Either party may request changes in the contract. Proposed
changes mutually agreed upon will be incorporated by written amendments to this
contract.
20. Misuse of Funds for Political Activity. Awarded Lodging Tax Funds
may not be used directly or indirectly to further political activity and/or endorse
rather than use such funds for their intended purpose. Any such use shall be
grounds for immediate termination of this contract and in that event the Recipient
hereby agrees to refund all grant funds.

Describe your business or leisure travel-related activity or event. Describe the target
audience for the project/event. How will you promote your project/event to business or
leisure travelers?
This request is for annual sponsorship of Weekend Family Workshops and Summer Family Fun,at The
Museum of Flight,for the period of January 1—December 31,2019. Weekend Family Workshops and
Summer Family Fun activities are open to all Museum of Flight visitors and offer kids immersive,hands-
on learning experiences that act as a gateway to additional STEM education opportunities offered at the
Museum. Weekend Family Workshops take place every Saturday and Sunday(at 11am and 2pm)on the
Museum of Flight campus. Summer Family Fun activities take place on Monday-Friday from 11am-
4pm,in the months of July and August,also on the Museum campus.
The Museum of Flight is one of the premier educational air and space museums in the world,with a
projected average annual attendance of 600,000 guests. We welcome guests from across the Puget
Sound and from around the world. Visitors come to the Museum for numerous reasons,including
meetings and conferences,individual and group education programs, research for historical and
scholarly projects,and simply for personal enjoyment of the exhibits,public programming and special
events held throughout the year.
Equal in importance to providing guests with a world-class visitor experience,is our dedication to
providing Science,Technology,Engineering and Mathematics(STEM)-related programming to youth in
Washington State. We use the lens of flight to share the exciting story of humankind's quest to reach
the sky and beyond. In 2017, more than 168,000 youth participated in a specialized STEM education
program at The Museum of Flight or through our education outreach programs. Home of The Boeing
Academy for STEM Learning,we provide a continuum of education programs that span from pre-
kindergarten through high school and college. We place special emphasis on recruiting participants that
are currently underrepresented in STEM fields: young women,students of color and those from low-
income and rural areas.
In 2019,the Museum of Flight will host"Destination Moon: The Apollo 11 Mission",an exhibit from the
Smithsonian Institution of Traveling Exhibition Service and the Smithsonian's National Air and Space
Museum in Washington, D.C. This blockbuster exhibit brings the iconic Apollo 11 command module
"Columbia"on its first national tour in 46 years. It is the only portion of the historic spacecraft to
complete the first mission to land a man on the Moon and safely return him to Earth. The exhibit
includes more than 20 other one-of-a-kind mission artifacts and will tour four cities across the U.S.
Seattle's Museum of Flight will play host to the exhibit from April 13-September 2,2019. This is the last
stop and ONLY West Coast destination of a 4-city tour and includes the 50th anniversary of the lunar
landing on July 20,2019. The Museum is planning a series of events and sponsorship opportunities for
the run of the exhibition and for the 50th Anniversary Weekend (July 19-21). Admittance to Destination
Moon will require an additional fee over and above Museum admission. Entry will be via timed-entry,
which provides entry to the exhibit within a particular time period. This method allows for optimal
visitor experience and flow of guests when large numbers of people are expected to attend the exhibit.
During the run of"Destination Moon: The Apollo 11 Mission",Weekend Family Workshops will be
tailored to provide a number of lunar-focused lessons and activities. In addition,Summer Family Fun
will be offered throughout July and August,when daily,hands-on,family-friendly Destination Moon-
themed activities and workshops will be offered at The Museum of Flight. Summer Family Fun offers an
expanded and extended version of Weekend Family Workshops ad are offered on weekdays. Both
Weekend Family Workshops and Summer Family Fun are included in this proposal. Both are free to
Museum guests--whether or not they have purchased a ticket to"Destination Moon: The Apollo 11
Mission".
The target audience for Weekend Family Workshops and Summer Family Fun are all families with
children or grandchildren that visit the Museum of Flight. In 2017,Weekend Family Workshops served
more than 22,493 guests.
Weekend Family Workshops and Summer Family Fun activities are marketed through a variety of
channels: The Museum of Flight website,electronic newsletters sent to our members,via social media
channels and via public announcements made at the Museum.
Both Weekend Family Workshops and Summer Family Fun will benefit from the increased attendance
and marketing that will take place for"Destination Moon: The Apollo 11 Mission". "Destination Moon:
The Apollo 11 Mission" is expected to draw a large, multi-generational audience from the U.S. and
around the world--all coming together to celebrate the incredible human achievement of landing man
on the moon and bringing him home safely. As the home of Blue Origin and the city that produced the
Lunar Rover Vehicle,we invite the City of Kent to join the festivities as we celebrate past achievements
and explore how lessons from this exploration can support the next generation of space exploration.
The Museum of Flight is supporting"Destination Moon"with unprecedented outreach which will
include regional,national and international publicity,customized "language specific"sales materials
targeting thousands of travelers from Europe,Asia and Australia,a paid media campaign which includes
broadcast,outdoor and digital marketing across the state and up and down the West Coast(Vancouver,
B.C.,Seattle,Spokane,Portland,San Francisco and Los Angeles).
Record attendance for this once-in-a-lifetime event is projected at the Museum--including a 28%
increase over 2018. In addition,a series of community engagement events with Visit Seattle and other
cultural institutions and businesses are planned to make June—August,2019"Seattle's Summer of
Space".
Space Travel: Past, Present and Future will be the dominant theme for the Museum in 2019 and will be
featured throughout our exhibits, public programs, member events,education curricula,Weekend
Family Workshops and Summer Family Fun. Given Kent's involvement in the past, present and future of
space travel,"Destination Moon" provides a unique opportunity to showcase the city,its workforce and
the leading role it plays in aerospace. By sponsoring Weekend Family Workshops and Summer Family
Fun,you would be garnering additional exposure to families that live in the Puget Sound region and to
those from out of town.

Unknown at this time. The Museum focuses on attracting overnight and day tourists. "Destination
Moon" is expected to attract record-breaking attendance,with a significant portion of our visitors
seeking overnight paid accommodations in communities adjacent to the Museum,including Kent. We
do not currently collect data on where our overnight guests stay when they visit the Museum.

How does your project/event promote a positive image for Kent as business or leisure
destination?
All of the families that participate in Weekend Family Workshops and Summer Family Fun will see
signage that highlights Kent as the sponsor of these programs. VisitKent.com could be called out on this
signage. Because Weekend Family Workshops and Summer Family Fun takes place in our main galleries,
these activities typically draw a number of bystanders to watch the activity,even if they are not
participating, Financial support of this kind showcases the City of Kent as a funder of child-and family-
centered activities,creates good will and may prompt guests to consider Kent as a destination for other
family/leisure activities.
We look forward to working with you to create a customized benefits package to promote Kent as both
a business and leisure destination.

How does your project/event increase awareness of Kent's amenities. i.e. business
attributes, its workforce, history,facilities or natural environment?
By providing prominent signage which calls out the City of Kent as a sponsor of Weekend Family
Workshops and Summer Family Fun,local guests and those from out of the area will recognize Kent as a
leader in supporting STEM-education programming that is fun and memorable. This exposure may lead
guests to want to learn more about Kent and why it is involved in funding of this kind,as well as what
other family amenities and activities it offers.
Guests to the Museum of Flight from April 13-September 2,2019,will have multiple opportunities to
hear the Kent name. In the pre-exhibit area of the"Destination Moon: The Apollo 11 Mission",guests
will learn that the Lunar Rover Vehicle was created in Kent. In addition, Blue Origin,a Kent-based
company will be supporting "Destination Moon"in a variety of ways--bringing additional attention to
Kent as a center of aerospace industry,a player in the history of Apollo,and a great place for families to
visit.
The City of Kent would also benefit from the brand recognition and association with The Museum of
Flight--which is a Smithsonian-affiliate and recognized as one of the largest private air and space
museums in the world.

How does your project/event benefit the overall economics of the community, rather than
specific segment or interest?
Events such as the grand opening of our Apollo exhibit in 2017 attracted visitors and media coverage
from across the region and country.The"Destination Moon"exhibit and related activities are
anticipated to draw an even larger number of visitors from this same audience of space flight
enthusiasts.Since The Museum of Flight is the only stop on the US west coast,or for that matter west of
Houston,it is anticipated that the exhibit will draw visitors from across the entire west coast.A related
media buy in British Columbia,Spokane, Portland,San Francisco,and Los Angeles will further boost the
west coast reach.The associated national promotional campaign will also drive visitors from across the
country for the"50th Anniversary Weekend"events.
The Museum is recognized by our peers,and flight enthusiasts in general,as one of the premier
aerospace museums in the world.Six distinct galleries display and curate the many stories of flight.The
comprehensive nature of the Museum's collection is virtually unmatched within the industry.In
addition,the Museum ranks among the top five for meeting and event capacity in the greater Seattle
region.
The artifact collection,combined with free parking and easy access from 1-5 and SeaTac Airport makes
the Museum one of the top picks for corporate and affinity group conferences including those for
businesses,non-profits and military organizations.Visitors are entertained with a nonstop airshow every
day at the Museum due to the many different types of aircraft flying in and out of Boeing Field! Directly
or indirectly,visitors come to the Museum for the fun and excitement that is flight.
Overnight and day visitors to"Destination Moon: The Apollo 11 Mission"will spend money outside of
the Museum including for lodging,food,transportation,other entertainment,etc. These expenditures
will benefit our surrounding communities,including Kent.

What kind and degree of partnership does the project/event exhibit(volunteer involvement,
interjurisdictional,corporate, business and/or civic organization support)?
Sponsoring Weekend Family Workshops and Summer Family Fun for 2019 would allow Kent to partner
with The Museum of Flight across its education and public programs departments. We would look for
opportunities to invite Kent businesses and civic organizations to get involved at the Museum,through
volunteering,mentoring,speaking opportunities at educational events,tabling,etc.
In addition, "Destination Moon: The Apollo 11 Mission"will provide unparalleled opportunity for
community-wide partnerships across the Puget Sound region. These include overall exhibit sponsors,
50th Anniversary Weekend sponsors(exact name TBD), public program and special event sponsors,as
well as education,youth access,member lunch series,podcast series and Weekend Family Workshops
sponsor. in addition,we are working with a number of other cultural institutions(MoPOP,Wing Luke,
MOHAI,Visit Seattle,The Space Needle and local business owners)to promote June-August,2019 as the
"Summer of Space"in and around the Seattle Metropolitan area. We would be happy for
recommendations on Kent businesses that might want to participate.
Beyond "Destination Moon: The Apollo 11 Mission",Weekend Family Workshops and Summer Family
Fun,we would hope to extend our partnership for additional activities around rocketry(Pacific Raceway
Park is a frequent location for rocket launches from Museum students),the 50th anniversary of Apollo
15,Blue Origin achievements, and educational opportunities for students in the Kent.

In 2018,The Museum of Flight supported Weekend Family Workshops and Summer Family Fun programming
from admission revenue. Our goal is to find a single funder at the$25,000 level for both of these programs in
2019, With the added attendance projected for"Destination Moon: The Apollo 11 Mission"and the local
and national media attention expected from this exhibit,we expect that this will be a good opportunity for a
local business or municipality.

At this time,we would not consider modifying this program. The Museum of Flight is committed to providing
Weekend Family Workshops every weekend throughout the year and Summer Family Fun activities from July
through August, Monday-Friday. In years when we did not have a corporate or municipal funder,we funded
the programs ourselves,we did not modify the schedule by dropping particular weekends or days.
Our goal is to find a single funder for this program. We look forward to working with you to create a
customized benefits package to help meet your marketing goals. Benefits can be modified in accordance
with donation level/grant monies awarded. Certain sponsorship levels offer category exclusivity,others do
not.

Weekend Family Workshops have been in existence for more than 3 years at The Museum of Flight. Funding
from the City of Kent will allow us to expand our workshops to include lunar-based activities that tie into
"Destination Moon: The Apollo 11 Mission"and to celebrate the 50th anniversary of man's first steps on the
Moon.
Summer Family Fun has been in existence for 1 year. Summer of 2019 will be the second year that we will
operate this program. With so many visitors coming to the Museum from July-August each year,we wanted
to make sure that families had an opportunity to engage in a free,STEM-focused activity by expanding
Weekend Family Workshops and offering these activities Monday through Friday. The addition of Summer
Family Fun means that we offer a free,hands-on activity for kids every day of the week from July-August
and on weekends throughout the year. Summer Family Fun programming is an extended and expanded
version of our Weekend Family Workshops. For the summer of 2019,all Summer Family Fun activities will be
"Destination Moon"-themed.

Insurance
The Recipient shall procure and maintain for the duration of the Agreement, insurance against
claims for injuries to persons or damage to property which may arise from or in connection with
the performance of the work hereunder by the Recipient, their agents, representatives, employees
or subcontractors.
A. Minimum Scope of Insurance
Recipient shall obtain insurance of the types described below:
1. Commercial General Liability insurance shall be written on ISO occurrence form
CG 00 01. The City shall be named as an Additional Insured under the Recipient's
Commercial General Liability insurance policy with respect to the work
performed for the City using ISO additional insured endorsement CG 20 10 1185
or a substitute endorsement providing equivalent coverage.
2. Workers' Compensation coverage as required by the Industrial Insurance laws of
the State of Washington.
B. Minimum Amounts of Insurance
Recipient shall maintain the following insurance limits:
1. Commercial General Liability insurance shall be written with limits no less than
$1,000,000 each occurrence, $2,000,000 general aggregate.
C. Other Insurance Provisions
The insurance policies are to contain, or be endorsed to contain, the following provisions for
Commercial General Liability insurance:
1. The Recipient's insurance coverage shall be primary insurance as respect to the City. Any
Insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess
of the Recipient's insurance and shall not contribute with it.
2. The Recipient's insurance shall be endorsed to state that coverage shall not be cancelled by
either party, except after thirty (30) days prior written notice by certified mail, return receipt
requested, has been given to the City.
3. The City of Kent shall be named as an additional insured on all policies (except Professional
Liability) as respects work performed by or on behalf of the Recipient and a copy of the
endorsement naming the City as additional insured will be included in the Certificate of
Insurance. The City reserves the right to receive a certified copy of all required insurance
policies. The Recipient's Commercial General Liability insurance shall also contain a clause
stating that coverage shall apply separately to each insured against whom claim is made or
suit is brought, except with respects to the limits of the insurer's liability.
D. Acceptability of Insurers
Insurance is to be placed with insurers with a current A.M. Best rating of not less thanA:VII.
E. Verification of Coverage
Recipient shall furnish the City with original certificates and a copy of the amendatory
endorsements, including but not necessarily limited to the additional insured endorsement,
evidencing the insurance requirements of the Recipient before commencement of the work.
F. Subcontractors
Recipient shall include all subcontractors as insureds under its policies or shall furnish separate
certificates and endorsements for each subcontractor. All coverages for subcontractors shall be
subject to all of the same insurance requirements as stated herein for the Recipient.
