Subject: Memorandum of Understanding (MOU) between the City of Kent (City) and
Kent Downtown Partnership (KDP) for the Lunar Rover Capital Campaign
Consultant
With Kent being home to the Boeing-built Apollo Lunar Rovers, the City greatly appreciates the
support of the KDP of the City's efforts in its Kherson Park redevelopment project and the
placement of an interactive Lunar Rover replica at the park. This meaningful project provides an
opportunity to celebrate an historic, national feat; one that is so closely connected to the City's
local history, present and future.
To raise the funds necessary to create an inspiring, educational and historically significant
public space, a capital campaign consultant (Consultant) is needed to develop a campaign to
achieve the fundraising goal (Campaign).
As a tax exempt 501c3 non-profit, the KDP can receive tax deductible donations to help fund
the Campaign (Campaign Donations), including access to critically important corporate
matching dollars, helping the Campaign reach its financial goal.
To expedite commencement of the Campaign, and execution of a contract between the KDP and
Campaign Consultant, the City wishes to provide assurance to the KDP it will not be forced to
cover the Consultant's costs in the unlikely event the fundraising effort fails to cover the
consultant's fees.
TERMS:
The Consultant's services will be used to raise Campaign Donations that will be used for the
City's redevelopment project at Kherson Park, including the placement of an interactive Lunar
Rover replica at the park.
The KDP will contract with the Consultant selected by the City. The Consultant's services will be
conducted pursuant to the terms of the contract with the KDP, as approved by the City, and will
be paid by the KDP with Campaign Donations to the KDP. Staff from the City will manage the
Consultant and serve as liaison between the Consultant and the KDP.
In recognition of the KDP's facilitation of the Campaign benefitting the City's project, if the
Consultant is unable to raise sufficient Campaign Donations to cover the total cost of
Consultant's services for the Campaign, the City will cover the cost of such services.
