A RESOLUTION of the City Council
of the City of Kent, Washington granting
municipal approval to the merger of Tele-
prompter Corporation and a subsidiary of
Westinghouse Electric Corporation.
WHEREAS, Northwest Cablevision, Inc. ("Northwest Cable-
vision11), a subsidiary of Teleprompter Corporation ("Teleprompter"),
is the cable television franchisee in the City of Kent, Washington;
and
WHEREAS, Westinghouse Electric Corporation ("Westing-
house") proposes to acquire control of Northwest Cablevision through
a merger between Teleprompter and a subsidiary of Westinghouse, as
set forth in a letter application dated January~, 1981; and
WHEREAS, approval has been requested to the proposed
merger:
NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF KENT,
WASHINGTON AS FOLLOWS:
Section 1. The City of Kent hereby grants its approval,
as requested, to permit Westinghouse to acquire control of Northwest
Cablevision through the merger of Teleprompter and a subsidiary of
Westinghouse, all as set forth in the letter application, dated
January:;:._[.., , 1981.
Section 2. Approval will not be final until Westing-
house has agreed in writing to be bound by the terms and conditions
of Ordinances 2093 and 2100 of the City of Kent. Baid w~i~ten agree•

I am pleased to advise you that Westinghouse Broadcasting Company, Inc.,
a subsidiary of Westinghouse Electric Corporation, plans to acauire
control of Northwest Cablevision, Inc., a subsidiary of Teleprompter
Corporation, the cable television onerator in the City of Kent,
Washington. The acauisition will be through a merger between
Teleprompter Corporation and a subsidiary of Westinghouse Broadcastina.
There will be no change in our operations and personnel as a result of
this transaction, and Telenrompter will continue to operate as a separate
corporation after the merg~r. -
This is to respectfully request your approval to the prooosed merger.
I have taken the liberty of enclosing a draft resolution which may be
of some help to you in considering this matter.
Westinghouse Electric Corporation is a nublicly-ow·ned coropany. Along
with its other activities, Westinghouse Electric, through Westinghouse
Broadcasting, has been a pioneer and innovator in the communications
industry, operating radio·-and television stations which are known for
their strong community involvement and for leadership and excellence in
the provision of top quality service.
This major move by Westinghouse in the cable television business marks
a positive and significant step forward not only for Teleprompter and
Westinghouse but for the cable industry as a whole, and all of us at
Teleprompter are enthusiastic about Telenrornpter•s future under
Westinghouse ownership.
