MUTUAL AGREEMENT TO TERMINATE LEASE AGREEMENT BETWEEN THE
CITY OF KENT AND VALLEY COMMUNICATIONS CENTER
BACKGROUND
A. The City of Kent ("City") and Valley Communications Center
("ValleyComm"), entered into a Lease Agreement ("ValleyComm Lease Agreement")
dated November 22, 1993, as amended by a First Addendum to Lease Agreement
dated January 8, 2010; a Second Addendum to Lease Agreement dated December
14, 2016; and a Third Addendum to Lease Agreement dated March 23, 2018 for
certain real property located in the City of Kent, State of Washington known as the
Cambridge Radio Site for specified facilities ("ValleyComm Facilities").
B. King County and the City entered into a Lease Agreement ("King County
Lease Agreement") dated March 15, 2018, to lease a portion of the Cambridge Radio
Site to construct, operate and maintain a communication facility and associated
equipment and improvements. Per the terms of the King County Lease Agreement,
King County will acquire ValleyComm Facilities and then sublet space on these
acquired facilities back to ValleyComm. Simultaneous with King County's acquisition
of ValleyComm Facilities, the City and ValleyComm will terminate the ValleyComm
Lease Agreement with this Mutual Agreement to Terminate.
AGREEMENT
In consideration of their mutual covenants, the City and ValleyComm hereby
agree to terminate the Lease Agreement effective immediately.
THIS MUTUAL AGREEMENT TO TERMINATE shall become effective on the last
date indicated below (the "Effective Date"). Any acts consistent with the terms
described herein that take place prior to the Effective Date, are hereby ratified and
affirmed by ValleyComm and City.

Hi Kristin -
Enclosed please find three original copies of the Mutual Agreement to Terminate the Lease
between Valley Com and the City at the City's Cambridge site. The Mayor has signed all three
copies and her signature has been notarized.
Please have the proper person at Valley Com sign the agreement, and send one original notarized
copy back to my attention for our City Clerk's records.
