between the

TEAMSTERS LOCAL UNION NO. #117
Affiliated with the International Brotherhood of Teamsters
regarding
Contracting Upfitting work of Police Vehicles
This Memorandum of Understanding (MOU) memorializes the agreement between the City of
Kent ("City") and Teamsters Local Union #117 (Union) regarding the City hiring an outside
contractor to up-fit new police vehicles.
Background
The City and the Union are parties to a collective bargaining agreement effective January 1, 2017,
through December 31, 2019.
The Union's collective bargaining unit includes one (1) COmmunication Technician 2 position,
whose work is characterized by "specialized and skilled electronic work in the assembly,
installation, maintenance, repair, programming, and service of a wide variety of electrical,
electronic and mechanical equipment". One of the tasks perforated by the Communication
Technician 2 position is to "up-fit" police patrol vehicles.
"Up-fitting" describes the process undertaken to install new equipment on newly-purchased or
acquired City vehicles. Typically, this up-tatting work is needed a few times throughout the year
and is in addition to the Communication Technician 2 position's other necessary work, including
the installation, programming, maintenance and/or repair of the City's communication system
equipment.
In 2017, the Police Department required its police vehicles be up-fitted within a time frame that
the Communication Technician 2 and Fleet Services could not meet due to staff workloads, a
backlog of other vehicles that required up-fitting, and time and work space constraints. As a result,
the City and the Union agreed that the City could contract out, to a qualified outside contractor
selected by the City, the necessary up-fitting work required on six (6) new police vehicles.
Contracting out this limited work was a mutual success as it provided an expedited process through
which the police department was able to get its vehicles on the road much more quickly to serve
the citizens of Kent, while assisting Union members in completing other backlogged up-fittings,
maintaining a manageable workload, and reducing periodic stress that occurs due to unpredictable
vehicle delivery schedules.
To allow the Communication Technician 2 to focus on communication system work and other up-
fitting work required for non-police vehicles, and, given the complex and time- consuming nature
involved in the up-fitting of police vehicles, the City and Union have agreed that the up-fitting
work needed for all new police vehicles will be contracted to an outside contractor in accordance
with the terms of this MOU.

Therefore, the parties agree as follows:
Agreement
1. This MOU concerns the contracting out of the up-fitting work required for all new police
vehicles. The parties agree that this up-fitting work is bargaining unit work.
2 The City and the Union recognize that the outside contractor will up-fit and return the
police vehicles quickly for use by the Kent Police Department, enabling them to more
quickly serve the citizens of Kent. The City and the Union recognize that this timely up-
fitting work is needed for the effective operations of the Kent Police Department and its
patrol division.
3. The Union agrees to have the up-fitting work for all new police vehicles performed by an
outside contractor and the Union waives any and all claims or charges associated with the
outside contracting of that work, including, without limitation, any claim of an unfair labor
practice or skimming charge.
4, The Communication Technician 2 position has had the opportunity to observe and be
trained by the vendor who will perform the police vehicle up-fitting work on the methods
the vendor will use to install the equipment into these police vehicles, and the
Communication Technician 2 is prepared for any maintenance or repair needs that may
occur in the future concerning these vehicles.
5. The City agrees that in exchange for this bargaining unit work being performed by an
outside contractor, the City will apply a one-time, one percent (1%) increase, to the base
wage of all bargaining unit members effective 7/l/18.
6. The Union agrees that if it wishes to return the upfitting work of police vehicles to the
bargaining unit, the Union and its members will `forfeit' the one percent (1%) increase in
base wages, and all bargaining unit members' base wage will be reduced by one percent
(1%). They will also notify the City at least ninety (90) days in advance of their intent to
return the work to the bargaining unit.
7. Any dispute regarding the interpretation or application of this MOU shall be handled in
accordance with the grievance procedures set forth in the CBA.
8, This MOU was prepared and/or reviewed by both parties. In the event of an ambiguity in
any term of this MOU, it shall be interpreted evenly, and not against the drafter. The
principle of contra proferenten2 shall not apply.

By signing below, the parties agree that the above represents the parties' full and entire agreement
with respect to the subject matter of this MOU.
