CONTRACTOR SERVICES AGREEMENT
between the City of Kent and
Skerrmro
THIS AGREEMENT is made between the City of Kent, a Washington municipal corporation (hereinafter the
'City"), and Skerryvore, c/o SRO Artists located and doing business at 6629 University Avenue, Suite 206,
Middletown,WI 535623037,(608)664.8160 (hereinafter the"Contractor').
I. DESCRIPTION OF WORK.
Contractor shall perform the following services for the City:
Description: Contractor will present one public performance (as a co-bill with We Banjo 3)as part of the Kent Arts
Commission's`Spotlight Series."
Start Time/Duration/Stop Time: 7:30 p.m.120 minute intermission 19:30 p.m.(45-60 minute set, performance order tbd)
Day, Date, Year: Saturday, October 13,2018
Event Location: Kent-Meridian High School Performing Arts Center, 10020 SE 2561h St.. Kent, WA 98030
Merchandising:Contractor shall have the sole and exclusive right, but not obligation, to sell souvenir posters, programs,
CDs, DVDs and other merchandise directly pertaining to and/or bearing the likeness of the Contractor at the performance.
City will retain 15%of the receipts when Contractor provides sales staff and 20%of the receipts when City provides sales
staff.
Lodging: City will provide hotel accommodations(4 double rooms, 1 single room) for Contractor for the night of Saturday.
October 13, 2018.
Hospitality: City will provide according to artist rider.'
Billing: "We Banjo 3 and Skerryvore." 100%co-bill.
Sponsorship: City reserves the right to obtain corporate sponsor(s)for Contractor's performance.
Exclusivity: Contractor shall not appear in general Seattle/Puget Sound market during the 2018-2019 season
(September 2018 to August 2019), including King, Pierce, Shohomish,and Kitsap Counties,with the exception of venues
discussed and mutually agreed upon.
House seats:City will hold six(6) complimentary house seats for Contractor,to be released 24 hours prior to curtain if
not notified by Artist.

Contractor further represents that the services furnished under this Agreement will be performed in accordance
with generally accepted professional practices in effect at the time those services are performed.
It. COMPENSATION. The City shall pay Contractor the total sum of$3,750.00 for the work to be performed
under this Agreement, upon satisfactory completion of all services and requirements specified in this Agreement. A
deposit of $937.50 will be paid, by City of Kent check, to SRO Artists upon complete execution of the contract. The
balance of$2,812.50 will be paid, by City of Kent check,to Daniel Gillespie on the day of the show.
III. PRESS MATERIALS. Contractor agrees to provide to the City where appropriate, at his or her awn
expense, complete press materials, including hard copy or high resolution electronic photographs, biographic
descriptions, and program materials, not less than six (6) weeks prior to the initial event dale for the City s use in
promoting the event. All publicity and promotional materials regarding the event released to the media or public by the
Contractor shall credit the City of Kent for its support of the event or project.
IV. PERFORMANCE SPACE. The City agrees to furnish, at its sole cost and expense, a place of
performance on the date(s) and at the time(s) contained in Section I. The City shall also provide ushers, a house
manager,and box office staff and any additional services and personnel as required by the City, for the efficient operation
of the engagement. Other arrangements will be the responsibility of the City and Contractor as follows below:

Venue: City will provide proscenium theater: Kent-Meridian High School Performing Arts Center
Sound: City will provide sound system according to Contractor's technical rider.'
Lights: City will provide lighting according to Contractor's technical rider.*
Dressing Rooms: City will provide dressing room facilities.'
Technical Staff: City will provide sound and lighting technicians, and theater manager familiar with facility.
Contractor will provide any other technical staff, including a road manager or technical director,
necessary for the performance.

V. INDEPENDENT CONTRACTOR. The parties intend that an Independent Contractor-Employer
Relationship will be created by this Agreement. By their execution of this Agreement, and in accordance with Ch. 51.08
RCW,the parties make the following representations:
A. The Contractor has the ability to control and direct the performance and details of its work, the
City being interested only in the results obtained under this Agreement.
B. The Contractor maintains and pays for its own place of business from which Contractors services
under this Agreement will be performed.
1 C. The Contractor has an established and independent business that is eligible for a business
deduction for federal income tax purposes that existed before the City retained Contractors
services, or the Contractor is engaged in an independently established trade, occupation,
profession, or business of the same nature as that involved under this Agreement.
D. The Contractor is responsible for filing as they become due all necessary tax documents with
appropriate federal and state agencies, including the Internal Revenue Service and the state
Department of Revenue.
E. The Contractor has registered its business and established an account with the state Department
of Revenue and other slate agencies as may be required by Contractor's business, and has
obtained a Unified Business Identifier(UBI) number from the Slate of Washington.
F. The Contractor maintains a set of books dedicated to the expenses and earnings of Its business.
The parties intend that an Independent Contractor-Employer Relationship will be created by this Agreement and that the
Contractor has the ability to control and direct the performance and details of its work, the City being interested primarily
only in the results obtained under this Agreement and compliance with its terms and conditions.
VI. WORK PERFORMED AT CONTRACTOR'S RISK. Contractor shall be responsible for the safety of its
employees, agents, and subcontractors In the performance of the contract work and shall utilize all protection necessary
for that purpose.
VII. INDEMNIFICATION. Contractor shall defend, indemnity and hold the City, its officers, officials,
employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal
costs and attorney fees, arising out of or in connection with the Contractor's performance of this Agreement, except for
that portion of the injuries and damages caused by the City's negligence, including assertions that the use or transfer of
any software, book, document, report, film, tape or sound reproduction delivered in accordance with this Agreement
constitutes an infringement of any copyright, patent trademark, trade name, or otherwise results in unfair trade practices.
The City's inspection or acceptance of any of Contractor's work when completed shall not be grounds to avoid any of
these covenants of indemnification.
The provisions of this section shall survive the expiration or termination of this Agreement.
Vill, INSURANCE. The Contractor shall procure and maintain for the duration of the Agreement, insurance or
the types and in the amounts described in Exhibit A attached and incorporated by this reference.
IX. TERMINATION AND BREACH. Either party may terminate this Agreement, with or without cause, upon
providing the other party ninety(90) days written notice at its address set forth on the signature block of this Agreement.
All costs incurred by the City due to Contractor's failure to comply with the terms and conditions of this Agreement shall be
the responsibility of the Contractor. The City may deduct its costs from any payments due to the Contractor or pro-rate
the Agreement amount based upon the actual time of Contractor's performance compared to the contracted performance
schedule.

X. IMPOSSIBILITY OF PERFORMANCE. Indo ss_m0y bg 09pandent upon a facility.
City may or may no have conical'over. Outdoor performances are considered "rain or shine." In the event that extreme
inclement weather renders and outdoor performance impossible,or an indoor facility unexpectedly becomes pnavalleblq
the city will attempt to arrange an alternate performance space and Artist will employ its best efforts to provide the
contract work in that alternate performance space. Neither party shall be under liability for failure to perform in the event
that such failure is caused by or due to acts or regulations of public authorities, civil tumult, strike, epidemic or any other
cause beyond the control of either party. In the event of failure to perform as provided In this section, neither party shall be
liable for the balance of the Agreement.
Xl. MISCELLANEOUS PROVISIONS.
A. Giscriminatipn. In the performance of work under this Agreement or any sub-contract, the Contractor
shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory,
mental,or physical disability,discriminate against any person.
B. RMctab a aleriel a. Pursuant to Chapter 3.80 of the Kent City Code, the City requires its Contractors to
use recycled and recyclable products whenever practicable. A price preference may be available for any designated
recycled product.
C. Non-Waiver of Breach. The failure of the City to insist upon strict performance of any of the covenants
and agreements contained in this Agreement, or to exercise any option conferred by this Agreement in one or more
instances shall not be construed to be a waiver or relinquishment of those covenants, agreements or options, and the
same shall be and remain in full force and effect.
D. Resolution of Disputes and Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Washington. If the parties are unable to settle any dispute, difference or claim
arising from the parties' performance of this Agreement, the exclusive means of resolving that dispute,difference or claim,
shall only be by filing suit exclusively under the venue, rules and jurisdiction of the King County Superior Court, King
County, Washington, unless the parties agree in writing to an alternative dispute resolution process. In any claim or
lawsuit for damages arising from the parties' performance of this Agreement, each party shall pay all its legal costs and
attorney's fees incurred in defending or bringing such claim or lawsuit, in addition to any other recovery or award provided
by law; IpMUqd, however, nothing in this paragraph shall be construed to limit the City's right to indemnification under
Section VII of this Agreement.
4 E. Written Notice. All communications regarding this Agreement shall be sent to the parties at the
addresses listed on the signature page of the Agreement, unless notified to the contrary. Any written notice hereunder
shall become effective three (3) business days after the date of mailing by registered or certified mail, and shall be
deemed sufficiently given if sent to the addressee at the address stated in this Agreement or such other address as may
be hereafter specified in writing.
F. Assi nm n . Any assignment of this Agreement by either party without the written consent of the non-
assigning party shall be void. If the non-assigning party gives its consent to any assignment, the terms of this Agreement
shall continue in full force and effect and no further assignment shall be made without additional written consent.
G. Modification. No waiver, alteration, or modification of any of the provisions of this Agreement shall be
binding unless in writing and signed by a duly authorized representative of the City and Contractor.
H. Entire Agreement. The written provisions and terms of this Agreement, together with any Exhibits
attached hereto, shall supersede all prior verbal statements of any officer or other representative of the City, and such
statements shall not be effective or be construed as entering into or forming a part of or altering In any manner this
Agreement. All of the above documents are hereby made a part of this Agreement. However, should any language In
any of the Exhibits to this Agreement conflict with any language contained in this Agreement, the terms of this Agreement
shall prevail.
I. Compliance with Laws. The Contractor agrees to comply with all federal, stale, and municipal laws, rules,
and regulations that are now effective or in the future become applicable to Contractor's business, equipment, and
personnel engaged in operations covered by this Agreement or arising out of the performance of this Agreement.
J. City Business License Reaulred. Prior to commencing the tasks described in Section I,Contractor agrees
to provide proof of a current city of Kent business license pursuant to Chapter 5.01 of the Kent City Code.
K. Counter art This Agreement may be executed in any number of counterparts, each of which shall
constitute an original, and all of which will together constitute this one Agreement.

Should formal contracts not be executed an or before 041132018 or should either party fail(0 provide written notice of cancellallon on or before
six-weeks from contract date of issue,0310212018,whichever comes first,contract#2018022703 will be considered a binding engagement
contract and(he terms of our standard engagement agreement shall govern and shall be incorporated herein by reference,
For any engagement where Artist is to receive a percentage over Sponsors expenses,Sponsor must attach an itemized budget of said
expenses. It may be amended only In writing by Artist or Adisl's representative.If the expenditures are less than staled In the attached Contract
Budget,and this results in an increase in the amount of the split,the difference will be allotted with the same percentage split as slated on the
face of this contract.
In the case of percentage situations,the picket prices may not be varied without prior notification to Artist's representative.If any of the ticket
prices are varied in any respect,the percentage compensation payable to Artist shall be based upon the prices sal forth above or upon the
actual ticket prices in effect,whichever is higher.
Sponsor to provide final Box Office Report within one-week of performance
The Agreement of Artistl to perform is subject to proven detention by sickness,accident,riot,acts of God,or any other legitimate conditions
beyond their control,and Artist shall not be responsible for Sponsors expenses in such event.
The content,nature and medium of the program shall be entirety within the discretion of the ArtSL
No performance shall be recorded,reproduced or transmitted from the place of performance,In any manner or by any means whatsoever,in
the absence of a specific wnllen agreement with the Artist or Arfist"s representative.
11'Sponsor falls to perform his obligations under this Agreement with regard to the provision of a place of performance,or the payment of
compensation,or cancels the engagement without the consent of the Artist,Sponsorshah be liable to Artist for Artist's actual losses,or as
liquidated damages and not as penalty,30%of the above gat fee,whicheveris greater.
If Sponsor breaches this contract,he shall pay to Artist.in addition to damages,a reasonable attorney's fee.
II is agreed that Sponsor shall be hold liable for any loss or damage to equipment of Artistdue to sponsor negligence,including but not limited
to vandalism,fire,not,fight,or any acts of nature while said equipment is contained in the place of engagement.
Sponsor will obtain such clearances,if any,as required by any musicians union,or other union having jurisdiction of said engagement(s),and
will supply and furnish all Items and personnel required by such unions)not specifically agreed(in writing)to be supplied by Artist.
Except as specifically set forth herein,in no event shall Artist be hold liable for any expense Incurred by SponsorAtenuo in Cannocllon with
Argsrs performance,nor shall Adist hb entitled to any portion of proceeds from Sponsor'sNenues related business activities,Including,but not
limited to.paymanes to'SponsorNenue by a third party such as a corporate sponsor and sales by SponsorNenue of food and beverages in
connection with Artist's performance.
Except as speeE6ciii set forth herein In no avoid shall SponsorNenue be held liable for any expenses incuff"by Artist in connection with
Artist's performance,nor shall SponsdrNenue be entitled to any portion of proceeds none Artist's related business acirdlies,Including,but nol
limited to payments to Artist by corporate sponsors and any sales by Artist or Artist's record label or Anisrs recorded material and related items
to the public at any time.
The foregoing plus altacned riders constitute the entire agreement between parties hereto with respect to the subject matter hereof and cannot
be changed„agerod,.modified or terminated,except in writing,signed by the parties hereto.Regardless of the place of execution,this
Agreement shall be construed in accordance with the laws of the State of Wsconsn.

NOTE: Please let us know of any time limitation,curfews or restrictions PRIOR to signing this agreement.
1. BILLING
Billing for all advertising,marketing inatcrials,announcements, marquees etc.,shall be billed as follows:

This billing is to be adhered to, fort a benefit of both the Sponsor and the band.
11. STAGE
A. Stage space shall aceonunod rn;,.. c ensemble and/or backline required with this performance.

B. Stage must be completely cleared of any excess equipment and swept clean prior to Artists'arrival with the exception of
monitors and required cabling.
C. At least eight(8) 110-volt quad AC boxes;additional per advance.
D. If venue is outdoors,stage must be protected front sun,wind and rain.Generators must be of an enclosed crystal-
controlled professional type,properly grounded.
Ill. STAGEHANDS/STAFF
A. At least One(I)sound technician and/or One(1)lighting technician and/or monitor technician per required for venue
system.
IV. LIGHTS(also refer to Lighting Request under Technical Specifications section below)
Should be run on separate circuit form the sound system. Warm specials on each band member, focused down stage.A good
variety of colors should be available on each person for a dramatic variety of moods. Rear and Side lighting may also be used
depending on the lighting equipment available. Spotlights are not required. No harsh white lights please.
V. SOUND& LIGHTING CHECK
LOAD-IN up to four(4)hours prior to slan•time and SOUND CI IECK no later than 90 minutes prior to doors open.

All equipment required in this rider must be completely set-up and tested prior to artisUcrew's arrival at the hall. It is extremely
important that the entire system is free of hunt,no induced lighting noise,and physical noise from equipment racks.'fhe system

--Acoustic or egtaivalent. The design of the system should adequately cover all
aal'Das of the. venue/audience. Fills & delay lines should be used where
appropriate.The system should be set up &tested prior to bands arrival.
We require high quaitt'y, professior4 mixing console, with a rninin)(ne of 24
mono channels & 4 stereo channels.Analogue & digital consoles are accepted
(No Roland, Behringer or Soundcraft Si consoles please). If using a digital
console the following outboard list should be ignored. Advance notice on the
type of digital con�solc would also be helpful. We con then send a shoe, file in
advance if possible.

MONITOR SYSTEM
In order to mix monitors from FOH the console must have a minimum of 12
mono auxiliary sends. ff this is not possible, a separate monitor console,
microphone splitter & competent engineor must be provided, Nease note that
we wdl not accept g,aln sharing of consoles iwdo+r any circunrstanres.
8 x High quality monitor speakers, 5 x singles, 1 x pair, (D&B, L-Acoustic, Meyer
or ecluivallent)

Use of haze is requested where possible.
Skerryvore do not tour a lighting engineer for these shows and very much
welcome the input and expertise of resident engineers.

VIL HOSPITALITY
A. ALLERGIES& RESTRICTIONS:
1. One band member(Scott)has a range of food allergies and should avoid all Dairy(Cow +Goals Milk, Processed
Cheese, Butter,Cream, Yoghurt),Eggs,Gluten,Oats, Wheat,Nuts,Soya,White Rice(Brown is ok).
One band member(Jodie)is vegetarian(strictly speaking, pescetarian).
3. Three(3)band members are allergic to cars.
B, Dressing Rooms:
�r Up to three(3)clean dressing rooms must be available for artists'sole use,equipped when possible with toilet,

2. When possible,one(1)large room where catering can be served prior to performance in close proximity to dressing
rooms.
3, Dressing rooms must be lockable or guarded to ensure safely of Artists belongings.
C. Catering:
I. LOAD-IN: A supply of fresh sandwiches,wraps and snacks,plate of fresh fruits,lea,coffee,sugar and milk plus a

VIII. NIERCIIANDISING r'
Sponsor shall provide two(2)clean tables:one in a well-lit,high traffic area form rchandisc sales and another for CD signing
after the show. Unless otherwise negotiated,artist will provide seller,and reccivr, Of 14 ol'All d merchandise sales.
IX, HOTEL
If Sponsor is providing lodging, Sponsor will make reservations for them at a igh quality hotel of al least 3-star rating.
Accommodations most have private bathroom facilities,high-speed internet,t nod windows that open for fresh air. (Please note
Allergies'Restictions above.)
X. TRANSPORTATION
A. Sponsor will provide band with any special directions needed to locate the load-in door for the venue,and/or parking
during the event.
B. Sponsor will provide parking permits for Artist vehicles(per advance),either at loading dock area or in lot nearest loading
area.
C. Sponsor must provide access to loading dock or main doors nearest to performance stage,
XI. INSTRUCTIONS FOR PROIYIOTER AND STAFF
All terms and conditions stated in this rider can be negotiated with Artist or Artist Representative Artist reserves right to refuse
to pertorm in the event that these conditions have not been met and not negotiated. Such refusal to he without prejudice to
Artist's rights herein,and Artist shall not be held responsible for any claims arising out of Artist's failure to appear promptly or
at all.
A. If artist is to headline the show,Artist shall have the right ol'approval of all other acts on the bill.
B Sponsor agrees that any commitment of personal appearance or interview will be made with prior artist's consent.'I ime
allowing,the bind is generally happy accommodating quality media opportunities.
C Sponsor shall not allow audience to enter concert hall until technical set-up has been completed. Artist shall complete said
set-up one(1)hour prior to performance time,provided there are no technical problems beyond their control. Artist
reserves the right to hold the concert until satisfied with the sound.
D. No background music shall be played before or after the concert without approval of Artist.'Ihe band may choose to
provide a CD or iPod input.

E. 'I he Sponsor agrees to PROI IIBFF SMOKING in the performance space,onstage and in the dressing room during the set-

payment of such taxes.
