consideration and by mutual consent of the parties, the project contract is modified as follows:
1. Section I of the Agreement, entitled "Description of Work," is hereby modified to add

In accordance with Sections 1-04.4 and 1-04.5 of the Kent and WSDOT Standard
Specifications, and Section VII of the Agreement, the Contractor accepts all requirements of this
Change Order by signing below. Also, pursuant to the above-referenced contract, Contractor
agrees to waive any protest it may have regarding this Change Order and acknowledges and
accepts that this Change Order constitutes final settlement of all claims of any kind or nature
arising from or connected with any work either covered or affected by this Change Order, including,
without limitation, claims related to contract time, contract acceleration, onsite or home office
overhead, or lost profits. This Change Order, unless otherwise provided, does not relieve the
Contractor from strict compliance with the guarantee and warranty provisions of the original
contract, particularly those pertaining to substantial completion date.
All acts consistent with the authority of the Agreement, previous Change Orders (if any),
and this Change Order, prior to the effective date of this Change Order, are hereby ratified and
affirmed, and the terms of the Agreement, previous Change Orders (if any), and this Change Order
shall be deemed to have applied.
The parties whose names appear below swear under penalty of perjury that they are
authorized to enter into this contract modification, which is binding on the parties of this contract.
3. The Contractor will adjust the amount of its performance bond (if any) for this project
to be consistent with the revised contract sum shown in section 2, above.

I. PROPOSED CHANGE
This change increases clearing and grubbing to include the entire Naden site. The original plan
was to clear a22roximately half of the site.
II. REASON AND BACKGROUND FOR CHANGE
This change prepares Naden to take additional soil from the Downey site. King County Flood
Control District has made available additional King County Cooperative Watershed Management
Grant ($780,000) to excavate, haul and place this material. Naden proves to be a less expensive
alternative to other soil dump sites. As a further benefit the market value of the Naden property
is enhanced by the import of this soil.
III. METHOD OF PAYMENT
All Costs For This Change Are Paid By Increasing The Quantity of Bid Item 3005 From
1 Lump Sum To 1,95594 Lump Sum.

amount applied to Naden will be approximately $200K. That is an increase of approximately
$60K to more than double the amount of fill on the site (19,000 CY original + 36,000 CY Change
Order = 55,000 CY total).

project. We were going to move into the Naden site tomorrow but we were able to get our gear back in
there today. I told them to just clear what's in the plans for now but if you approve this, we'll go ahead
and remove the other remaining trees.

I'm not sure if you're aware but last Tuesday, August 2111, the International Union of Operating
Engineers Local 302 went on strike bringing almost all construction to a halt in King and Snohomish
Counties. As soon as we're finished with the clearing and grubbing, we will be unable to continue work
due to the inability to get operators. Please see the attached letter requesting an extension of time for
this project.

Given the Operators Union strike, there may be enough time for me to prepare Revision No. 2
when I return from vacation September 17. If Revision No. 2 needs to be issued sooner, I am
proposing the attached revisions to also incorporate Olympic Pipeline's comments (see below).
Asking Olympic Pipeline for comments was a condition of the SEPA MDNS.
Since we have to fill the PSE parcel (that we are in the process of acquiring for the Nader/Willis
access) anyway after the completion of the Downey/Naden project, I am proposing to move the
easterly toe of slope 15' west of the PSE R/W line (please see attached sketch) to accommodate
the Olympic Pipeline comments below. We will need to talk with Olympic Pipeline (BP) about the
proposed slope easement over their pipeline as soon as we get clearer direction from ECD about
the future commercial site development.
Having the toe of slope 15' west of the PSE R/W fine would leave enough room for compaction to
the property line later in case we can't get a slope easement over Olympic Pipeline's easement
within PSE R/W for the Naden site development.
To accommodate the additional fill as part of Downey/Naden, I propose that the northerly toe of
slope line be moved north as necessary (while maintaining 15' horizontal separation to the PSE
R/W line).
